成荣获5550万合约

（吉隆坡1日讯）成荣集团（MUDAJYA，5085，主板建筑股）获得Siemens大马颁发建筑合约，总值5550万令吉。
根据合约，成荣集团独资子公司MudajayaCorporation将成为Siemens大马位于柔佛边佳兰，Cogen发电厂的主要土木工程建筑商。
该工程料可在2016年2月5日完成。不过，Siemens大马可选择在约满后，再颁发总值1亿5790万令吉的相关合约给Mudajaya Corporation。【南洋网财经】

订单逐渐减少 成荣前景挑战大

（吉隆坡16日讯）尽管成荣集团（MUDAJYA，5085，主板建筑股）日前获颁5550万令吉的建筑合约，但分析员认为公司剩余合约不足以提供大量盈利，前景仍面临挑战。
成荣集团刚获Siemens大马颁发总值5550万令吉的建筑合约，预计在2016年2月竣工。
丰隆投资研究分析员表示，该公司截至目前获颁的合约总值4亿3100万令吉，进而提升累计订单总值至9亿令吉，但这只是2013财年建筑营业额0.7倍，所以只捎来少量盈利。
鉴于Janamanjung发电厂、印度恰蒂斯加尔省（Chhattisgarh）发电厂等多项可带来可观盈利的工程即将完工，该公司的订单须显著地提升。
他说，该公司持有26%股权位于Chhattisgarh的发电厂，投运计划再度从今年末季推延至明年首季。
目标价RM1.53“随着该公司的订单逐渐减少，Chhattisgarh发电厂的投运，将成为填补盈利缝隙的关键。”
除了8月获得价值3亿7500万令吉的风能农场合约，分析员就没有预计该公司在本财年再获颁任何合约，因此不急于调涨盈利预测。
基于剩余的合约不足以提供大量的盈利，分析员对于成荣集团前景保持警惕，并维持“卖出”评级，目标价定为1.53令吉。

未获污染控制局证书 成荣印度发电厂再展延

（吉隆坡28日讯）成荣集团（MUDAJYA，5085，主板建筑股）因无法及时取得印度污染控制局的证书，因此，当地发电厂的启用期被迫再次展延。
成荣集团原预期，旗下位于印度的4家各产电360兆瓦的发电厂，可在去年杪启用，但至今仍未有开始运作的迹象。
公司指，由于申请当地污染控制局证书的过程较预料中耗时，所以，发电厂投产期被迫再次展延。
大众投行研究分析员对上述消息表示失望，因为其中一家厂房已竣工且通过测试，可随时投产，其余3家也料可在今年上半年内竣工启用。
“我们因此调整现财年的盈利预测，估计仅可入账6000万至8000万令吉盈利预测的30%至40%。”
3年财测下修
另一方面，他也调高每兆瓦工程成本至120万美元（约432万令吉），较之前预测的高出20%，因为外汇波动，以及工程延迟而额外增加利息成本。
分析员预料，成荣集团未来数季业绩表现会放缓。
“除了发电厂业务未能贡献盈利，我们也了解到目前新合约较少，大部分潜在合约都还在竞标阶段。”
他预计，公司可在现财年获得10亿令吉的新合约，刚好可补给在上财年第3季获得的11亿令吉合约。
“我们认为，公司现财年盈利增长受压，所以，调低2014至2016财年的盈利预测，分别42%、44%和18%。”

RAM：订单少业绩淡 成荣机构回债展望“负面”

（吉隆坡16日讯）大马评估机构（RAM）宣布，下调成荣集团（MUDAJYA，5085，主板建筑股）子公司成荣机构的回教债券长期评级展望至“负面”。
同时，重申成荣机构的回教债券活动为AA3/P1评级。
RAM表示，下调回教债券评级展望，是因为成荣集团的业绩表现疲弱，且订单合约减少导致净利能见度降低。
集团截至2014财年首九个月净利和营运资金（FFO）对债务覆盖率比例达0.15倍，皆显著低于预期。
此外，在不可预见的情况下，主要合约需要进行大量的额外工作。
虽然成荣集团有信心能够在较后阶段索回成本，但数额却需要通过漫长的谈判才能确认。
“我们相信，集团在末季继续进行额外的工作，将会影响业绩表现。”
RAM补充，未来2年，营运资金对债务覆盖率比例将会回升至接近0.2倍，因预计获得新约，有助提高订单合约。
不过，据悉已竞标的新合约，大部分涉基建和电力领域的合约，一般都会延后颁发。
RAM说，若营运资金对债务覆盖率比例低于0.2倍，或负债率高于0.6倍，长期评级很可能会被下调。【南洋网财经】 |

成荣末季由盈转亏

（吉隆坡27日讯）由于建筑业务承担额外的成本，导致成荣集团（MUDAJYA，5085，主板建筑股）2014財政年第4季（截至12月31日止）业绩由盈转亏，蒙受9971万令吉亏损，前年同期则净赚2290万令吉；营业额也按年锐减43.5%，至1亿8875万令吉，相比前年同期的3亿3434万令吉。
全年而言，该公司同样由盈转亏，亏损7023万令吉，相比前年同期的1亿5118万令吉净利；全年营业额也按年减少32.1%，至10亿4281万令吉，前年同期为15亿3578万令吉。
由于早盘休市时公布亏损的业绩，导致成荣集团在午盘面对沉重卖压，股价应声下跌，盘中交易触及1.46令吉全天最低水平，挫跌17仙或10.43%；不过，隨后稍微收窄跌幅，以1.49令吉闭市，全天跌14仙或8.59%，是全场第9大下跌股。
在卖压下，该股全天共有130万1600股易手，显著高于週四的33万零100股。
成荣集团向交易所呈交財报的文告中指出，旗下建筑业务在去年蒙受8660万令吉税前亏损，相比前年的1亿7740万令吉税前盈利，主要是因为本地建筑项目面对更高的建筑相关和劳工成本，以及承担更改合约订单成本。
此外，该公司旗下去年的製造与贸易业务的税前盈利，也从前年的740万令吉，跌至490万令吉。
无论如何，该公司去年的產业发展业务税前盈利，则从前年的1080万令吉，增至1570万令吉；而发电业务也在去年取得320万令吉税前盈利，该业务没有前年比较数据，因为刚在去年投入营运。【东方网财经】

成荣购印尼Harmoni 46%

（吉隆坡7日讯）成荣集团（MUDAJYA，5085，主板建筑股）宣布，已收购印尼Harmoni能源的46%股权。
该集团是在去年5月，与印尼Indumuda Satria Internusa和Harmoni能源，签署协议备忘录，探讨以580万美元（2088万令吉）收购Harmoni能源的70%股权。
根据最新文告，成荣集团将在之后继续收购另24%股权。
Harmoni能源在2011年时，与3家印尼公司签署了购电协议（PPA），并共同在苏拉威西省兴建、营运和转交（BOT）燃煤发电厂，料可在今年杪竣工启用。【南洋网财经】

答：成榮集團股價跌跌不休，讓我們看看該公司的最新業績表現，相信可能會有點端倪。
截至2014年12月31日為止第四季，該公司轉盈為虧，蒙受淨虧損9千970萬9千令吉（每股淨虧損為18.48仙），營業額為1億8千874萬5千令吉。
該公司全年淨虧損為7千零23萬4千令吉（每股淨虧損為13.01仙），營業額則為10億4千280萬5千令吉。
該公司的每股資產值為2令吉4仙。
工程超支
淨利轉虧
該公司轉盈為虧，主要是一些工程計劃（再那曼絨發電廠）超支所致。
根據大眾研究在今年1月杪的報告指出，該公司在印度發展的4x360兆瓦發電廠計劃，原本在2014年杪開始啟用，惟由於需要更長時間獲准頒發某些准證而再次延遲（雖然首單位已經建峻，預料在近期內可以發電。

内部调查揭发违规交易 成荣集团前职员涉舞弊

（吉隆坡21日讯）成荣集团（MUDAJYA，5085，主板建筑股）内部调查揭发，在一项合约计划中出现违规交易，导致成本扩大，其中一名前职员也涉及弊案。
该公司发布文告指出，在董事部指示下，该公司内部管理工作团队，针对公司合约计划的超支项目进行审核与调查，该项计划也被纳入集团2014年末季财报中。
成荣集团非执行主席拿督尤斯里在文告中表示，调查结果发现，其中一项计划的账目中出现数项额外成本项目，其中一名前职员亦涉及，然而这只是单一个案。
他说，与这项计划相关的所有成本，已完全计入公司账目中。
不影响营运
“这项计划出现的违规交易，并不会影响公司营运表现，或其他的合约计划，也不会对顾客、供应商，以及伙伴造成影响。”
他指出，公司不会再有额外成本支出，也将加强内部监控以及治理架构。
他说，内部调查仍在进行中，在寻求法律意见后，再决定是否针对此事采取法律行动。

該公司是在回覆大馬交易所的詢問，作出上述答覆，交易所早前要求成榮集團公佈“非法交易”的性質和內容。
另外，成榮集團亦再次重申，由於所有的“非法交易”都已被兌現，並反映在截至2014年12月31日止的賬面上，因此深信已無須再為有關課題提供更多撥備。

To quantify “additional cost incurred on a specific project”.
Response
We are unable to disclose the quantum at this point in time as it may jeopardize the ongoing investigation and any legal proceedings that are being initiated. We are also in the process of recoveries and expect there will be a write back sometime in 2015 pending finalisation of the investigation.
The overall additional costs incurred on this project are mainly due to acceleration of works and general increase in construction related costs and costs related to Variation Orders to the original scope of works.
Based on our internal investigation, the Board had firmly emphasised that all costs relating to the particular project and thus to the financial results of the Group, have been fully accounted for in the Company's books. With the information at hand, we are confident that moving forward, no further provisions for costs are required beyond what was reported as at 27th February 2014 with regards to Mudajaya Group financial results for the year ended 31st December 2014. The information thus far suggests clearly that the issue is confined to an isolated case involving one former employee and is restricted to one of our projects only.
Aspects of the investigations are still on-going.
Query 2
To provide name and description of the specific project undertaken by the Group.
Response
We do not have many ongoing projects and by providing the name of the project, it is likely to jeopardize the ongoing investigation process, and therefore we wish to maintain confidentiality. In addition, we are also in the midst of finalising the overall “Variation Orders “claims with the clients.
Query 3
To specify the nature or type of “irregular transactions” that took place in the project.
Response
The irregular transactions uncovered during the internal investigation were due to inaccurate billings and payment of project claims, by a former employee.The Board has referred this matter to the relevant authorities and has obtained legal advice on our next course of action. In addition, the Board has commissioned an international audit firm to assist with this matter.
Query 4
To also quantify the financial impact that has been adequately accounted for in the Group’s 4th quarter results for financial period ended 31st December 2014.
Response
The Board had emphasised firmly that all costs relating to the particular project so far as we have established, the inaccurate or improper project claims were all paid for, thus fully accounted in the Company's books as at 31st December 2014. On this basis, the Board believes no further provision is required to be made for the subject matter. The Board has commissioned an international audit firm and legal consultants to validate the findings of the Work Group.

（吉隆坡1日讯）成荣集团（MUDAJYA，5085，主板建筑股）宣布，擢升总营运长王得和为集团董事经理兼总执行长，即日生效。
而原任的集团董事经理兼总执行长安多约瑟夫，则将交棒退休。
成荣集团主席拿督尤斯里通过文告表示，从2013年委任王得和为总营运长时，集团就一直在进行接棒计划。
“随后，我们在2014年5月，就委任他为Mudajaya企业的董事经理。”
同时，尤斯里也代表董事部向安多约瑟夫致谢，因安多约瑟夫为了让董事部顺利进行接棒工作，已推延了提早一年退休的计划。
王得和在1985年开始涉足建筑及基建领域，在领域拥有丰富的经验。
他也曾为各种不同的大型企业效力，包括马友乃德集团（United Engineers）、拉法基洋灰大马和IJM（IJM，3336，主板建筑股）。

（吉隆坡29日訊）成榮集團（MUDAJYA，5085，主要板建築）截至3月底首季業績陷入虧損，淨虧1966萬令吉，對比去年同期有2506萬令吉淨利，因旗下建築、房產發展和製造貿易業務盈利都下滑，只有能源業務盈利有所成長。
該公司營業額按年跌55%，從3億6641萬令吉減至1億6523萬令吉。
成榮集團指出，將持續競標獨立發電廠工程，尤其是在東協市場，並打算在未來擴展房產發展和預製混凝土生產業務。
另外，成榮集團旗下多項聯營發展協議，包括與R K Powergen私人有限公司在印度建立獨立發電廠、與寮國政府的備忘錄、與曼德勒能源領域部備忘錄、與馬化置地（MULPHAL，7889，主要板房產）的備忘錄，及與印尼Indomuda Satria Internusa和PT Harmoni Energy的備忘錄，至今都沒有進一步發展。

讓馬股企業更透明

上星期，馬股上市公司陸續公佈了2015財政年首季業績；和往常一樣，筆者在這片財報海洋中仔細查閱一些業績較特別的公司資料，同時亦再次為馬股公司的透明度發出幾聲感嘆。
不知道是因為資訊披露標準過於寬鬆，或是因當局無法一一仔細評估上市公司所發佈的文告，馬股中有許多上市公司，在公佈財報時其實並沒有給予詳細的解釋，有時更讓人有種“只是胡亂應酬”的感覺。
結果是，雖然財報公佈了，投資者或小股東們卻無法從管理層口中得知更多有關公司的最新情況和展望，甚至是最新業績究竟受甚麼因素所影響，雖然當局確實有要求上市公司供應這方面的資訊。
這裡有個很好的例子，那就是成榮集團（MUDAJYA，5085，主板建筑組）。
成榮原是家深受市場看好的公司，惟近年來業績卻節節敗退，這難免引起投資者的關注；更甚的是，該公司在去年第四季業績中，意外爆出上億令吉淨虧損，但當季業績報告中並未明確解釋虧損原因，僅輕描淡寫說是因趕工造成額外成本、建築成本整體上揚和工程變更指令（VO）涉及額外成本等。
大約三週後，成榮再發出另一特別文告，透露在針對造成第四季業績虧損的超支項目展開內部調查後，發現某位前雇員可能涉及數宗違法交易，特定計劃亦因此超支，但強調一切潛在衝擊已被反映在賬面上，未來無須再次撥備。
不過，上週出爐的財報卻顯示，成榮再一次蒙受1千966萬1千令吉淨虧損。而這一次，董事部更在解釋中隻字不提由盈轉虧的原因，僅表示營業額下滑是因為工程完工或接近完工的緣故。
結果，到現在也沒人知道該公司業績再虧，是否和撥備有關。
其實，成榮的例子只是馬股中眾多企業資訊發佈問題的冰山一角，許多公司到了今時今日，在資訊供應方面的態度仍顯得非常馬虎，避重就輕的例子多不勝數，如許多公司在“未來展望”欄目中填下的評語，寫了等於沒寫，一些公司更直接從各種經濟和領域報告中摘取數據就算交差了，反觀董事部完全沒表明自己對未來的計劃和看法。
這情況不僅出現在季度財報中，就連一年一度、極為重要的常年報告，也不乏品質粗劣者，董事部似乎連這種年度報告都懶得用心製作，“主席致詞（Chairmman's Statement）”說了等於白說，想從主席口中瞭解有關公司發展情況和前景的投資者，讀了這樣的年報能有收穫嗎？
筆者察覺，很多上市公司對資訊發佈的要求，似乎並非真正是為了和股東或投資者們分享公司資訊，而更像只是為了達到交易所設定的最低限度要求、繼續上市而已，這實在讓人失望和遺憾。
或許，交易所應該正視這樣的現象，想辦法提昇上市公司的資訊發佈素質，如要求上市公司更明確地解釋業績表現，或在財報中披露最新業務進展、展望和投資計劃等資訊，至少足夠讓投資者和股東對公司運作情況有更深入的瞭解。

与IBS 签约 成荣联营预制建材

（吉隆坡16日讯）成荣集团（MUDAJYA，5085，主板建筑股）宣布，间接子公司MJC预制私人有限公司（MJC）与IBS国际预制私人有限公司（IBS），签署联营与股权协议。
根据文告，MJC与IBS将成立联营公司VS Millennium公司，合作通过工业建筑系统（IBS），生产预制产品来供应给建筑项目。
同时，双方也会针对VS Millennium公司的股权分配，进行协调，预计在半年内完成。
一旦协调完成，MJC与IBS将分别持有VS Millennium公司的70%和30%股权。【南洋网财经】
