The two major shareholders of newspaper publisher Nexnews Bhd are making a general offer for all the existing securities that they do not own to give an option to minority shareholders to sell their stakes at a premium to the market and substantially above what Nexnews securities were trading at for much of the past two years.

In a press statement after the voluntary general offer (VGO) was officially submitted to Nexnews on May 9, Net Edge Online Sdn Bhd (which is controlled by Tong Kooi Ong) and Tan Sri Vincent Tan Chee Yioun said Nexnews will be investing more in the publishing business. All these investments require a long gestation period and constant reinvestment.

As such, the company may not be able to post meaningful profits or declare dividends over the near term. Thus, the two major shareholders feel that minority shareholders should be offered the option to sell their shares.

Net Edge and Tan are offering to buy all the remaining ordinary Nexnews shares at RM1.27 each, warrants at 27 sen each and Irredeemable Convertible Preference Shares (ICPS) at RM1 each. The two offerors currently have a collective 53% shareholding in Nexnews.

Nexnews owns 100% of Sun Media Corp Sdn Bhd, which publishes theSun, and 50% of The Edge Communications Sdn Bhd, which publishes The Edge business and investment weekly.

Since the acquisition of Sun Media Corp in 2003, Nexnews has invested heavily in building up theSun’s brand name and circulation base.

Although the free paper has made good progress in the last two years, more money will be invested to further strengthen its position in the market.

Apart from expanding theSun, Nexnews is also investing in new products, such as The Edge FinancialDaily newspaper planned for launch later this month.

If I got newxnews-wa at price RM0.50, so I must loss RM0.23? All nexnews-wa must convert to mother share? We must sell it?

如果像 EBF收購RHB-WA/WC 才一分錢的話，那才比他更會吸人血了。人人都知道vt 鸟人是出名的吸血鬼，會讓大家高興嗎?

吉隆坡10日讯）资讯枢纽（Nexnews，6025，主板贸服股）在被大股东私有化的激励下，母股和优先股作价今日写下两年以来新高，惟献购价远低于目前作价的凭单却遭抛售大跌。

资讯枢纽今早复牌，母股首宗买卖以1.20令吉成交，溢价5仙；资讯枢纽PA也大幅上涨，休市报95.5仙，涨18.5仙，接近大股东每股1令吉的献购价。反观，献购价仅27仙的资讯枢纽WA一开市就遭大力抛售，股价早盘大跌24.5仙至36.5仙。

闭市时，资讯枢纽母股每股报1,21令吉，上涨6仙，成交量有1千万4千零40万3千500股；资讯枢纽PA作价更强劲，猛涨18.5仙，报95.5仙。然而，资讯枢纽WA却呈现逆势，下跌25仙，以36仙挂收。

资讯枢纽大股东丹斯里陈志远周一连同Net Edge线上私人有限公司献议以每股现金1.27令吉的献购价，向小股东提出收购资讯枢纽的46.3％股权。随后，资讯枢纽股票便暂停交易。

Net Edge是由童贵旺控制，早期他是一名银行家。

资讯枢纽的核心是英文财经刊物发行，最畅销刊物为《The Edge》财经周刊，该公司并将另外发行一份财经日报。此外，另外一家公司在本月底也将发行我国全新的英文财经日报－－《The Malaysian Reserve》。

同时，资讯枢纽也是英文报《The Sun》的发行者，这份报章自从走免费报路线后，亏损大大减少，今年首季的亏损已经收窄到98万3千令吉；一年前的亏损高达2千110万令吉。
