削减90仙面值‧私配筹705万 善联拟进军房产投资

（吉隆坡13日讯）善联控股（SANBUMI，9113，主板工业产品股）建议削减股票面值、私下配售和多元化至产业发展与投资业务。

根据文告，善联控股建议把股票面值，从原本的每股1令吉，减少至10仙。

截至上周四（9日），公司缴足股本为1亿8923万8348股，其中包括1510万4500股库存股。

在削减股票面值的过程中，公司将把所有库存股取消，因此，缴足股本将减少至1亿7413万3848股，每股面值10仙。

公司指出，通过这项活动，相信可获得1亿5672万463令吉的账面价值，用来抵消累计亏损。

在削减面值的活动完成后，善联控股也建议私下配售最高占缴足资本30%的新股，给董事与第三方投资者，预期可筹集705万2000令吉。

减少依赖旅游业

善联控股将发行5224万股新股，其中的1741万4000股将配售给第三方投资者。

至于剩余的3482万6000股，将分别配售给公司董事经理兼拿督蔡仲文，以及执行董事兼大股东丹斯里拿督蔡健恭（译音）。

假设每股配售价为13.5仙，公司可筹集705万2000令吉，其中的175万2000令吉用作营运资本，500万令吉给产业发展开销，剩余的支付相关开销。

善联控股也为了减少过度依赖现有的旅游相关业务，并扩展收入来源，因而建议多元化至产业发展与投资业务。

公司将在一块7万988平方尺的槟城土地上，发展综合产业项目，预计发展总值2.4亿令吉，发展开销为1.8亿令吉。【南洋网财经】

锐意扭转亏损 善联在大山脚发展项目

（北海7日讯）以旅游业务为主的善联控股有限公司（SANBUMI，9113，贸易服务组），自2006年以来一直处于亏损状态，目前它谨慎乐观地多样化业务至产业发展，并有意在大山脚兴建一幢楼高37层的服务式公寓，期望能改善集团的盈利前景。

该集团董事经理拿督蔡仲文说：“在特别大会中，股东们批准善联控股推行新业务，并且检讨表现欠佳业务后将它进行重组和巩固。然而，他拒绝透露详情，但只强调我们正在致力地扭转赤字。”

“这是我们唯一选择的途径。我们将继续经营核心的旅游业务，并重组旗下一些业绩不良公司，同时兼营产业发展。”

他向传媒指出：“我们对于首项发展计划持积极态度，因为从长远来看可减少依赖核心业务。我们希望通过产业发展来使集团在未来将会取得更多收入。”

蔡氏称，上述服务式公寓项目坐落在一幅面积0.66公顷的土地上，估计总发展价值达2亿4000万令吉。它将在明年下半年起动工，预计在未来4年将会贡献集团的盈利。

他表示：“我们有一项新业务计划，预计它可积极地贡献集团，如无意外该业务是没有风险，但是我们不能够承诺什么。在槟城，我们看到产业复苏，因为令吉汇价疲弱，激励外资前来采购本地产业，目前令吉汇价较今年初下跌20至30％。”

自去年马航发生2宗空难后，严重影响到中国游客前来大马观光，因此善联控股不想继续依靠旅游业务。

蔡氏说：“我们的主要业务对象是中国游客，他们占国内旅游人数50至60％。我们拥有酒店和旅行社游来招待他们。但在发生上述悲剧，以及在沙巴州出现绑架游客事件后，使到去年中国游客人数显著降低。”

除了旅游业务外，它还拥有和经营3家酒店、连锁旅行社和纪念品商店，而且也经营木材和起重机贸易，以及锯木厂业务。

该集团在致函股东们称：“我们拥有21.3公顷的土地储备，而新的多元化业务将部分闲置资产重新调动至较大生产力用途的业务。在股东特别大会中，我们也获得股东们同意私下配售新股筹集575万令吉的资金，以资助上述服务式公寓项目的初期发展成本。”

股东们还同意善联控股注销1510万股库存股，因此将原本1亿8924万股面值1亿8924令吉的已发行及缴足股本，削减至1亿7413万股面值1亿7413万令吉。削减股本将可提高1亿5672万令吉的贷款，这将用于弥补公司的累积亏损。

他指出，在考虑到集团于截至2015年6月30日止财政年度，仅拥有1462万令吉的现金储备，因此有需要锁定一笔过渡性贷款。

在截至2015年6月30日止第1季度，它的净亏损按年从250万令吉收窄53.9％至160万令吉。而累积亏损则高达1亿2059万令吉。

善聯控股 遭追稅近31萬

（吉隆坡3日訊）善聯控股（SANBUMI，9113，主要板貿服）子公司Sanbumi水運私人有限公司接獲內陸稅收局發出罰單，追討總值30萬8897令吉稅款和罰款。

該公司向馬證交所報備，有關罰單是追討2009財年26萬7443令吉稅款，及10%和額外5%遲繳罰款，分別達2萬6744令吉和1萬4709令吉。

不過，Sanbumi水運無法支付這筆罰款，因此已在2013財年經審核財務報表進行撥備，估計將不影響公司和善聯控股。

但Sanbumi水運已針對這項追稅向所得稅特別委員會提出上訴，有待當局最終決定。【中国报财经】
