換股轉移上市地位‧興業資本31日停牌後清盤

（吉隆坡20日訊）興業資本（RHBCAP,1066,主板金融組）將從5月31日（週二）起停牌，以便進行將上市地位轉移給興業銀行的換股行動，之後興業資本將申請自願清盤。

興業資本在文告中表示，換股計劃的除權和享有日期分別為6月2日和6月6日。

根據興業資本和興業銀行的股本份別為30億7千467萬令吉和40億1千萬令吉計算，每1股興業資本可換取1.3股興業銀行股票。

興業資本將根據條例，自5月31日（週二）起停牌，以方便進行換股行動，因此其最後交易日期為5月30日。

該公司將會在5月23日發出股東通知書給股東。

另外，該公司也表示，將在完成換股後申請清盤和結束營運，並已委任安永公司的杜端傑和許寶寶（人名譯音）為清盤師。

On 14 April 2016, RHB Investment Bank Berhad (“RHB Investment Bank”) had, on behalf of the Board of Directors of RHB Capital (“Board”), announced that the Internal Reorganisation of RHB Capital was completed on even date. On 15 April 2016, RHB Investment Bank had, on behalf of the Board, announced that RHB Capital had on 15 April 2016 filed a petition to the High Court of Malaya (“High Court”) to obtain a court order to confirm the reduction of the Company’s issued and paid-up share capital and share premium account pursuant to Sections 60(2) and 64 of the Companies Act, 1965 (“Act”) for the Distribution and Capital Repayment. The order of the High Court was subsequently granted to RHB Capital on 13 May 2016. 利息收入增 撙节省成本 兴业资本首季赚5.5亿

（吉隆坡25日讯）兴业资本（RHBCAP，1066，主板金融股）截至3月杪首季，净利按年扬15.9%，从4亿7627万7000令，增加至5亿5201万7000令吉或每股净利18仙；当季营业额按年升1.16%，报27亿3123万4000令吉。

兴业资本集团董事经理拿督凯鲁沙林兰里在文告中指出，对于公司的首季业绩，管理层感到相当满意。

根据文告，由于贷款减值拨备走低、净利息收入上涨，以及改善成本措施奏效，因而提振了首季业绩表现。

在这当中，首季贷款减值补贴从5020万令吉，提高至8020万令吉。

此外，净利息和基金收入按年涨12.1%，录得10.981亿令吉，归功于净利息赚幅攀升7个基点，达2.22%。

同时，总贷款规模在当季按年增4.2%，报1496亿令吉，也为净利息和基金收入捎来佳音，并帮助公司取得9.3%的国内贷款市场占有率。

首季总资产则萎缩2.3%，至2255亿令吉，归咎于净贷款组合与金融资产减少。

在成本与开销方面，由于成本优化举措交出良好表现，因此，营运开销按年减少5.2%，成本对收入比例也下滑至48.5%，低于去年同季的54.3%。

呆账改善至1.82%

首季总呆账率报1.82%，低于截至去年12月杪的1.88%，当季贷款亏损覆盖率则进一步扬至85.8%，超越去年底的83.3%。

此外，兴业资本的当季投资回酬率，达9.6%。

从各个业务来看，为业绩带来最多贡献的零售银行业务，因受到竞争激烈影响，因此，业务税前盈利按年跌4.6%，至2.946亿令吉。

不过，资金、国际和回教业务的盈利录得增长，抵消了部分冲击。

展望未来，凯鲁沙林兰里表示，公司会持续抱持谨慎态度，来应付市场波动与挑战。

“我们将继续提升效率及生产力，来重新调整业务基本面，并找出增长机会。”

1股换1.3股兴业银行

配合重组计划，兴业资本以1对1.3的比例，分配兴业银行的股票给股东，符合分析员预期。

根据文告，兴业资本股东每持有1股，将可得到兴业银行的1.3股，并会在6月2日进行除权。

完成资本分配后，董事将会进行一项自愿清盘活动，把上市地位转给兴业银行，以及清算剩余的资产。

同时，集团之后将会召开股东特别大会，而管理层希望能够在7月完成所有程序。

首季業績有驚喜‧興業3年財測上調

（吉隆坡26日訊）興業資本（RHBCAP，1066，主板金融組）首季業績傳佳訊，表現獲分析員豎拇指贊好，未來3年財測亦獲一些分析員上調，調漲幅度介於14至18%不等。

根據統計，興業資本首季淨利佔各證券行全年財測26至31%，整體超越市場預期。

受業績報刺激，興業股價今日趨強，全天漲12仙，以6令吉18仙掛收。

馬銀行研究指出，興業資本首季業績讓人驚喜，歸功於開銷和撥備低於預期，淨利息賺幅（NIM）升高、毛貸款撥備率改善至1.82%等亦是亮點。

考慮到首季業績標青，馬銀行上調2016至2018年財測14至18%，以反映成本節約和賺幅改善。

貸款成長續承壓

聯昌研究則認為，雖然興業資本首季業績領先預期，但未來3季淨利卻可能相對低，因類似首季般的賺幅成長不太可持續，因此維持財測不變。

聯昌說，興業的貸款成長持續面對壓力，成長率從去年第四季的6.4%再減至今年首季的4.2%，創2008年6月以來最低成長，主要是受一筆高達11億令吉的大型企業還貸額影響。

達證券預見，在全球市場持續波動的影響下，興業資本未來料在推動營業額成長方面面對一些挑戰。對此，管理層的應對方法是繼續優化成本架構和生產力。

因此，達證券雖預測營業額表現將無驚喜，淨利卻可望在貸款開銷低於原先預估扶持下走高，所以上調興業2016至2018年財測15.26%至18.36%。

（吉隆坡23日讯）兴业银行集团宣布改组新的高层管理人员，以进一步改善集团结构、为企业客户提供较佳服务，以及将新加坡视为一个重要的市场。

该银行集团在声明中表示，将会成立一个名叫集团批发银行策略业务部门（GWB），并于7月1日起生效，该部门结合了银行业务、投资银行业务、客户覆盖面、集团的库房、全球市场资产管理和私募股权。

兴业资本集团董事经理拿督凯鲁沙烈南利将会领导这个新部门。

此外，兴业集团还宣布，在新加坡加强重点业务和运营，还有当地的其他高层管理人员出现变动，并于7月1日起生效。

目前，兴业投资银行董事经理兼首席执行员陈祥源，将成为新加坡兴业银行首席执行员。至于新加坡兴业银行现任首席执行员黄詹森（译音）将会离职，以追求更好的机会。

新加坡兴业证券首席执行员罗伯特胡莱，将会接任兴业投资银行首席执行员兼集团投资银行业务主管。

与此同时，目前新加坡兴业证券亚洲债务资本市场主管杨伟铭（译音），将会接替胡莱作为新加坡兴业证券首席执行员。

兴业银行周二挂牌
取代兴业资本地位

（吉隆坡24日讯）兴业资本（RHBCAP，1066，主板金融股）今日在股东大会上获得股东批准公司清盘后，兴业银行将展开上市程序。

根据文告，兴业银行预计将在下周二（28日）挂牌，取代兴业资本的上市地位，缴足股本共达40.1亿股。

兴业银行集团董事经理拿督凯鲁沙林兰里表示，兴业资本会依据程序解散公司，扣除债务和开销后的剩余现金，将退还给股东。

他说，兴业资本在暂停交易前的市值为187.6亿令吉，股票数额为40.1亿股，以此计算，兴业银行的参考价为每股4.68令吉。【e南洋】

兴业银行重新上市　专注提高效率

（吉隆坡28日讯）隨著兴业银行（RHBBANK，1066，主板金融股）今天换「新装」在大马股市上市，並已完成所有企业重组活动，该行接下来將专注于提高效率和生產力。

兴业银行是在今天取代已除牌的兴业资本（RHBCAP）的上市地位，成为兴业集团的新金融控股公司，迈入另一个里程碑。按兴业资本之前的188亿令吉市值来算，兴业银行的参阅价是每股4.69令吉。

无论如何，由於受到马股疲软的拖累，兴业银行首日无法贏得市场的喝彩，其股价早盘以4.64令吉开市，比参阅价4.69令吉低了5仙或1.07%，盘中更一度跌深至4.56令吉。

兴业银行股价在午盘反弹，最终收报4.84令吉，全天溢价15仙或3.20%，转手量是111万股。

兴业银行董事经理拿督凯鲁沙烈今天在大马交易所主持兴业银行上市鸣锣仪式，大马交易所首席执行员拿督达祖丁阿丹、兴业银行主席丹斯里阿兹兰和兴业银行大股东黄宗华均有出席这项仪式。

凯鲁沙烈之后在记者会上表示，虽然兴业银行股价在开市时跌了5仙，但从目前全球市场疲弱的情绪来看，这样的表现已算不错。

与此同时，他说，「我们不会每天盯著公司股价，更重要的是接下来专注於银行本身的基本面，及提高我们的效率和生產力。」

此外，凯鲁沙烈强调，兴业银行今年首季的成本对收入比率（CTI），已从去年同期的56%，降低至48%，该行的目標是將该比率控制在50%左右。

营运方面，凯鲁沙烈称，兴业银行希望將新加坡打造成东南亚业务的中心点，该行刚委任陈祥源出掌新加坡营运，並期待新加坡营运未来可作出更显著的营收贡献。

陈祥源之前在兴业投行，担任董事经理兼首席执行员。

针对英国脱欧对大马金融市场是否会有影响时，凯鲁沙烈回应说，金融市场短期內可能比较波动，市场正在观察事態的进展，目前很难评估英国脱欧对大马带来的实际影响。

「国际信贷评级机构惠誉（Fitch）和標准普尔（S&P）皆刚调降英国的信用评级，乃初步的衝击。但我相信大马的情况尚可，因国家银行仍掌控一切。」

涉及兴业资本（兴业银行的前身）、联昌国际（CIMB，1023，主板金融股）、马建屋（MBSB，1171，主板金融股）和兴业资本的银行大合併，在2015年1月破局后，本地银行格局被打回原形，各自拼成长。

重组4步骤

兴业资本前董事经理甘志强在同年4月12日宣佈辞职，该行隨后也出抬涉及4个步骤的重组活动，以便重新上路。

这些重组活动计为：一，发附加股集资25亿令吉；二，將兴业资本子公司的股权和债务注入兴业银行；三，將兴业银行的股票分配给股东；四，將上市地位转移给兴业银行。

兴业资本在1个月之后宣佈，委任凯鲁沙烈南利成为该银行的新舵手。兴业资本上个月交出不俗的2016年首季业绩，营业额按年略起1.16%，至27亿3123万令吉；净利按年上扬16%，至5亿5202万令吉。

兴业回教银行委新CEO

（吉隆坡4日讯）兴业银行（RHBANK，1066，主板金融股）宣布，委任拿督阿迪沙迪肯阿里为兴业回教银行的董事经理兼总执行长，取代哈兹伊布拉欣哈山。

兴业银行董事经理拿督凯鲁沙林兰里在文告中指出，委任状将于8月1日正式生效，届时，阿迪沙迪肯阿里将负责引领视察区域商机、管理及扩大集团的回教银行业务，放眼提升成为国内前三名的回教银行机构。

他说，阿迪沙迪肯阿里拥有超过21年的金融服务业的经验，因此，有信心他能够强化和发展集团的回教银行业务，达至成为东南亚顶尖的回教银行目标。【e南洋】

需时消化国行降息措施．兴业银行暂不降息

（吉隆坡15日讯）兴业银行（RHB Bank）正在消化国家银行下调隔夜政策利率（OPR）25个基点至3%的宣布，并将在获得内部及监管部门的批准后，作出调整利率宣布。

兴业银行集团零售银行执行董事余清福受询时对星洲日报说，上述利率调整仅限于浮动利率贷款，即与基本利率（BR）或基贷利率（BLR）挂钩的贷款，不包括固定利率贷款，如车贷及个人融资。

谈到国行的宣布，他说：“虽然我们预料（国行）会减息，但这时机令人惊讶，因为我们和大部份观察员都以为这（减息）将在今年迟些时候发生。

“不过，我们认为国行是基于大马经济的最佳利益，而采取这项前瞻性的调节措施，这表示国行愿意在消费者情绪审慎的环境下，采取果断的措施来刺激内需。”

兴业银行降息

（吉隆坡20日讯）配合国家银行把隔夜政策利率（OPR）调降25个基点至3%，兴业银行集团宣布降息。

兴业银行集团也宣布下调年度基准率，从3.90%下调至3.80%，其年度基本贷款利率及基本融资利率，则从6.85%降至6.75%，从7月22日起生效。

兴业银行集团董事经理拿督凯鲁沙林兰里指出，降息将刺激本地需求及振兴经济增长，同时也减轻客户的金融负担。【e南洋】

興業銀行首要服務 年底冀增30%新富客

（吉隆坡25日訊）興業銀行（RHBBANK，1066，主要板金融）推介全新的興業銀行首要服務產品、標誌和新的主張價值，旨在年底達到獲30%新客戶增長目標，提高現有低于3萬人的富裕階層客戶基礎。

興業銀行首要服務產品主要是為獎勵富裕階層客戶。這項服務主要有4個要點，包括接洽獲得認證的客戶關係經理和投資專才、日常銀行需求的便利、生活方式，及興業銀行的Premier Visa Infinite信用卡和轉賬卡。

興業銀行執行董事兼集團零售銀行業務主管余清福指出：“目前，旗下的390萬客戶中只有2%屬富裕階層。配合大馬富裕人口持續攀升，我們看見這個領域的龐大潛能，料在2020年增長85%。”

“這全新的興業銀行首要服務產品將是推薦給富裕客戶，有更好的服務和生活體驗，我們希望提高源自這方面的盈利收入。”

興業資產管理與美企 推出首個多元策略基金

（吉隆坡27日訊）興業銀行（RHB）旗下興業資產管理（RHB Asset Management）與紐約投資公司Neuberger Berman簽署戰略夥伴協議，並推出亞洲首個多元策略私募基金。

興業資產管理董事經理兼集團資產管理區域主管黃詠萱透過文告稱，在為期5年的合作夥伴關係下，雙方將互相依賴彼此的核心專長、經驗和專業知識。

根據文告，Neuberger Berman管理資產值（AUM）達2430億美元（約9922億令吉），全球共19家分公司，至今擁有2100名職員。

同時，配合是項協議，興業資產管理宣布推出亞洲首個多元策略私募基金，為投資者提供分散投資的機會。該私募基金每單位發售價為1令吉，初步投資額最少為10萬令吉。【中国报财经】

兴业银行基础利率再降15个基点

（吉隆坡29日讯）兴业银行（RHBBANK，1066，主板金融股）宣布进一步调降基础利率（BR）15个基点，至3.65%；同时，也將基本贷款利率（BLF）和基准融资利率（BFR）各调降15个基点，至6.60%，从即日起生效。

基贷率调至6.60%

兴业银行今天发文告指出，將基础利率从3.80%，调低至3.65%，而基本贷款利率和基准融资利率，则分別从6.75%，调低至6.60%。

这是国家银行于7月13日將隔夜政策利率（OPR），调降25个基点，至3%之后，兴业银行第2度调低基础利率、基本贷款利率和基准融资利率。


兴业银行董事经理拿督凯鲁沙烈在文告中解释说，该银行进一步下修基础利率、基本贷款利率和基准融资利率，主要是为了反映吉隆坡银行同业拆息率的走势，符合基础利率框架。

有利借贷客户

「同时，这也是配合国家银行下修隔夜利率政策25个基点的决策，所做出的调整。基础利率降低料有利于兴业银行的借贷客户。」

隨著国行宣布降息，各大银行陆续调低了它们的基础利率、基本贷款利率和基准融资利率，而兴业银行早前于7月20日把基础利率从3.90%，降低10个基点，至3.80%，而基本贷款利率和基准融资利率也分別调降10个基点，从6.85%，下调至6.75%。因此，兴业银行今天进一步调息，是首家银行在本月第2度降息，该银行共將其借贷率下调了25个基点。【东方网财经】

兴业银行委丽贝卡任非执董

（吉隆坡1日讯）兴业银行（RHBBANK，1066，主板金融股）宣布，委任贸工部前秘书长丹斯里丽贝卡博士，担任独立非执行董事。

现年58岁的丽贝卡，在2010至2016年6月之间，担任贸工部秘书长；在这之前（2006至2010年），她是贸工部副秘书长。
