星辰建筑赢1293万合约

2018年1月18日
(吉隆坡17日讯)星辰建筑(FAJAR,7047,主板建筑股)获得大马机场(AIRPORT,5014,主板贸服股)颁发1292万5000令吉合约,为吉隆坡国际机场(KLIA)进行升级工程。

星辰建筑向马交所报备,独资子公司Fajarbaru Builder今日收到来自大马机场(雪邦)私人有限公司的得标信函。

根据文告,该合约为期14个月,将从今年2月1日起至明年3月31日。

公司预计,该合约将贡献截至6月杪2018及2019财年的盈利与净资产。

星辰建筑在去年12月时曾获得大马邮政(POS,4634,主板贸服股)颁发2204万8000令吉合约,负责扩建KLIA的综合包裹分类中心。 【e南洋】

The Board of Directors of Fajarbaru Builder Group Bhd. (“FBG” or “the Company”) wishes to announce that a wholly owned subsidiary of the Company, Fajarbaru Builder Sdn. Bhd. has on 17 January 2018 accepted a Letter of Award dated 12 January 2018 from Malaysia Airports (Sepang) Sdn. Bhd. in respect of the project known as "Proposed Improvement Works and Upgrades the Existing Building, Satellite Building at Kuala Lumpur International Airport (KLIA) Complex which involves Mezzanine Floor, Passenger Floor and Ground Floor on Lot No. PT13 of Kuala Lumpur International Airport in Sepang District, Selangor Darul Ehsan" (“the Contract”).

The Contract period is Fourteen (14) months commencing from 1 February 2018 to 31 March 2019.

The Contract value is Ringgit Malaysia Twelve Million Nine Hundred Twenty Five Thousand only (RM12,925,000.00), excluding of 6% Goods and Services Tax (GST).

The Contract will have no material effect on the share capital and substantial shareholders’ shareholding of FBG.

The Contract is expected to contribute positively to the earnings and net assets of the FBG Group for the financial years ending 30 June 2018 and 30 June 2019.
None of the Directors and Substantial Shareholders, persons connected to the Directors or Substantial Shareholders of the Company and its subsidiaries or persons connected thereto have any interest, direct or indirect in the Contract.

The Directors of the Company are of the opinion that the Contract is in the best interest of the Group.

This announcement is dated 17 January 2018.

Fajarbaru Builder Group Bhd. (FBG or the Company) Arbitration : Fajarbaru Builder Sdn. Bhd. ("FBSB") claiming against Shaw Plaza Sdn. Bhd. ('SPSB') a sum of RM22.8 million
Reference is made to the Company’s announcement dated 20 March 2012 in relation to the Contract known as "Cadangan Meroboh dan Membina Semula Sebahagian Kompleks Shaw Parade 6 Tingkat Sediada bagi Pembangunan: Fasa 1: i) Ruang Perdagangan/Kedai & Pejabat dari Tingkat Bawah hingga Tingkat 4, ii) Tempat Letak Kereta di Tingkat 5 & 6 Berbumbung, iii) M & E di Tingkat 7 dan Basemen; Fasa 2: i) Membina Bilik Mesyuarat & Bilik Pengurusan di Tingkat 8 dan 11 Tingkat "Budget Hotel" (288 Bilik) dari Tingkat 9 hingga 19, ii) M & E dan Roof Garden di Tingkat 20 di atas Lot 997, Jalan Changkat Thambi Dollah, Seksyen 62, Kuala Lumpur” (“the Contract”) accepted by Fajarbaru Builder Sdn. Bhd. (“FBSB”), a wholly owned subsidiary of the Company, from Akitek Tenggara Sdn. Bhd., on behalf of its employer, Messrs Shaw Plaza Sdn. Bhd. (“SPSB”). FBSB and SPSB had subsequently entered into a Mutual Termination Agreement dated 25 May 2015 (“MTA”).

Differences and disputes have arisen between the FBSB and SPSB under the Contract and the MTA. The Board of Directors of FBG wishes to announce that through its Solicitors’ letter dated 19 April 2019, FBSB informed SPSB that they are agreeable to resolve their differences and disputes by way of arbitration proceedings. FBSB has indicated to SPSB that they have a claim against SPSB amounting to RM22.8 million, in addition to other damages, costs, interests and other expense claims.

Based on the current information, the arbitration proceedings are not expected to have any material financial or operational impact on the Company for the financial year ending 30 June 2019. The Company will announce any material development arising from the above proceedings as and when necessary.

This announcement is dated 22 April 2019.

(“FBSB”), a wholly owned subsidiary of FBG, has accepted a Letter of Award for Main Building Works (Phase 1) (“Contract”) dated 19 June 2019 issued by Ong & Ong 360 Consultancy Sdn. Bhd. on behalf of Malton Development Sdn. Bhd. (“MDSB”), a wholly owned subsidiary of Malton Berhad, in respect of the Proposed High-Rise Residential Development comprising of 3 Tower Blocks: Tower A (46-Storey), B (49-Storey) and C (30-Storey) encompassing 536, 572 and 268 units respectively on top of a 3-level of Basement Car Park and 10-level of Podium Car Park and Facilities on Lot 345 (PT 193) Section 48, Jalan Kolam Air, Off Jalan Kuching, Kuala Lumpur, Wilayah Persekutuan (“Duta Park Residences”).

The Contract is for Phase 1 of the Duta Park Residences with a Contract sum of Ringgit Malaysia Two Hundred Ninety Seven Million Five Hundred Forty Three Thousand Seven Hundred Forty Nine and Cents Thirty Only (RM297,543,749.30). The Contract period is Thirty Six (36) months from the Date of Commencement.

Phase 2 of the Duta Park Residences is subject to confirmation of award by MDSB within the 12 months period at a locked in price of Ringgit Malaysia One Hundred and Eight Million Thirty One Thousand Two Hundred and Fifty and Cents Seventy Only (RM108,031,250.70). Additionally, the locked in price shall remain valid for a period of 12 months from the Date of Commencement of Phase 1.

The Contract will have no material effect on the share capital and substantial shareholders’ shareholding of FBG.

The Contract is expected to contribute positively to the earnings and net assets of the Group from the financial year ending 30 June 2020 onwards.

(吉隆坡14日讯)星辰建筑(Fajarbaru Builder Group Bhd)及独资子公司Potential Region私人有限公司已与中国葛洲坝集团海外投资有限公司(China Gezhouba Group Overseas Investment Co Ltd,CGG)签署一项联营协议,竞标一座大型太阳能光伏发电厂的建设项目。

星辰建筑今日向大马交易所报备,将以Fajarbaru-Gezhouba-Potential Region Consortium的名义,联合向能源委员会(EC)提交标书。

星辰建筑6月宣布,已与这家中国公司签署谅解备忘录(MoU),共同参与能委会征求建议书的提议。

除了建设该发电厂,联营财团还将向位于彭亨Pekan 1区的Tanjung Agas工业区提供40兆瓦光伏的太阳能光伏能源。

根据联营协议,星辰建筑将持有52%股份、Potential Region将持5%,余下43%则由CGG子公司中国葛洲坝集团海外投资香港有限公司拥有。

星辰建筑指出,联营协议的执行,对集团截至2020年6月30日止财政年的每股盈利、每股净资产、负债、股本和大股东持股没有任何影响。

Bhd., had on 14 August 2019 entered into a Joint Venture Agreement with China Gezhouba Group (Hong Kong) Overseas Investment Co., Limited, a wholly owned subsidiary of CGG, (collectively as the “Parties”) for the purpose of jointly submitting a tender to Suruhanjaya Tenaga in the name of Fajarbaru-Gezhouba-Potential Region Consortium in connection with the project known as “The development, installation, implementation and operation of a large scale solar photovoltaic energy generating facility and deliver solar photovoltaic energy to Tenaga Nasional Berhad with total capacity of 40MWac in Tanjung Agas Industrial Area, Mukim Pekan 1, Pahang Darul Makmur”, and in the event of the successful award, the Parties are desirous of jointly executing the design, construction, completion and maintenance of all the work required under the contract being signed between the Parties and Tenaga Nasional Berhad.

LETTER OF AWARD ON THE CONTRACT FROM KNUSFORD CONSTRUCTION SDN. BHD.
The Board of Directors of Fajarbaru Builder Group Bhd ("FBG" or "Company") is pleased to announce that Fajarbaru Builder Sdn. Bhd. (“FBSB”), a wholly owned subsidiary of FBG, has accepted a Letter of Award dated 16 August 2019 issued by Knusford Construction Sdn. Bhd. (“KCSB”), a wholly owned subsidiary of Knusford Berhad, in respect of the Construction and Completion of Bridge Structure Works for Salak Interchange (Southbound1 P12, Ramp 2A, Ramp 2D, Ramp 2F, BR1 and BR2) - Package 2 of Setiawangsa – Pantai Expressway (SPE) – Duke Phase 3 Section 1 – Kerinchi to Salak (“Contract”).

The Contract sum is Ringgit Malaysia Forty One Million Two Hundred Fifty Thousand Only (RM41,250,000.00).

The Contract period is Fourteen (14) months from the commencement date.

The Contract will have no material effect on the share capital and substantial shareholders’ shareholding of FBG.

The Contract is expected to contribute positively to the earnings and net assets of the Group for the financial years ending 30 June 2020 and 30 June 2021.

None of the Directors and Substantial Shareholders, persons connected to the Directors or Substantial Shareholders of the Company and its subsidiaries or persons connected thereto have any interest, direct or indirect in the Contract.

The Directors of the Company are of the opinion that the Contract is in the best interest of the Group.
