星辰建筑净利挫59%

(吉隆坡2日讯)星辰建筑(Fajar,7047,主板建筑股)截至9月30日首季写下59.06%的净利跌幅,从上财年的153万4000令吉,按年跌至62万8000令吉。

根据公司最新季度财报,首季营业额为3243万9000令吉,较上财年的5517万6000令吉跌41.21%。

星辰建筑解释,两项工程延期导致建筑业务录得较低的营收,从去年同期的5518万令吉减少至3244万令吉。

至于其他业务,除了房产业务带来24万3180令吉收入,其他投资控股等业务则未有贡献。

公司首季每股盈利为0.33仙,较上财年的0.92仙来得低。

董事部表示,公司未来几年将忙碌于数项已进行中的工程,并会继续专注参与本地建筑工程的竞标,以取得更多订单。[Nanyang]

該項工程為期27.5個月,預計會為公司截至本財年6月底至2015財年6月底盈利作出貢獻。

公司董事局認為,該合約為公司最佳的利益。

Fajarbaru Builder私人有限公司在去年5月,獲馬資源工程(MRCB Engineering)頒予安邦線延長計劃分包合約,負責建設、完成、測試和啟用車站設備的變電站。[中国报财经]

Reference is made to the announcement on 3 May 2012 in respect of the acceptance of Nominated Sub-Contract from MRCB Engineering Sdn. Bhd. (“MESB”) by the wholly owned subsidiary of the Company, Fajarbaru Builder Sdn. Bhd. (“FBSB”) on the construction, completion, testing and commissioning of depot and TPSS Kg. Kuala Sungai Baru including civil works, external works and all other associated works (Package B) for Ampang (AMG) Line Extension Project.

The Board wishes to inform that MESB had vide its letter dated 23 January 2013 terminated the said Nominated Sub-Contract with FBSB based on the mutually agreed arrangement between Syarikat Prasarana Negara Berhad (“Prasarana”) and MESB on the omission of the entire Main Contract on the Project, in order to facilitate Prasarana to realize the cost and time benefits associated with the proposed alternative design by FBSB.

FBSB has on 29 January 2013 received the Letter of Acceptance from Prasarana to undertake and continue to complete the Project for contract sum of RM289,444,848.97 (Ringgit Malaysia Two Hundred Eighty Nine Million Four Hundred Forty Four Thousand Eight Hundred Forty Eight and Sen Ninety Seven) only (“Contract”).

The construction period is 27.5 months from the date for possession of the site.

The said Contract will have no material effect on the share capital and substantial shareholders’ shareholding of FBG.

The said Contract is expected to contributed positively to the earnings and net assets of FBG Group for the financial years ending 30 June 2013 to 30 June 2015.

None of the Directors and Substantial Shareholders, persons connected to the Directors or Substantial Shareholders of the Company and its subsidiaries or persons connected thereto have any interest, direct or indirect in the said Contract.

The Directors of the Company are of the opinion that the said Contract is in the best interest of the Group.

建筑业务表现佳 星辰建筑转盈155万

(吉隆坡20日讯)建筑业务表现优越,星辰建筑(Fajar,7047,主板建筑股)截至今年3月31日止第三季转亏为盈,录得155万4000令吉净利及0.83仙每股盈利。

第三季营业额也飙升170.46%至6859万1000令吉;相比之下,该公司于上财年第三季净亏392万令吉、面对2.18仙每股亏损、营业额达2536万1000令吉。

星辰建筑解释,建筑活动增加促使建筑业务的营业额按年跃升至5880万令吉(上财年为2540万令吉),是带动第三季业绩的主要因素。

截至今年3月31日止首9个月,该公司取得290万8000令吉净利、营业额年增4.86%至1亿3877万3000令吉,每股盈利达1.55仙。

星辰建筑预见持续进行的建筑工程,会继续带动营业额增长,它也将活跃地竞标本地建筑工程,以便填补现有订单。

目標價:83仙

星辰建築(FAJAR,7047,主要板建築)首3季按年轉虧為盈,漸擺脫之前建築計劃展延陰影,前景露曙光,今年底或明年初前放眼獲得總值7億令吉訂單。

隨著合約執行速度加快,該公司首3季從上財年同期虧損110萬令吉,按年轉盈至290萬令吉,營運賺幅從0.4%改善至3.2%。

在新合約訂單方面,該公司給予明確的7億令吉目標,大選后建築業將陸續釋放更多大型工程,新目標不難達成。

不過,之前工程展延仍將影響賺幅,或導致今年收入減29%,但此現象2014財年料獲改善,訂單額亦可額外增加至少3億令吉。

除了一些主要承包商展延工程及建材起價的風險,在擁有明確合約新目標及領域前景強勁前提下,該公司未來收入前景更佳,尤其是本財年末季成長,我們決定上調投資評級及目標價格。

讀者老黃問:我是建築股星辰建築(FAJAR,7047,主板建築組)的小股東,大選前它的股價跌到很低。聽說最新業績表現比去年好,業務前景如何,以目前市價值得加碼補貨,或是減持?

答:星辰建築最新業績确是比去年好,截至2013年3月31日為止,第三季淨利為160萬令吉,而去年同期則蒙受淨虧損392萬令吉。

第三季營業額按年增加170.46%,至6千859萬1千令吉,因為旗下工程,包括輕快鐵擴建及火車站,邵氏廣場計劃等全面施工所致。

同時,該公司的有效稅率低至1.3%,主要是使用未吸納稅務虧損所致,為其最新季度業績較好的主要催化因素。該公司在第三季沒有派股息。

首9個月,該公司淨利為290萬令吉,主要是工程賺幅較低,以及之前出現工程延遲推行的拖累。

針對星辰建築業務前景,肯納格研究指出,該公司預期在今年杪或明年初,相信可取得約值7億令吉的新填補工程合約。

在大選後的建築業前景較佳及預期當局發出更多工程合約,相信有關新合約目標很有希望實現。而投資者需要關注它取得合約的新聞消息。

肯納格將其2013年財政年淨利預測,調低29%至490萬令吉,之前預測為淨利690萬令吉。不過,預測其2014年淨利可微增1.5%至1千990萬令吉(之前為1千960萬令吉),主要是看好可在2014年財政年攫取3億令吉新工程合約(沒有包括上述的7億令吉)。

肯納格將其目標價(12個月內)調高至83仙(之前為51仙),或等於2014年財政年預測本益比的8.0倍,並給予“超越大市”評級。

(吉隆坡29日訊)星辰建築(FAJAR,7047,主板建筑組)截至2013年6月30日止,末季在營業額大唱豐收下轉虧為盈,獲利126萬8千令吉,促使全年也取得417萬6千令吉淨利,比較前期末季和全年為蒙損2千零13萬4千和2千128萬令吉。

該公司次季營業額暴增793%到7千442萬8千令吉,全年營業額也飆升51.56%到2億1千320萬1千令吉。

該公司在文告中指出,該公司將持續專注核心業務-建築,隨該公司攫獲數計劃並將在未來數年落實,營業額成長可期;產業部方面,該公司已獲準在馬六甲發展服務型公寓,預計在下個財政年推介,該公司也在申請發展仙都和蒲種的地段,隨地段價昂貴,未來三年的產業部料帶來顯著貢獻;該公司也將探討更多業務和發展機會。(星洲日報/財經)

ACQUISITION OF 408,000 ORDINARY SHARES OF RM1.00 EACH FULLY PAID UP IN BILLION VARIETY SDN. BHD.
The Board of Directors of Fajarbaru Builder Group Bhd wishes to announce that the Company had on 18 February 2014 entered into a Share Sale Agreement to acquire 408,000 ordinary shares of RM1.00 each in Billion Variety Sdn. Bhd. (Company No. 758147-T) ("BVSB") representing 51% of the total issued and paid up capital in BVSB from the unrelated party, Dato’ Sri Lim Ah Chap and Dato’ Lim Siew Mei for a total cash consideration of RM408,000.00 (Ringgit Malaysia Four Hundred and Eight Thousand only) (“the said Acquisition”).

星辰建筑拟发附加股

(吉隆坡27日讯)星辰建筑集团有限公司(FAJAR,7047,建筑组)建议发行2配1附加股附免费凭单活动,所募集的资金总额可高达6028万令吉。

它在致给大马交易所文件中称,在上述行动下,它计划发行最多达1亿2056万附加股,以及每1附加股送1凭单方式,发行高达1亿2056万张凭单。

星辰建筑表示,一旦获得所有批准后,它将在宣布配额日期前,公布较后决定的附加股及凭单价格。

该公司指出,其董事会已经确定会发行建议中附加股附凭单活动,最低认购水平为1039万9003附加股,并可筹集资金最低达520万令吉。

“为了满足认购水平,部分股东例如拿督斯里郭平进(译音)和Unique Bay私人有限公司已经在2月26日,承诺认购所获分配的附加股附凭单。”

这项建议活动需召开特别大会寻求股东通过,以及其他相关当局的批准。

附加股和凭单价格将会依据5天加权平均价格而定。

基于每股50仙参阅发行价,它预料筹集高达6028万令吉,充作集团在2年内的每日营运费用。

星辰建筑将会重新分配资金,最多3584万令吉给承包商付款,以及2389万令吉给供应商,充作购买材料。

“在作为上述用途前,所得款项将会存入金融机构或短期货币市场。”

该集团说:“由金融机构存款所获的利息,或者从短期货币市场的任何赚益,都将用作额外营运资金。”它预料会在今年第2季完成这项活动。【光华日报财经】

(吉隆坡4日讯)星辰建筑(FAJAR,7047,主要板建筑)宣佈进行內部重组计划,涉及旗下4间子公司。

该公司今日向马证交所报备指,涉及內部重组的子公司包括Fajarbaru Builder私人有限公司,Fajarbaru房地產私人有限公司、Fajarbaru土地私人有限公司和Wajatex私人有限公司。

根据文告,內部重组包括Fajarbaru土地將每股值1令吉,共200万普通股,转让至Fajarbaru房地產。

同时,该公司还將Wajatex公司的500万股,从Fajarbaru Builder转至Fajarbaru房地產。

另外,该公司说,內部重组主要是精简集团营运。

-        INTERNAL RESTRUCTURING
Fajarbaru Builder Group Bhd. (“FBG” or “the Company”) wishes to announce on the internal restructuring involving the Company and its wholly owned subsidiary companies namely Fajarbaru Builder Sdn. Bhd. (“FBSB”), Fajarbaru Properties Sdn. Bhd. (“FPSB”) (formerly known as Temasek Perkasa Sdn. Bhd.), Fajarbaru Land Sdn. Bhd. (“FLSB”) and Wajatex Sdn. Bhd. (“WSB”).

FBSB, FPSB and FLSB are the immediate wholly owned subsidiary companies of FBG and WSB is a wholly owned subsidiary of FBSB.

The internal restructuring entails the transfer of 2,000,000 ordinary shares of RM1.00 each in FLSB, representing 100% of the total issued and paid up capital of FLSB, from FBG to FPSB at a consideration of RM2,000,000.00, AND the transfer of 5,000,000 ordinary shares of RM1.00 each in WSB, representing 100% of the total issued and paid up capital of WSB, from FBSB to FPSB at a consideration of RM5,000,000.00.

The rationale for the internal restructuring is to streamline the operation of the Group.

The said internal restructuring will have no material effect on the earnings per share, net assets per share and gearing, share capital and substantial shareholders shareholding of the Company for the financial year ending 30 June 2014.

There is no shareholders approval required for the said internal restructuring.

None of the Directors and Substantial Shareholders, persons connected to the Directors or Substantial Shareholders of the Company and its subsidiaries or persons connected thereto have any interest, direct or indirect in the said Internal Restructuring.

星辰修改集资用途

(吉隆坡11日讯)星辰建筑(FAJAR,7047,主板建筑股)宣布,修改早前建议的2配1送1凭单的附加股发售计划的集资用途。在最大认购率的情况下,该公司將把2986万令吉的集资所得作未来可行投资的用途,剩余2986万令吉和55万令吉则分別用作营运资本和附加股计划开销。        

这有別于星辰建筑此前建议的把除了55万令吉附加股计划开销外的所有5973万令吉集资所得用作营运资本。另一方面,该公司也建议多元化业务,进军伐木与木材贸易领域,並预计此新业务有望在未来贡献25%盈利。

星辰建筑已在3月初完成收购Billion Variety私人有限公司的51%股权,转手价达40万令吉,作进军木材领域用途。该公司多元化业务的提案將在股东特別大会(EGM)中寻求通过。【东方网财经】

I. PROPOSED RIGHTS ISSUE WITH WARRANTS; AND
II. PROPOSED DIVERSIFICATION
We refer to the announcement dated 26 February 2014 made by RHB Investment Bank Berhad ("RHBIB"), on behalf of the Board of Directors of Fajarbaru ("Board"), in relation to the Proposed Rights Issue with Warrants. RHBIB wishes to further announce that the Company proposes to vary the proposed utilisation of proceeds, under the Maximum Scenario, from the Proposed Rights Issue with Warrants as detailed in Section 2.1 of the announcement.

In addition, RHBIB also wishes to announce that the Company proposes to undertake the diversification of its existing principal activities to include logging and timber trading business.Further details on the Proposed Diversification are set out in the attachment.
