3A资源次季净利跳涨30.6% 归功营收、赚幅和兑汇收益企高

（吉隆坡19日讯）3A资源（Three-A Resources Bhd）2016财政年次季净利跳涨30.6%至914万令吉，或每股2.32仙，同期净赚700万令吉或每股1.78仙。

该集团将次季净利报捷的原因，归功于较高的营业额和产品赚幅，以及当季的外汇兑汇收益。

产品销量走高带动，3A资源2016财年次季（截至2016年6月30日）营业额年增4.5%至9689万令吉，同期录得9275万令吉。

综合上半年的业绩表现，净利飙涨50.6%至1583万令吉或每股4.02仙，同期净赚1051万令吉或每股2.67仙；两季营业额累计2亿446万令吉，同期录得1亿6734万令吉，涨幅为22.2%。

展望未来，这家食品与饮料配方生产商表示，其产品依然保持竞争力。

若无任何意外，3A资源预估，2016财年将取得令人满意的业绩表现。

（吉隆坡13日讯）3A资源（3A，0012，主板工业产品股）建议派发红股、雇员认股计划（ESOS）、扩大注册股本，以及修改公司章程等一系列企业活动。

该公司今日向马交所报备，将以以4配1的方式，一共派送9840万4股红股。

根据文告，该公司将利用股票溢价户头内的资金完成发红股活动。截至今年6月底，股票溢价户头达7036万7000令吉。

红股计划料耗资1968万令吉，完成后，3A资源的股票溢价户头剩下5068万7000令吉。

此外，该公司的雇员认股计划，将占缴足资本高达10%，供该公司和子公司的合格董事与雇员认购。

3A资源冀望通过派红股回馈股东，及雇员认股计划奖励董事和员工，同时也扩大公司资本基础。

同时，该公司将把注册股本从5亿股或1亿令吉，扩大至12亿5000万股或2亿5000万令吉。

3A高层涉内线交易被控

（吉隆坡26日讯）3A资源（3A，0012，主板工业产品股）副执行主席兼董事经理冯朝豪，以及执行董事冯秀仪（名字均译音），因涉及内线交易而被提控。

昨天，大马证券监督委员会宣布，提控6名涉及内线交易的人士，包括冯朝豪和冯秀仪。

根据文告，69岁的冯朝豪及其36岁的女儿冯秀仪，是因为透露关键的非公开资讯给兄弟兼非执行董事冯朝贤，而被证监会提控。

上述行为已经抵触了资金市场与服务法令（CMSA）下的第188（3）（a）条文。

另外，冯朝豪也因为涉及9次内线交易而被提控。

他是在2009年的9月7日至10月5日期间，通过PM证券私人有限公司的两个账户，收购3A资源的89万1000股股票，同时，他也控制着关键非公开资讯。

证监会表示，该资讯指的是3A资源和丰益国际（Wilmar International）的商业联营，而随后这也通过3A资源私配20%股权给后者而得到证实。

然而这项资讯是在2009年10月5日，才出现在大马交易所的文告内。 【e南洋】

The above-mentioned charges are related to transactions in 3A shares which allegedly occurred in 2009. 同期营业额减少3.2%，报8822万6000令吉。

累计首9个月，3A资源净利涨52.6%至2596万8000令吉；营业额增长13.2%，报2亿9268万1000令吉。

根据文告，当季营业额滑落归咎于销量走跌，而盈利涨36.8%，主要是因为产品赚幅较高。

同时，3A资源宣布派发每股1.8仙的中期股息，除权日为11月25日，享有权益日为11月29日。

灵市购2地及工厂

（吉隆坡25日讯）3A资源（3A，0012，主板工业产品股）宣布以总值1700万令吉收购八打灵县的2块地皮与工厂。

3A资源今日向马交所报备，子公司San Soon Seng 食品工业私人有限公司与两家公司，分别为Prudent World私人有限公司与Kota Niaga 私人有限公司签署买卖协议，买下2块地皮与工厂。

3A资源说，该公司将以950万令吉向Prudent World买下一块空地，面积达8094平方米，拥有99年租用地契。

第二项交易则是以750万令吉向Kota Niaga买下地皮与工厂，面积达4426平方米，也是拥有99年租用地契。

3A资源说，收购上述资产的目的是为了公司未来扩展，以兴建更多食品及饮料配料生产线、仓库，及办公楼。

Query Letter Contents	We refer to your Company’s announcement dated 24 February 2017 in respect of the aforesaid matter. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1) the audited net book value of Property I and Property II. 2) description of the factory on Property II including the age of building and built-up area. 3) details on the "prevailing market value of the property around the vicinity". 4) terms of payment of the purchase consideration.
Reference is made to the Company’s announcement dated 24 February 2017 and the query letter dated 28 February 2017 issued by Bursa Malaysia Securities Berhad. The Board of Directors of 3A wishes to provide the following additional information:- 1. The audited net book value of Property I and Property II. 3A is unable to disclose the audited net book value of Property I and Property II as 3A is not privy to this information. 2. Description of the factory on Property II including the age of building and built-up area. Single storey detached factories/ warehouses and double storey office block of approximately 25 years’ old and total built up area of 2,632 square metres. 3. Details on the “prevailing market value of the property around the vicinity”. Independent Market Valuations of Property I and Property II are RM9,500,000.00 and RM8,500,000.00 respectively as valued by Oregeon Property Consultancy Sdn Bhd. The dates of valuation reports for both Properties I and II are 15 February 2017 and 16 February 2017 and the method of valuation is using the Comparison Approach.   4. Terms of payment of the purchase consideration. The Purchase Consideration I and Purchase Consideration II for the Proposed Acquisitions shall be paid by the Purchaser in the following manner:- SPA I Upon the execution of SPA I, SSSFI shall paid a total sum of Ringgit Malaysia Nine Hundred And Fifty Thousand (RM950,000.00) only equivalent to ten percent (10%) of the Purchase Consideration I to the Vendor I in the following manner:- a sum of Ringgit Malaysia One Hundred And Ninety Thousand (RM190,000.00) only by way of earnest sum already paid by SSSFI to the Vendor I’s Solicitors as stakeholders prior to the date the execution of SPA I; and a sum of Ringgit Malaysia Two Hundred And Eighty Five Thousand (RM285,000.00) only being a sum equivalent to three percent (3%) of Nine Million Five Hundred Thousand (RM9,500,000.00) as required pursuant to the Real Property Gains Tax Act 1976 or any statutory modification or re-enactment thereof for the time being in force paid by the SSSFI to the SSSFI’s Solicitor as stakeholder for submission of real property gain tax; and a further sum of Ringgit Malaysia Four Hundred And Seventy Five Thousand (RM475,000.00) only being the balance deposit paid by SSSFI to the Vendor I upon the execution of the SPA I. The balance of the Purchase Consideration I of Ringgit Malaysia Eight Million Five Hundred And Fifty Thousand (RM8,550,000.00) only  shall be paid or caused to be paid by SSSFI to the Vendor I’s Solicitors within a period of ninety (90) days from the date of fulfilment of conditions precedent referred to the SPA I to hold as stakeholders and the Vendor I’s Solicitors shall deal with the same in accordance with the provision set out in the SPA I. SPA II Upon execution of SPA II, the sum of Ringgit Malaysia Two Hundred and Twenty Five Thousand (RM225,000.00) only, being 3% of the Purchase Consideration II to SSSFI’s Solicitors as stakeholders pursuant to the Real Property Gains Tax Act, 1976  for the purposes of payment of real property gains tax payable by the Vendor II to the Director General of Inland Revenue on behalf of the Vendor II. Three-A Resources主要业务为生产caramel colour, vinegar, soya protein sauce, glucose syrup amd high maltose syrup和maltodextrin都是用来生存食品和饮料产品如调味汁和冲饮消费品。

该公司向交易所报备，净利从去年同期的669万2000令吉，增至1032万3000令吉，或每股净利2.62仙。

由于产品赚幅提升，加上外汇损失减少，促使该季净利按年高涨。

首季营业额则从去年同期的1亿756万8000令吉，减少至1亿318万2000令吉，年跌4.1%，归咎于产品销量减少。【e南洋】

（吉隆坡17日讯）3A资源（3A，0012，主板工业产品股）截至6月30日次季，净利几乎持平，报917万4000令吉或每股2.12仙。

该公司上财年同季净赚913万8000令吉，或每股2.32仙。

次季税前盈利按年跌15.0%至1100万2000令吉，主要是因为产品平均售价较低、上财年同期录得净外汇收益，本季则蒙受外汇亏损，以及人力成本走高；不过，部分冲击被原材料成下跌所抵消。

产品销售量走高，激励次季营业额按年增加5.63%至1亿233万8000令吉，上财年同期为9688万7000令吉。

半年赚1950万

累计首半年，净利按年涨23.16%至1949万7000令吉；而同期营业额持平，录得2亿552万令吉。

在环境越来越竞争及原材料成本波动的情况下，3A资源极为重视品质以满足客户需求，同时，也将通过规模经济、成本优化及提高生产力，改善效率攫取盈利。

（吉隆坡5日讯）3A资源（Three-A Resources Bhd）今日提出以500万人民币（326万令吉），向大股东丰益国际（Wilmar International）脱售新顺成（秦皇岛）食品工业有限公司（Three-A (Qinhuangdao) Food Industries Co Ltd）的50%股权。

3A资源今日向大马交易所报备，独资子公司3A食品工业（马）私人有限公司已与丰益国际独资子公司益海嘉里集团（Yihai Kerry Investments Co Ltd）签署购股协议。

丰益国际持有3A资源15.65%股权，此交易因而被认为是关联交易。

此外，3A资源的非独立非执行董事Gurpreet Singh Vohra和Loo Cheau Leong也是丰益国际在该公司的董事部代表。

一旦交易完成，新顺成将不再是3A资源的联营公司。

“脱售计划符合公司和子公司的策略方向，重新部署集团资源，并集中精力开展集团在大马的业务。”

3A资源表示，售股收益将充作集团一般营运资本。

然而，根据新顺成截至7月杪的最新未审核业绩，3A资源料蒙受70万6117令吉的损失。

如无意外，该交易预计在2018年首半年完成。

Ltd. (“YKI” or “Purchaser”), a wholly-owned subsidiary of Wilmar International Limited ("WIL"), for the proposed disposal of the entire 50% equity interest held by TAFISB in Three-A (Qinhuangdao) Food Industries Co. （吉隆坡6日讯）产品赚幅降低和外汇亏损，拖累3A资源（3A，0012，主板工业产品股）截至9月杪第三季，净利按年减20%至812万5000令吉或每股1.65仙，仍宣布派息1.8仙。

该公司今日向交易所报备，营业额按年攀升9%至9654万2000令吉。

累计9个月，净利按年扬6%，报2762万2000令吉；营业额按年升3.2%，录得3亿206万2000令吉。

董事部相信，若无意外，今财年表现会令人满意。

目前，3A资源持续提高生产设施使用率，并策划附近地皮的计划。董事部预计，厂房使用率会逐渐增加，进而贡献盈利。

派息1.8仙

另一方面，3A资源将在12月12日派发每股1.8仙股息，除权日和享用权益日分别落在11月24日及28日。【e南洋】

（吉隆坡13日讯）3A资源（3A，0012，主板工业产品股）主席拿督莫哈末诺阿都华希涉内线交易，遭证监会提控，如罪成最高刑罚是10年的牢狱之灾和罚款100万令吉。

莫哈末诺被控在2009年时，趁公司与大马首富郭鹤年旗下的丰益国际（Wilmar International）联营的消息尚未公布前，通过阿祖扎伊扎马尼的中央存票制（CDS）户口购入3A资源50万股。

证监会在文告中称，上述行为已经抵触了资金市场与服务法令（CMSA）下的第188（2）（a）条文。

莫哈末诺是在2009年10月5日时买入该批股份。同一日，3A资源向马交所报备，公司会以每股75仙，私下配售17%股权给丰益国际，藉此筹得4620万令吉。

帮凶阿祖扎伊扎马尼也被提控，如罪成最高刑罚是5年牢狱之灾、罚款100万令吉或两者兼施。

两被告不认罪，每人各向当局缴交5万令吉保释金，同时被拘留护照候审。

这不是3A资源的董事首次被控内线交易。2016年时，3A资源副执行主席兼董事经理冯朝豪，以及执行董事冯秀仪（名字均译音）等6人也曾被控在公司宣布与丰益国际联营期间进行内线交易。【e南洋】
