| | Contents | : | Pursuant to Paragraph 9.19(23) of the Listing Requirements, the Board of Directors of YTL Power International Berhad ("YTL Power" or "the Company") wishes to announce that the Company has resolved to acquire 300,000 ordinary shares of RM1.00 each in the issued and paid-up share capital of YTL Communications Sdn Bhd (formerly known as Y-Max Infra Sdn Bhd) ("YTL Communications") from YTL e-Solutions Berhad ("YTLe"), a related company, at par value per share or a total consideration of RM300,000 (“the Acquisition”). As a result of the Acquisition, YTL Communications will become a subsidiary of the Company.
YTL Communications was incorporated on 30 October 2007 and presently has an authorised share capital of RM5,000,000.00 comprising 5,000,000 ordinary shares of RM1.00 each of which 500,000 ordinary shares have been issued and fully paid-up.
The Acquisition is not expected to have any material effect on the earnings, net assets and gearing of the YTL Power Group for the current financial year.
Save for the following interests of the Directors, major shareholders and/or persons connected with them, none of the other Directors or major shareholders of the Company or persons connected with them, insofar as the Board of the Company is aware, has any interest, direct or indirect in the Acquisition:-
(i) Tan Sri Dato’ Seri (Dr) Yeoh Tiong Lay ("Tan Sri YTL"), YTL Corporation Berhad and Yeoh Tiong Lay & Sons Holdings Sdn Bhd are major shareholders of YTL Power and YTLe;
(ii) Tan Sri Dato’ (Dr) Francis Yeoh Sock Ping, Dato’ Yeoh Seok Kian, Dato’ Yeoh Soo Min, Dato’ Yeoh Seok Hong, Dato’ Sri Michael Yeoh Sock Siong, Dato’ Yeoh Soo Keng and Dato’ Mark Yeoh Seok Kah are persons connected to Tan Sri YTL;
(iii) Tan Sri Dato’ (Dr) Francis Yeoh Sock Ping, Dato’ Yeoh Seok Hong, Dato’ Sri Michael Yeoh Sock Siong and Dato’ Mark Yeoh Seok Kah are also Directors of YTLe;
(iv) Datin Tan Siew Bee, spouse of Dato’ Sri Michael Yeoh Sock Siong, and Dato’ Yeoh Soo Keng are shareholders of YTLe;
(v) Tan Sri Dato’ Lau Yin Pin @ Lau Yen Beng, Dato’ (Dr) Yahya bin Ismail and Tuan Syed Abdullah bin Syed Abd Kadir are also shareholders of YTLe;
(vi) YTLe is deemed to be a party connected with Tan Sri YTL, Tan Sri Dato’ (Dr) Francis Yeoh Sock Ping, Dato’ Yeoh Seok Kian, Dato’ Yeoh Soo Min, Dato’ Yeoh Seok Hong, Dato’ Sri Michael Yeoh Sock Siong, Dato’ Yeoh Soo Keng and Dato’ Mark Yeoh Seok Kah. |
