倒置收購‧誼來估值有望上調

(吉隆坡8日訊)誼來(YILAI,5048,主板工業產品組)在倒置收購計劃下獲得Aspen產業公司注入地庫和產業計劃,估值有望上調。

誼來日前建議發出4億5千萬令吉新股及1億令吉收購Aspen的資產。完成收購後,誼來的股本將從1億6千萬股擴大至6億1千萬股,屆時,Aspen的持股權高達73.77%。

興業研究表示,Aspen在峇都加灣手握245英畝永久地庫,發展總值達80億令吉的Aspen Vision City。此外,Aspen在檳島及梳邦也分別擁有21.6英畝地庫,並和宜家(IKEA)聯手在北馬設立首家宜家商場。

2015年,Aspen銷售為9億令吉,未入賬銷售達10億令吉。當上述資產注入誼來後,將可推高誼來的淨利。

根據重估淨資產的40%折價計算,興業認為誼來的參考估值介於1令吉28仙至1令吉45仙,但沒有給予目標價與評級。

Aspen集團料10月 完成倒置收購誼來

(吉隆坡29日訊)檳城發展商Aspen集團預計在今年10月,完成對誼來(YILAI,5048,主要板工業)的倒置收購(RTO)計劃。
Aspen集團總執行長拿督慕力今日在與大馬Teka Kuchentechnik私人有限公司的簽約儀式后指出,公司預計最早今年10月完成倒置收購誼來,或最遲在年末完成。

根據該計劃,誼來將以每股1令吉發行4億5000萬股新股,余下1億令吉將以現金支付。

同時,慕力稱,Aspen集團上市新加坡交易所的計劃仍在考量之中,不過公司更希望在本地上市。

“我們的目標是在本地上市,好讓我們有籌集資本的平台。一旦我們得到本地監管單位的批准,我們可能會中止新加坡的上市計劃。”

此外,Aspen集團透過子公司Aspen Vision City私人有限公司與大馬Teka Kuchentechnik簽署總值超過500萬令吉的合作協議,后者將為前者的Vertu渡假村提供廚具。

Aspen hopes to ink RM550m RTO agreement with Yi-Lai by next week

BUTTERWORTH (July 28): Penang-based property player Aspen Vision Development Sdn Bhd is hoping to ink a share sale agreement for its RM550 million reverse takeover (RTO) of ceramic and homogenous tiles maker Yi-Lai Bhd by next week, which will pave the way for the former to be listed on Bursa Malaysia.

Aspen chief executive officer Datuk M Murly said all the formalities for the RTO process have been completed, and it is now only pending the green light from the Securities Commission Malaysia (SC), which the group hopes to obtain by this week.

"The date to enter into a definitive agreement was extended twice (to June 30 and then to July 31) from the date (in) the heads of agreement that was inked on Feb 24.

"The extension was because we were awaiting the approval from the SC, which we would need to enter into a [definitive] share sale agreement ... we are expecting to hear from the SC this week, and we will make the necessary announcement on this, hopefully by next week," he told reporters after the official opening ceremony of the Aspen Vision City Sales Gallery in Batu Kawan today.

Murly said the group is confident on obtaining the approval from the SC for its listing.

"I think we are fairly confident, based on the Aspen group's achievements in the past three and a half years which has been encouraging.

"We initially had plans to list on the Catalist Board of the Singapore Exchange; but we were advised to do it locally, so we hope the authorities would give due consideration on this (the group's application for Bursa Malaysia listing)," he said.

The group's biggest project to date is Aspen Vision City, a 245-acre freehold mixed use development in Bandar Cassia, Batu Kawan, with a gross development value of RM8 billion.

The project is being developed by Aspen Vision Land Sdn Bhd, which is owned by Aspen and Ikano Pte Ltd, the operator of Swedish furniture store IKEA in Singapore, Thailand and Malaysia.

Meanwhile, Yi-Lai said the RM550 million purchase consideration for the RTO will be settled via the issuance of 450 million new Yi-Lai shares at an issue price of RM1, while the remaining RM100 million will be paid in cash.

谊来豁免遵循条例申请遭证监会驳回

(吉隆坡29日讯)谊来(Yi-Lai Bhd)提出的豁免申请已遭大马证券监督委员会驳回,Aspen Vision All私人有限公司仍需符合证监会的条例,即Aspen Vision All必须营运至少3年。

瓷砖制造商谊来今年2月表示,已和Aspen Vision Group私人有限公司及Setia Batu Kawan私人有限公司签署一项暂定协议书(HoA),以5亿5000万令吉全购产业发展商Aspen Vision All的股权。

谊来指出,该集团拟透过发行新股,以及现金集资的方式为收购计划筹资。

“此收购计划将导致谊来的业务方向或政策产生巨大变化,同时也将触发倒置收购。”

谊来今日向大马交易所报备,指Aspen Vision All未能符合证监会的需求。

该集团表示,证监会已驳回谊来的豁免符合证监会条例的申请,此条例为“Aspen Vision与其子公司必须已经成立,以及经营相同核心业务至少三年,并拥有至少三个财政年的完整盈利记录。”

谊来指出:“证监会发出志期2016年7月27日的信函(隔日接获这份信件)回拒其豁免申请。”

The Company is aware of certain articles appearing in the press pertaining to the Proposed Acquisition.

On behalf of the Board of Directors of the Company, Hong Leong Investment Bank Berhad wishes to clarify that the Company had made an application to the Securities Commission Malaysia (“SC”) in relation to a waiver from compliance with Paragraph 7.03(b) of the Equity Guidelines issued by the SC (the “Waiver Application”) which states that Aspen Vision and its subsidiaries (the “Aspen Group”) must have been incorporated and operating in the same core business over at least the profit track record period of at least 3 full financial years. The earliest incorporation date of a subsidiary of the Aspen Group was 15 January 2013, and as a result, the Aspen Group has an operating history of less than 3 full financial years up to its financial year ended 31 December 2015.

For the avoidance of doubt, the Waiver Application was not an application made to the SC for the Proposed Acquisition, which would result in a significant change in business direction or policy of Yi-Lai. The SC had, via its letter dated 27 July 2016 (which was received on 28 July 2016), not approved the Waiver Application.

Following from the decision of the SC, the Company will continue to explore with the vendors on the options available to the Company moving forward, and will make the relevant announcements on any material developments. Unless otherwise mutually agreed by the Company and the vendors, the HOA will lapse on 31 July 2016.

谊来Aspen暂定协议失效

(吉隆坡1日讯)随着Aspen集团倒置收购触礁,谊来(YILAI,5048,主板工业产品股)宣布双方签署的暂定协议(HOA),于上月31日失效。

谊来向马交所报备,鉴于证监会拒绝批准豁免申请,因此,双方决定不延长暂定协议的期限。

谊来是在2月宣布,与Aspen Vision集团和Setia Batu Kawan集团签署暂定协议,以5亿5000万令吉,收购Aspen Vision All私人有限公司。

支付方式分为两部分,首先是发行4亿5000万令吉新股给卖方,每股发售价1令吉,其余1亿令吉现金,则将以内部资金和银行贷款支付。

(吉隆坡3日讯)倒置收购谊来(YILAI,5048,主板工业产品股)触礁后,槟城发展商Aspen Vision发展私人有限公司寻求会见证监会,商讨有关收购的事宜。

Aspen Vision总执行长拿督慕力向《商业时报》表示,公司要确定上市标准,来衡量是否向证监会提出上诉,还是自行进行首次公开募股(IPO)。

慕力表示,作为国内业者,公司冀望能够在本地挂牌上市。但若无法完成收购计划,公司将考虑在新加坡股票交易所上市。

由于谊来早前向证监会提出,让Aspen Vision All集团和旗下子公司无需符合业务和盈利记录至少达到3年的条例的申请不获放行,造成收购计划触礁。

每股出价78.5仙
BVSB全购谊来


2017年10月6日
(吉隆坡5日讯)谊来(YILAI,5048,主板工业产品股)今天接获Boundless Vigour私人有限公司(简称BVSB)及行动一致人士的强制全面收购献议,每股出价78.5仙。

谊来今日向马交所报备,BVSB在昨日和今天,从公开市场以介于每股75仙至78.5仙的价位,共收购公司的59万300股普通股,相等于0.39%股权。

而BVSB的持股公司Hampton Capital(HC),原本已持有谊来4966万6750股或32.63%。加上BVSB的持股,HC现共持有谊来33.01%股权,触发了强制全购门槛。

根据文告,终极联合献购方为HC的持股者陈建洪和江慧琳(皆译名)。陈建洪同时也是谊来的执行董事,而江慧琳则为谊来的非执行及非独立董事。

BVSB委任的顾问丰隆投行在文告中点出,BVSB购入该些股权后,将和行动一致人士,全购其余尚未持有的股权。

联合献购方也说,最终若持有谊来超过75%股权,他们无意维持公司的上市地位;否则,将案法规维持谊来的上市地位。【e南洋】

独立顾问:不公平不合理
谊来股东应拒献购

(吉隆坡6日讯)独立顾问Mercury证券认为,Boundless Vigour私人有限公司(简称BVSB)以每股78.5仙强制全面收购谊来(YILAI,5048,主板工业产品股)的献议“不公平”也“不合理”,建议股东拒绝。

Mercury证券在通告中指出,每股78.5仙的献购价,相等于分类加总估值法(SOPV)每股1.40至1.53令吉的折价61.5至74.5仙,或43.93%至48.69%,因此认为这项献议不公平。

而且,该献购价相比于截至10月31日的12个月成交量加权平均市价(VWAMP)80.24仙低,折价达2.17%。

同时,比截至10月31日的最后一个交易价80仙,也折价1.88%。

谊来非独立董事,包括拿督黄建奎、谢宇天和周成(皆译音),都同意Mercury证券的意见,也建议股东拒绝该献议。

BVSB和行动一致人士在今年10月5日,通过公开市场,以介于每股75仙至78.5仙的价位,共收购前者的59万300股普通股,相等于0.39%股权。

而BVSB的持股公司Hampton Capital(HC),原本已持有谊来4966万6750股或32.63%。加上BVSB的持股,HC现共持有谊来33.01%股权,触发了强制全购门槛。

无意维持上市
