Type | Announcement | Subject | MULTIPLE PROPOSALS | Description | PEGASUS HEIGHTS BERHAD ("PEGASUS" OR THE "COMPANY")(I) RIGHTS ISSUE; AND(II) DIVERSIFICATION(COLLECTIVELY REFERRED TO AS THE "CORPORATE EXERCISES") | We refer to the announcements made on 15 November 2018, 29 November 2018, 14 January 2019, 4 April 2019, 15 April 2019 and 8 May 2019 as well as the abridged prospectus dated 24 May 2019 in relation to the Corporate Exercises (“Documents”). For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the Documents unless otherwise defined herein.
On behalf of the Board, Mercury Securities wishes to announce that as at the closing date of the acceptance, excess application and payment for the Rights Shares with Warrants at 5.00 p.m. on 12 June 2019, the Company had received valid acceptances and excess applications for a total of 5,713,595,729 Rights Shares, representing a subscription rate of 105.87% over the total number of Rights Shares available for subscription under the Rights Issue with Warrants, resulting in an over-subscription rate of 5.87%.
The details of such valid acceptances and excess applications received are as follows:

It is the Board’s intention to allot the Excess Rights Shares with Warrants, if any, in a fair and equitable manner in the following priority: - firstly, to minimise the incidence of odd lots;
- secondly, on a pro-rata basis and in board lots, to the Entitled Shareholders who have applied for Excess Rights Shares with Warrants, calculated based on their respective shareholdings in the Company as at the Entitlement Date;
- thirdly, on a pro-rata basis and in board lots, to the Entitled Shareholders who have applied for Excess Rights Shares with Warrants, calculated based on the quantum of their respective Excess Rights Shares with Warrants Applications; and
- finally, on a pro-rata basis and in board lots, to the renouncees/transferees (if applicable) who have applied for Excess Rights Shares with Warrants, calculated based on the quantum of their respective Excess Rights Shares with Warrants Applications.
The Rights Shares and Warrants are expected to be listed on the Main Market of Bursa Securities on 25 June 2019.

The Board of Directors of PHB wishes to announce that the Company and GE Properties Sdn Bhd (“GE Properties”) had on 15 July 2019, ceased the Letter of Award for Project Management Consultancy for the 30 storey mix commercial development consisting of basement carpark, lower group shop, duplex shop office, hotel tower, condominium, anchor lot and Cineplex and related external works at Teluk Likas, Sabah (“LOA”) after mutual agreed by both parties.
The cessation of LOA would have an impact on the revenue and profit of the Company.

BHD. | The Board of Directors of PHB wishes to announce that the Company had on 15 July 2019 incorporated a new wholly-owned subsidiary under the Companies Act, 2016, namely Pegasus Food Court Sdn. Bhd. (Company No. 1334249-T) (“Pegasus Food Court") (“Incorporation”).
Pegasus Food Court was incorporated on 15 July 2019 with an issued share capital of RM1.00 comprising one (1) ordinary share. Pegasus Food Court is principally involved in food and beverage business.
The incorporation will not have any material effect on the share capital, substantial shareholders' shareholdings, earnings per share and net assets of the Company for the financial year ending 31 December 2019.

发股购CHINPAKLOONG·柏卡索遭倒置收购
(吉隆坡31日讯)柏卡索(PHB,4464,主板产业组)建议透过发股方式,以1600万令吉收购CHINPAKLOONG建筑设计公司,导致该公司被倒置收购,并寻求股东批准多元化业务至建筑设计业务。
该公司发文告表示,拟透过发出28亿零701万7543股,每股发售价为5.7仙新股,相等于总值1600万令吉收购CHINPAKLOONG建筑设计公司,以补全现有产业投资、产业管理咨询与交易业务。
根据协议,卖家同意为柏卡索旗下独资子公司——CPL解决方案私人有限公司竞标、取得和提供独家建筑和室内设计服务等服务,而CPL解决方案也将从明年1月1日起享有CHINPAKLOONG建筑设计公司现有和未来计划的95%入账。
同时,卖家也向柏卡索做出2年的(截至2020年和2021年12月31日财政年)400万令吉的净利担保。
卖家将成最大单一股东
整个收购计划预期在明年第一季完成,届时柏卡索缴足资本将从现有的1亿6430万2285令吉扩大至1亿8030万2285令吉,而卖家将以28.06%持股崛起成为公司最大单一股东,而现有大股东拿督斯里李希阳和杜鸿材(人名译音)持股将从11.83%和11.43%,分别稀释至8.51%和8.22%。
与此同时,柏卡索预期新业务可能贡献集团净利超过25%,甚至占净资产值的四分之一,因此将召开股东特别大会寻求股东批准多元化业务至建筑设计领域。
