Description	REVISED DIVIDEND POLICY
Reference is made to the announcement dated 26 July 2012 and 17 November 2009. Effective financial year ending 31 December 2017 (FY2017), the Group’s dividend policy would be revised to distribute no less than 60% of Group’s net profit to shareholders, excluding net profit contributions from Daibochi Packaging (Myanmar) Company Limited (Daibochi Myanmar). The dividend is to be paid on a quarterly basis. This is in line with the Group’s intention to enable Daibochi Myanmar to reinvest its earnings, at least over the next two years, into the operations in order to expand its scope of works and establish a stronger foothold to capture the potential in the Myanmar and South East Asian region. The Group will review the dividend policy as and when appropriate, taking into account the progress and prospects of Daibochi Myanmar and other opportunities. 该公司今日向交易所报备，营业额按年攀升8.5%至1亿203万4000令吉。税前盈利赚幅，也从上财年同期的7.6%，增至10.3%。

缅甸厂房于七月投产，带来645万令吉营业额和185万令吉税前盈利，赚幅则是28.6%。

逾60%净利派息

累计九个月，净利按年微减3%至1802万8000令吉；营业额则几乎持平，录得2亿8298万6000令吉。

耐慕志将在12月28日，派发每股1.15仙中期股息，除权日和享有权益日，分别落在12月5日及7日。

另外，该公司调整股息政策，派息率依然是每季度至少60%，但不包括缅甸子公司的净利。

行家建议：

耐慕志在首9月业绩符合我们和市场的预期；预计末季的表现会强劲，归功于印尼新客户的订单。

（吉隆坡22日讯）耐慕志（DAIBOCI，8125，主板工业产品组）第三季业绩符合预期，分析员看好缅甸联营业务启动后，该公司展望将进一步提升。

由于原料成本增加，抵销废弃物减少和营运效率提升的利多，该公司9个月营业额只按年增加0.8%至2亿8300万令吉，净利则持平于1860万令吉，占市场全年预测的66%。

该公司60%缅甸联营公司第三季已投运，税前盈利达195万令吉，占总税前盈利的19%。该联营公司的赚幅高达29%，远高于国内的9%。

调整股息政策至60%

联昌研究和MIDF研究皆看好缅甸业务将提振该公司第四季表现。

该公司第三季派息1.15仙，符合市场预期，今年至今股息达3.47仙。联昌指出，由于缅甸联营公司两年内不可汇出盈利，促使该公司调整股息政策至60%。

该公司净负债比从6月的0.2倍提高到9月的0.35倍，主要是7月初为缅甸项目拨出680万美元（约2900万令吉）。联昌表示，缅甸项目的现金流量稳定，未来可助该公司减少债务。

联昌调整基础财政年后，将耐慕志的目标价从1令吉48仙调至1令吉88仙，惟鉴于本益比已达20.8倍，决定保持“减码”评级。

该公司向交易所报备，末季净利报793万令吉或每股2.42仙，胜于上财年同期的净赚593万1000令吉或每股1.81仙。

净利攀扬可归功于新缅甸厂房的贡献，以及大马厂房营运效率的改善。

营收创新高

末季营业额增16.93%，报1亿566万1000令吉，上财年同季为9036万令吉。

累计全年，净利升5.87%，录得2595万8000令吉。

营业额则起4.71%，写3亿8864万7000令吉，是该公司有史以来的最高营收。

派息方面，除权日和享有权益日分别落在2月27日及3月1日，而支付日则是3月21日。

展望未来，耐慕志董事经理林树坤指出，缅甸业务的下一步增长大计是要与跨国企业的合作。

“整体来看，我们相信对于缅甸方面已采取了正确的策略，务求在2019财年时当地业务可全年贡献1亿令吉营收。”

行家建议

耐慕志2017财年净利预测达到我们预测的92%，会逊于预期是因为末季原料成本增加，且无法转嫁给客户。

不过，该公司宣布派发每股1.3仙终期股息，略胜于预期。全年股息达4.77仙，我们估计派发率达64%。

由于耐慕志今年开始交货给大型跨国宠物饲料客户和另一位跨国企业，所以，预计国内营运将占今年整体营业额增长率的10%以上。

我们也预计，缅甸联营将开始接受之前被视为无利可图的订单。由于劳工成本较低，所以现在执行这些订单是可行的。

Description	DAIBOCHI BERHAD (formerly known as Daibochi Plastic And Packaging Industry Bhd (Daibochi)NOTIFICATION OF A PROPOSED DISPOSAL BY A GROUP OF INDIVIDUAL SHAREHOLDERS WHO COLLECTIVELY HOLD 42.41% EQUITY INTEREST IN THE COMPANY (VENDORS) TO SCIENTEX BERHAD (SCIENTEX)
The Board of Directors of Daibochi Berhad (formerly known as Daibochi Plastic and Packaging Industry Berhad) (“Board”) wishes to announce that the Board has today received a letter (“Notification Letter”) from certain shareholders of Daibochi (collectively referred to as the “Vendors”) informing the Board that the Vendors have entered into a heads of agreement (“HoA”) with Scientex Berhad (“Scientex”) for the proposed disposal of 139,062,766 ordinary shares in Daibochi (“Sale Shares”) representing 42.41% of the total number of issued shares in Daibochi to Scientex (“Proposed Disposal”). According to the Notification letter: (a)        The HoA is only a recording of the parties’ understanding and does not constitute an agreement or create any legal obligation and the Proposed Disposal is subject to the parties’ negotiation and execution of a conditional share sale agreement (“Conditional SSA”). (b)        Under the HoA, the total consideration for the Proposed Disposal is RM222,500,425.60 (equivalent to RM1.60 per Sale Share) which shall be satisfied by a share exchange through the issuance of 1 new Scientex share for every 5.5 ordinary shares in Daibochi held by the Vendors. (c)        Upon the Conditional SSA becoming unconditional, Scientex will be obliged to extend a mandatory take-over offer to acquire the remaining shares in the Company not already held by Scientex and persons acting in concert with Scientex pursuant to the Malaysian Code on Take-overs and Mergers 2016 (“Proposed Take-Over Offer”). Please refer to Scientex’s announcement dated 14 November 2018 for further details on the HoA. Shareholders and warrant holders should also refer to any announcement by Scientex on the execution of the HoA. It should be noted that there is no certainty that the HoA will lead to the execution of the Conditional SSA and in the event the Conditional SSA is executed, there is no certainty that the Conditional SSA will be completed as its completion will be subject to the fulfilment and/or waiver of various conditions precedent. Therefore, in the event the Conditional SSA does not become unconditional or is otherwise not completed, Scientex will not be obliged to extend the Proposed Take-Over Offer. Shareholders and warrant holders of Daibochi are advised to exercise caution when dealing in Daibochi shares and warrants and to seek independent advice if they wish to do so. An announcement regarding the details on the Proposed Disposal and the Proposed Take-Over Offer should also be made by Scientex upon the execution of the Conditional SSA in relation to the Proposed Disposal.
