TH种植盈利稀释2年后抵消

（吉隆坡12日讯）TH种植（THPLANT，5112，主板种植股）发新股，向大股东—朝圣基金局收购两家种植企业议案获小股东通过，管理层有信心，每股盈利稀释效应能在两年后正常化，不会损及股东利益。

TH种植首席执行员拿督再纳亚斯瓦表示，对於股东通过发出近2.1亿新股（2.56令吉发售价）予朝圣基金局，收购东马TH Ladang及TH Bakti两家公司，感到高兴。

「国内种植地有限，欲购大片土地不容易。」

再纳亚斯瓦补充，完成收购后，TH种植将有近一半油棕树龄介於1至3年的年幼期。

「排除商品价的波动，当这些年幼油棕树逐步成熟，将带来持续性收入，就能抵销盈利稀释的冲击，并在第四年完全消化。」

随着这次购得大量幼龄油棕树，再纳亚斯瓦表示，旗下平均树龄将从16年，降至14年。一旦完成收购威达（WEIDA，7111，主板工业股）旗下Bumi Suria Ventures（BSV）和Maju Warisanmas（MW）后，其平均树龄进一步降至12-13年，是油棕种植最理想的状态。

除了树龄年轻化，再纳亚斯瓦表示，新购土地将让其地库规模翻倍至9万1708英亩，TH种植成为国内地库第四大的中型种植公司。

「如果有机会，我们还想更上层楼，成为拥有超过10万英亩的种植巨头。」

鲜果串（FFB）产量方面，再纳亚斯瓦预计，料可从明年预期年产78万公吨的基础，以15.6%的复合成长率（CAGR）或4年总共50%涨幅计算，在2016年达到120万公吨。

「我们预计每年播种6000英亩新地库，每年投入2亿至2.5亿令吉资本开销（CAPEX）建立提炼厂或维修基建。」

管理层表示，该公司还会在国内及印尼加里曼丹探寻购入合适的未开发地段，以及部份翻种的已开发地段的可行性。

未來4年撥7.25億‧TH種植擴充資本開支

（吉隆坡14日訊）TH種植（THPLANT，5112，主板種植組）將撥出7億2千500萬令吉作為未來4年的業務擴充資本開支。

該公司首席執行員拿督再納亞斯瓦表示，部份的資本開支，將用在於佔地2萬3千公頃的土地上種植新油棕。

他在公司的股東特大會後：“除了新種植計劃，資本開支也用在建廠和其他發展。＂

5.3億收購2種植公司
特大會通過該公司向大股東朝聖基金局收購兩家種植公司。該公司是以5億3千564萬令吉收購這兩家公司。

再納亞斯瓦預料，在完成收購後，該公司的種植地將從現有的4萬4千933公頃土地倍增至9萬1千零78公頃土地。

他說：“在股東批准收購計劃後，收購會在10天內完成，一旦完成，公司土地增加103%，而總油棕種植地會從現在的3萬8千154公頃增加至5萬3千805公頃。＂

該公司收購的兩家公司，其中TH沙巴砂拉越園坵從事油棕種植、處理和行銷，以及橡膠園；而TH Bakti則從事油棕種植和銷售。

再納亞斯瓦說，收購計劃提供集團機會增加油棕收入，並多元化業務到橡膠種植。該公司在完成收購後將開始種植和翻種膠樹。

他說：“多元業務，有助於擴大集團未來的收入來源。＂

他補充，在2013至2016年，預料棕油鮮果串平均成長率為15.6%。（星洲日報／財經）

TH种植通过购2公司扩大种植地

（吉隆坡20日讯）TH种植（THPLANT，5112，主板种植股）通过收购Bumi Suria Ventures私人有限公司（BSV）和Maju Warisanmas（MWM）私人有限公司，扩大总种植地库。       

TH种植今日在股东特別大会通过两项议案，即分別以2亿1250万4000令吉和4208万1000令吉，向有关单位（包括威达（WEIDA，7111，主板工业股）），全面收购其所持有BSV和MWM私人有限公司的股权。

种植地库达6万公顷

在完成收购后，该集团的总种植地库將从9万1078公顷，扩大7%至9万7592公顷，而油棕已种植面积也將从6万零790公顷，扩大至6万6980公顷。

TH种植首席执行员兼执行董事拿督再纳亚斯瓦表示，「有关收购来得合时，符合我们持续扩大种植地库的成长策略。」

他在TH种植的股东特別大会结束后的记者会上如此表示。

同时，上述收购也將其平均树龄从14年，改善至13年。「当中，51%处在成熟树龄，27%为未成熟树龄，剩余的则属於黄金成熟期和年初成熟期。从树龄看来，这可为集团带来稳定的收入来源。」

针对TH种植早前的印尼公司Persada Kencana Prima收购案，已签署买卖协议，目前正签署一些国內协议。

连同出席记者会的TH种植独立非执行主席丹斯里拿督尤索夫表示，「我们希望可在首季杪完成。」

尤索夫补充，上述收购足以让该集团改善收益和產量，不过该集团仍保持开放的態度，寻找初成熟期地库。

该集团表示，有关收购对其资本负债率没有太大的影响。尤索夫披露，其资本负债比率目前仍处在健康水平的0.64倍。「我们仍有举债的空间。」

该集团为期4至5年的总资本开销7亿2500万令吉，当中7500万令吉的大部份將作为厂房和维修费用。[东方日报财经]

鮮果串有望增產‧TH種植盈利上探81%

（吉隆坡21日訊）TH種植（THPLANT，5112，主板種植組）積極在沙、砂與登州收購油棕園，不到一年內油棕園面積增長78.5%至6萬6千890公頃，平均樹齡由16年減至13年，興業研究估計其鮮果串生產有望走高45.2%，盈利有望上探81.5%，惟發新股融資沖稀盈利，維持“中和＂評級。

儘管沙巴東岸蘇祿鎗手與我軍相持而風聲鶴唳，軍方也把危險區擴大，但其園區仍距離受影響的甘榜丹道約100公里，一切營運如常。

興業研究表示，該公司收購新油棕園後，其園區面積與砂勞越油棕（SOP，5126，主板種植組）、莫實得控股（BSTEAD，2771，主板貿服組）不相上下；新購園坵更多新樹，樹齡由以往的16年優化至13年，71%低於10年的多產期，與陳順風資源（TSH，9059，主板種植組）、砂勞越油棕相似。

TH種植目前佔總面積16.6%或1萬1千904公頃為高於20年樹齡的油棕園，並希望可改善至平均樹齡達11年，可透過3個方法達致此目標，收購樹齡淺之園坵是其一，其二是舊園坵積極翻種，其三則為在未種植園地種植油棕。

未收購新園坵前，現有3萬7千475公頃園裡，自2007年積極種植新樹，已種植達50.2%園區，有望使今明兩財政年鮮果串增7.8%與13.6%。

新購入2萬9千415公頃園地，料使鮮果串生產擴張45.2%至79萬1千公噸，其中7.8%增產來自舊園，28.6%產量來自新園坵。若下財政年沒有任何收購，產量增長料為16.3%。

期間，總共斥資7億9千零200萬令吉進行上述收購，其中2億5千460萬令吉為現款，其餘5億3千560萬令吉透過發售2億零9千200萬新股融資。這也使其淨負債增至第四季的4億9千零60萬令吉，相比年前有1千720萬令吉現金在握；淨負債比仍處0.33倍舒適地帶。

雖然預測本財政年核心淨利按年增長81.5%，不過該行預測每股盈利只增長26.8%，主要是多發新股沖稀盈利。

該行對TH種植維持“中和＂評級，目標價2令吉12仙不變。（星洲日報／財經）

（吉隆坡10日訊）TH種植（THPLANT，5112，主要板種植）建議發行1億4973萬紅股，持有5股現有股可認購1紅股。
　
該公司向馬證交所報備指出，將發行1億4973萬紅股，每持有5股現有股可認購1紅股，除權日將在之后宣佈。
　
TH種植的繳足資本是3億6417萬7988令吉，包括在去年12月底的7億2835萬5975股。
　
該公司指出，發行紅股的除了為回饋現有股東對公司的支持，使他們能參于公司更多股票，也希望提高公司股流通量。

TH种植每股盈利预测下调

（吉隆坡11日讯）隨著建议派送红股將提高股票数额，分析员因而下修TH种植（THPLANT，5112，主板种植股）的每股盈利预测。

TH种植昨日宣佈以5送1的比例，派送高达1亿4970万红股。

拉昔胡申研究分析员表示，一旦完成有关红股，TH种植的股票数额將增加20%，至8亿9840万股。

儘管红股建议可提高该公司的股票流通量，提振交投情绪，不过却会稀释其目前的股价和每股盈利，因此分析员下修每股盈利预测。

分析员將其2013和2014財政年的每股盈利预测，各別从0.163令吉和0.239令吉，下修16.7%，至0.136令吉和0.199令吉。

分析员认为，事实上，除了改善流通量，投资者基本上是不会通过红股得到好处。这是因为投资者的持股率保持不变，也不会获得任何现金收益。不过，根据大马股市的过往记录，上市公司的股价往往自宣佈红股后走高。

稀释股价

分析员认为，红股计划將会导致该股目前的股价2.28令吉，稀释至1.90令吉。因此，一旦完成红股计划，分析员会將其合理价格从2.12令吉，下修至1.77令吉。拉昔胡申研究分析员维持该股「中和」投资评级。

在业务营运方面，分析员预计，其鲜果串產量和盈利，將在今年分別成长45.2%和81.5%。

TH种植週四以2.37令吉开盘，盘中触及2012年11月2日以来新高，闭市掛2.35令吉，全日升7仙或3.07%。週四共有76万9600股易手，週三成交量达108万9000股。[东方日报财经]
