Suspension of Trading pursuant to Paragraph 8.15(5) of the LR

WCT Land Berhad (“WCTL” or “the Company”) Suspension of Trading pursuant to Paragraph 8.15(5) of the Listing Requirements ("Listing Requirements") of Bursa Malaysia Securities Berhad ("Bursa Securities") WCT Land Berhad wishes to announce that, as at 5.00 p.m. on 13 February 2008, its holding company, WCT Engineering Berhad (“WCTE”), has received acceptances exceeding 90% of the total issued ordinary shares in the Company pursuant to the Voluntary Take-Over Offer by WCTE to acquire all the securities in WCTL not already held by WCTE (“Offer”). The acceptances pursuant to the Offer resulted in WCTE currently holding a total of 544,810,905 WCTL Shares, representing 92.04% of the total enlarged issued and paid-up share capital of WCTL upon full exercise of ESOS Options including acceptances which are still subject to further verification. A copy of WCTE’s announcement dated 13 February 2008 is attached. As stated in Section 8.1 of the Offer Document dated 19 December 2007 (“Offer Document”), WCTE does not intend to maintain the listing status of WCTL. In view of the above, the Company wishes to inform as follows:- (i)        Pursuant to paragraph 8.15(5) of the Listing Requirements of Bursa Securities, trading in WCTL Shares will be suspended immediately upon the expiry of 5 market days from the date of this announcement in view that 90% or more of WCTL Shares are held by WCTE; (ii)        WCTL Shares will be suspended with effect from 9.00 a.m., Thursday, 21 February 2008; (iii)        Pursuant to paragraph 8.15(6) of the Listing Requirements, all the securities of WCTL shall be removed in due course from the Official List of Bursa Securities. WCTL shareholders who have yet to accept the Offer are advised to refer to the Offer Document for the terms, conditions and procedures for acceptance should they wish to accept the Offer and the independent advice circular dated 28 December 2007 detailing the recommendations of the independent adviser.
