行使认沽选择权 征阳售2公司股权

(吉隆坡12日讯)征阳集团(SUNSURIA,3743,主板產业股)今天宣佈行使认沽选择权,要求Creed Investments私人有限公司以3994万令吉购入旗下公司Concord及CIMedini股权。

据文告,征阳集团握有行使认沽选择权,以向Creed公司出售Concord及CIMedini股权。所涉及的数额为3994万令吉,另外再加上后两者拖欠征阳集团的1550万令吉。

因此,在行使认沽选择权后,该公司將收到总额5544万令吉现金。

该公司表示,行使这项选择权,有助於他们释放CIMedini的投资价值,同时亦可退出目前正在经歷放缓的柔佛房產领域。另外,获得的5544万令吉將可作为该公司在產业发展活动上的营运资金。【东方网财经】

传征阳与韩企联营7亿产业项目

(吉隆坡7日讯)传征阳集团(SUNSURIA,3743,主板工产业股)将与韩国Ever Rich Land子公司联营,在沙叻丁宜(SalakTinggi)推出一项发展总值7亿令吉的综合发展项目。

财经周报《The Edge》报道,Ever Rich Land旗下Welcome Global公司,将与征阳集团持股99%的Sunsuria Everrich私人有限公司缔结联营。

一旦双方达成协议,Ever Rich Land和Welcome Global将共同持有Sunsuria Everrich的40%股权,其余60%股权则属于征阳集团。

双方将通过Sunsuria Everrich,在一块8.5英亩的沙叻丁宜地皮,推出一项包含服务式公寓、零售商店、购物商场、酒店和主题公园的综合发展项目。

消息指,拥有这块土地的征阳集团独资子公司Sunsuria City私人有限公司,将在此联营计划中,取得该项目发展总值的18%,即1.25亿令吉。

“这有望为征阳集团带来可观的盈利,还有流动现金,而且,这只是个开始,征阳集团与Ever Rich Land接下来将继续以联营的方式,发展数个项目。”

征阳集团执行主席拿督戴良业接受《南洋商报》询问时,拒绝对此作出回应。【南洋网财经】

征阳与股东联营 布城发展7亿项目

(吉隆坡9日讯)征阳集团(SUNSURIA,3743,主板產业股)今天宣佈,和Welcome Global有限公司签署一项股东协议,在布特拉再也南部的沙叻丁宜发展一块地皮,落实一项总值6亿9400万令吉的发展项目。

征阳集团表示,通过间接子公司Sunsuria Gateway私人有限公司所持有的Sunsuria City私人有限公司,和Welcome Global有限公司,通过一家名为Sunsuria Ever rich的联营公司。

Sunsuria City將持有Sunsuria Ever rich的55%股权,而Sunsuria Gateway和Welcome Global则各別持有其余的5%和40%。

Sunsuria Ever rich將负责发展一块位於布城南部沙叻丁宜的地皮,总面积是8.48英亩。

Welcome Global的主要业务是投资房地產生意,並且是Ever Rich的独资子公司。而Ever Rich是一家跨国企业,目前在韩国江华岛经营一家酒店,同时在台湾和韩国皆有投资。

配合上述联营协议,征阳集团指出,Sunsuria City和Welcome Global將利用相关地皮,落实一项综合发展项目,並且在今年下半年寻求监管单位的批准。综合发展项目含服务公寓、零售店面、商场和酒店等。

此外,该公司也说,上述综合发展项目的总发展价值预计是6亿9400万令吉,预计在2017年动工,在2023年完工。

除此之外,征阳集团解释说,今次和Ever Rich合作,可以凭藉后者的专才和在產业发展方面的知识,为联营项目带来附加价值。

龚伟成受委征阳集团新任总执行长

(吉隆坡23日讯)龚伟成受委为征阳集团(Sunsuria Bhd)新任总执行长,即日起生效。

征阳集团今日向大马交易所发文告报备,现年49岁的龚伟成,目前是该集团的副总执行长兼执行董事,他将替代年届55岁的何汉生,担任总执行长一职。

何汉生以追寻其他兴趣为由,辞去征阳集团总执行长的职位。

辞去总执行长职位后,何汉生将担任征阳集团创办人兼执行董事拿督戴良业的顾问。

戴良业在另一项文告指出:“何汉生一直对实现征阳集团的愿景起着相当大的作用,我们也感激集团在他丰富的产业领域经验与网络带领下成长,他也将继续担任我们的顾问。”

与此同时,龚伟成在各领域拥有逾20年的金融和管理经验,包括审计、财务咨询、休闲、酒店、医疗、产业发展和产业投资。

在加入Sunway City Bhd之前,他在Arthur Andersen & Co工作。他在Sunway City Bhd工作长达13年。随后,他也受委为总财务长,尔后更担任双威集团(Sunway Group)的集团财务总监。

接着,他加入丽阳机构(Tropicana Corp Bhd)(前称为Dijaya Corp Bhd,成隆机构),并担任执行董事一职。

龚伟成在2013年5月加入征阳集团后,在公司的产品与服务组合发起多项主要财务综合管理的策略决策。

其中包括担任新山Sunsuria Medini项目,以及Sunsuria City项目的总执行长,Sunsuria City是布城南部(Putrajaya South)沙叻丁宜(Salak Tinggi)的大马厦门大学(Xiamen University)智能城镇发展项目。

征阳次季净利飙1.14倍

(吉隆坡23日讯)征阳集团(SUNSURIA,3743,主板工产业股)截至3月杪次季,净利按年大涨1.14倍,从147万3000令吉,增加至315万1000令吉,或每股净利0.43仙。

当季营业额激增1.27倍,录得3881万8000令吉,超越去年同季的1707万3000令吉。

根据文告,由于当季产业发展和制造业务的营业额走高,加上售出子公司股权的收入,因此提振了次季业绩。

合计上半年,净利按年劲扬3.75倍,报1255万7000令吉或每股净利1.71仙,大幅高于去年同期的264万6000令吉。

营业额达5632万9000令吉,按年升56.26%,去年同期为3604万8000令吉。【南洋网财经】

携手韩国恒富控股株式会社
征阳发展韩式综合项目

(吉隆坡31日讯)征阳集团(SUNSURIA,3743,主板工产业股)和韩国恒富控股株式会社(Everrich Group)缔结联营,携手发展以韩式主题的综合发展项目“征阳普罗旺斯村”(Sunsuria Provence Village),发展总值达7至8亿令吉。

征阳集团和恒富子公司维肯全球股份有限公司(Welcome Global)联营推出韩式主题综合发展项目,各别持股60%和40%。

恒富董事袁德有在记者会上指出,这项联营发展项目坐落在雪州沙叻丁宜的征阳城城镇,占地8.48英亩,为公司首个在大马的联营发展项目。

他说,其中将被引入的瞩目项目,是源自韩国仁川江华岛设计高雅的精品酒店——恒富酒店,将是一个舒适和精致的酒店,并以薰衣草为主题,结合生态有机农场和人文艺术风格的设计,弥漫浓厚的复古设计。

打造婚礼琉璃屋

他透露,配合恒富酒店,还会打造一座浪漫的婚礼琉璃屋和设有主题花园,以满足客人对举办婚礼、派对和私人活动场地日益增加的需求。

“在同一发展区内,将建有一个法国风格的村庄,概念来自韩国坡州市梦幻旅游景点——普罗旺斯村,备有别致的法式餐厅、时尚走廊和欧洲风情咖啡馆,将征阳城打造成热门的休闲景点。”

征阳集团执行主席拿督戴良业指出,“征阳城”的发展优势,除了厦门大学马来西亚分校的建立,它距离吉隆坡国际机场北侧,少于10公里,若使用ERL机场快铁(从征阳城可直接步行到ERL沙叻丁宜站),大约在7分钟之内即可抵达吉隆坡国际机场,前往吉隆坡中环车站也只是大约28分钟,通勤便利。

方圆20公里拥40大学

他指出,“征阳城”的邻近社区包括布城、赛城、龙溪、沙叻丁宜新镇、汝莱新镇、吉隆坡国际机场以及Kota Warisan。在方圆20公里内,共设有超过40所大学和学院。

“厦门大学大马分校是中国第一所驻马分校,目前学生人数有500人,预计今年9月可达1400人。它的招生目标是一万名学生,而实际可容纳人数远超于这个数字。”

他说,“征阳城”的整个发展计划需要大约8至10年时间完成。相关项目除了有地住宅、服务式公寓、办公楼,也将建有国际品牌商品城、韩式主题商圈、韩国时尚美容商场、精品酒店、婚礼琉璃屋、文化商品店,整个发展项目有助于带动“征阳城”成为全新地标和全新旅游景点。

备有世界级设施

“厦门大学大马分校、国际品牌商品城、以及合资伙伴Everrich Group共同发展的韩国普罗旺斯村(ProvenceVillage)等项目,将有助于吸引更多人包括投资者到来及带动经济 的发展。

征阳城定位为符合国际标准的智慧城镇,备有世界级的设施,它将树立独有的社区气息,将是教育与文化的中心,也是拓展海外市场的一个重要平台,它也将为大吉隆坡的发展注入更多新动力。”

征阳集团首席执行员兼执行董事龚伟成指出,“征阳城”备有超高速宽带连接系统,高效数码技术拉近人与人之间的距离,信息和通讯技术基础架构,足以提升数码连接效能。

规划园景加强宜居性

“我们打造足够的户外绿色空间,例如大公园和池塘,同时设计了人行道和自行车专用道,致力推动环保和健康生活形态。征阳城采用可持续性水资源管理系统,规划园景,以加强宜居性。”

“我们依照绿色建筑指数标准,打造这个城镇,目的在于减少浪费能源、保育生态系统。”

他说,该地区的交通转换枢纽区与时尚生活中心,通过城镇各地的步道和自行车专用道,可接连机场快铁站。由于使用ERL即可从吉隆坡中环车站、吉隆坡国际机场直通“征阳城”,它将是符合商务旅客、机场工作人员、机组人员及附近社区居民需求的理想城镇。

他指出,“征阳城”位于马来西亚多媒体超级走廊地带,衔接主要高速大道,包括从FT29路出口连接南北大道第二中环衔接大道(ELITE HIGHWAY),采用MEX大道可直通KLCC。

第一阶段料明年竣工

他说,“征阳城”第一阶段工程预计于明年竣工,可吸引大约140个零售商进驻。

他说,以“征阳城”可容纳6000至7000户家庭计算,潜在居民可达2万人。

征阳计划推出10亿令吉计划

(吉隆坡18日讯)征阳(SUNSURIA,3743,主板产业组)下个财政年将卯劲推展10亿令吉产业计划,放眼获取9亿令吉销售。

该公司刚上任首席执行员龚伟成说,基於客观环境与一些预备工作的延阻,因而今年大约只推展10%或约2亿至3亿令吉产业计划。

“在下个财政年,征阳预计推展10亿令吉计划,其中住宅单位将卯足全劲推展,视市场与计划推进,并放眼9亿令吉销售目标,主要销售来自征阳城。”

位於布城南部走廊,即环绕马来西亚厦门大学分校的525英亩地段的厦大城市综合发展计划─征阳城,是征阳的旗舰发展项目。

该集团执行主席拿督戴良业曾指出,上述项目初期发展总值63亿8000万令吉,若把跟进计划纳入计算,发展总值将达100亿令吉。

龚伟成今日在征阳城与ORIDE(马)有限公司签署合作协议後受询时披露,早前推出的78零售单位已全部售罄,上述销售达1亿7000万令吉,2月推展的Jasper广场商业单位已获认购60%或88单位。

上述合作协议是配合智慧、宜居和永续的征阳城叁大理念,透过征阳城的自行车计划在征阳城创造更健康、环境的生活,推动创新和社区互动。

(吉隆坡24日讯)进行中及刚竣工产业发展计划贡献,征阳(SUNSURIA,3743,主板产业组)截至6月30日止第三季净利增长11.81%至673万3000令吉,推动9个月净利上涨122.47%。

9个月净利飙122.47%

第三季营业额扬237.80%至5835万4000令吉,令9个月营业额走高115.07%至1亿1468万3000令吉。

该公司表示,9个月净利包括脱售租赁地及子公司股权的收益。

展望未来,征阳有信心截至2016年9月30日财政年表现将改善,相信在黄金地段推出正确的产业发展组合将持续带动需求。

(吉隆坡8日讯)征阳(SUNSURIA,3743,主板产业组)透过执行卖权,将其在两家公司、总价3994万令吉的股份转卖给Creed投资私人有限公司。

该公司透过文告说,将被脱售的公司是Concord产业管理的100%股权,和CI Medini公司的0.95%股权,售价分别为3809万5742令吉和184万8399令吉。

加上上述公司将派发的股息、将偿还的700万令吉欠款和剩余贡献等,征阳和旗下公司一共将从上述脱售计划中收获5938万令吉现金。

Reference is made to the announcement dated 12 April 2016 (“Announcement”) in relation to the Exercise of Put Option. All capitalised terms used herein shall have the same meaning as those set out in the Announcement unless otherwise stated.

The Board of Directors of Sunsuria are pleased to announce that Sunsuria and its wholly-owned subsidiary namely Sunsuria North Sdn Bhd (formerly known as Consolidated Leasing (M) Sdn Bhd) (“SNSB”) had on 7 September 2016 entered into an unconditional share purchase agreement with Creed Investments Pte Ltd (“Purchaser”) and Datuk Ter Leong Yap for acquisition by the Purchaser of the following shares pursuant to the Exercise of Put Option:

(i) acquisition from Sunsuria, 2 ordinary shares of RM1.00 each in Concord Property Management Sdn Bhd (“Concord”) representing 100% of the entire issued and paid-up share capital of Concord for a cash consideration of RM38,095,742.79; and

(ii) acquisition from SNSB, 12,500 ordinary shares of RM1.00 each in CI Medini representing 0.95% of the issued and paid-up share capital of CI Medini for a cash consideration of RM1,848,399.97.

征阳集团2017财年放眼推出15.5亿令吉项目

(吉隆坡2日讯)产业发展商征阳集团(Sunsuria Bhd)2017财政年(截至2017年9月30日止)放眼推出发展总值(GDV)达15亿5000万令吉的发展项目。

该集团2016财年净利飙涨230%至4400万令吉,同期净赚1330万令吉。营业额也从同期的8560万令吉,暴增137%至2亿240万令吉。

征阳集团表示,业绩表现看俏不仅归功于现有发展项目,其2017年的首个城镇计划--征阳城(Sunsuria City)的扩展计划也厥功至伟。

征阳集团在周三(11月30日)公布2016财年末季业绩后,今日向大马交易所发布上述文告报备。

该集团末季净赚2450万令吉,同期仅为460万令吉,涨幅高达430%;营业额也从同期的3220万令吉,暴增近3倍至8770万令吉。

征阳集团表示,2016年业绩增长反映出其强大的销售力度、以客户为中心的做法,以及交付优质项目和发展的能力,像是武吉日落洞(Bukit Jelutong)的Suria Residence。

近期的商业发展项目如实达阿南(Setia Alam)的The Forum,以及座落于征阳城的新商业发展项目-- Bell Avenue和Jasper Square皆为征阳集团2016财年的良好业绩表现作出贡献。

征阳集团执行主席拿督戴良业表示,集团未来几年将继续藉由推行产业项目与发展计划,致力推动集团业绩录得更多增长。

他表示,征阳城扩展计划包括首个住宅发展项目、The Olive公寓、Bell Suites服务式公寓,以及一个名为Monet Residences的有地住宅发展项目。

“除了城镇项目外,征阳集团将着重于实达阿南The Forum综合发展项目的第二期发展计划。这些2017财年所有正在进行的项目,预计发展总值可达至15亿5000万令吉。”
