PROPOSED ACQUISITION OF POPLAR INVESTMENTS LIMITED  

REPLY TO BURSA SECURITIESS QUERIES DATED 9 FEBRUARY 2012 ON PROPOSED
ACQUISITION OF 100% EQUITY INTEREST IN POPLAR INVESTMENTS LIMITED (PIL)
In reply to the queries received from Bursa Securities Malaysia Berhad (Bursa
Securities) vide its letter dated 9 February 2012 (ref: IJ-120209-40698), the
Company wishes to inform that:-
Q1.        The principal business activities of PIL.
KNMs Reply:
PILs principal business activity is that of a Property Holding Company.
Q2.        The names of the directors and major shareholders of Poplar Holdings
Limited together with their respective shareholdings.
KNMs Reply:
Poplar Holdings Limited is a wholly owned subsidiary of MOREOF Co-Investment
L.P.
Its directors are:-
(i)        Julian Roderick Power
(ii)        Sally Margaret Doyle-Linden
(iii)        Mark Newall Grace
(iv)        Christopher James Michael Bolt (alternate to Julian Roderick Power)
(v)        Richard Marchus Melhuish
Q3.        The information on the Land pursuant to Part C, Appendix 10A of the Main
Market Listing Requirements (where applicable).
KNMs Reply:
The Land is known as land at Storey's Bar Road, Peterborough, England and
registered under title no. CB223664 (the Land). The Land is freehold and
vacant. It measures approximately 55 acres. The Land is vacant and
unencumbered. It has also been approved for the development of the 80MWe Waste
to Energy Plant (the Plant) (as referred to in KNMs earlier announcements dated
21 December 2010) as authorised by a planning consent pursuant to S.36 of the
Electricity Act 1989 dated 4 November 2009 and a deemed planning permission
pursuant to Section 90(2) of the Town and Planning Act (1990).
In respect of the valuation of the Land, KNM has taken cognisance of the of
valuation reports conducted by licensed valuers carried out on behalf of
Peterborough Renewable Energy Limited ("PREL"), the former project developer.
KNM had submitted a bid for the acquisition of PIL or the Land under a bid
process conducted by Jones Lang La Salle on behalf of PREL.
The Land is proposed for development of the Plant to be known as EnergyPark
Peterborough (as described in our earlier announcement dated 21 December 2010)
(the Project).
The total development cost for the Project is estimated at between GBP500 to
600 million. To date, preliminary engineering works pursuant to the EPC
contract (as described in our earlier announcement dated 21 December 2010) has
commenced and completion thereof hinges on financial close being achieved by
Energy Park Investments Limited (EPIL).
EPIL is a subsidiary of KNM (as referred to in our earlier announcement dated
26 January 2012) and is the developer of the Project. Subject to financial
close, the Project is expected to be completed within 48 months. To achieve
financial close, EPIL  will opt for the most optimum mix of funding taking into
consideration the consolidated impact on the Groups gearing level, interest
costs as well as internal cash requirements for its business.
Q4.        Quantification of the Net Assets and Net Profits of PIL and the Net Book
Value of the Land based on the latest audited financial statements of PIL; and
KNMs Reply:
As an Isle of Man company, PIL is not required and has not prepared audited
financial statements.
Q5.        The prospects of PIL and the Land.
KNMs Reply:
PIL shall remain as the owner of the Land for the development of the Project
and subject to financial close the project is expected to derive EPC contract
revenue of approximately GBP450 million and recurring income on long term
revenue arising from power purchase agreement to be executed.
This announcement is dated 10 February 2012.

   最怕的是director 不配合， 趁机丢票。他们应该握有一定数量的票。

    的确不是一个好的现象。。尤其是cl，很明显有大户在丢票
