Description	ESTABLISHMENT OF A NEW SUBSIDIARY COMPANY BY MCLEAN TECHNOLOGIES PTE. LTD.
The Board of Directors of MClean Technologies Berhad (the “Company” or “MClean”) wishes to announce that on 1 December 2017, MClean Technologies (Thailand) Company Limited (“MTTCL”) had obtained obtained approval from Board of Investment of Thailand to commence business. MClean Technologies Pte, Ltd., a wholly-owned subsidiary of MClean Precision Pte. Ltd., which in turn a wholly-owned subsidiary of the Company, had on 17 March 2017 subscribed 1.6 million ordinary shares at an issue price of THB10 each, representing the entire issued and paid-up share capital in MClean Technologies (Thailand) Company Limited (“MTTCL”) (“the Subscription”) for a total cash consideration of THB16 million only (equivalent to approximately RM2,000,000 (“Establishment”). The intended business activities of MTTCL are to provide precision cleaning, assembly services and other related services to hard disk drive industry. Subsequent to the Establishment, MTTCL shall become a wholly-owned sub-subsidiary of the Company. The Board of Directors in MTTCL are as follows:- 1. Lim Han Kiau; 2. Chow Kok Meng, Bert; and 3. Loh Weng Yew None of the Directors and/or major shareholders of the Company and/or persons connected with them have any interest, whether direct or indirect, in the Subscription. The Subscription would not have any material effects on the Group’s earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding for the financial year ending 31 December 2017. Having consider all aspect of the Establishment, the Board of Directors of MClean is of the opinion that the Subscription is in the best interest of MClean. Description	JOHOR BAHRU HIGH COURT CIVIL SUIT NO. JA-22NCVC-204-10/2016 : PETRONAS GAS BERHAD ("PBG" or "PLAINTIFF") VS. DWZ INDUSTRIES (JOHOR) SDN. BHD. AND DWZ INDUSTRIES SDN. BHD. ("DWZ Entities" or  "DEFENDANTS") (HEREIN REFERRED TO AS THE CIVIL ACTION)
Reference is made to the previous announcements dated 1 November 2016, 2 November 2016, 28 November 2016, 27 February 2017, 8 May 2017, 25 May 2017, 29 June 2017, 31 July 2017, 8 August 2017 and 2 February 2018 in relation to the Letter of Demand served by Petroliam Nasional Berhad ("PNB") and Petronas Gas Berhad ("PGB"). For consistency, the abbreviations used hereinafter throughout this announcement shall have the same meaning as defined in the preceding announcements unless stated otherwise. The Board of Directors of MClean Technologies Berhad ("MClean" or "the Company") wishes to announce that DWZ Industries (Johor) Sdn Bhd and DWZ Industries Sdn Bhd (“DWZ Entities” or “Defendants”) were served with a writ and a statement of claim in respect of the Civil Action commenced by Petronas Gas Berhad (“PGB” or “Plaintiff”) on 31 October 2016.  The trial for Johor Bahru Civil Suit No. JA-22NCVC-204-10/2016, between PGB and DWZ  Entities, has progressed on 11 March 2018, 20 May 2018, 6 June 2018, 18 June 2018, 19 June 2018, 20 June 2018 and 21 June 2018. The decision of the Johor Bahru High Court which was handed down this morning has DWZ Entities to be jointly and severally liable to PGB for their pleaded claim for unlawful entry into PGB’s land, a tort of trespass, nuisance and negligence for the discharge of foreign effluent causing damage to PGB’s pipeline.  The Court has issued declarations to that effect and has issued an injunction against the Defendants’ their servants and agents from entering the Plaintiff’s land, constructing or installing or causing to be constructed or installing any piping or structure on the Plaintiff’s land and to injunct the DWZ Entities from releasing or discharging any effluents to the Plaintiff’s land. The High Court has ordered damages against the DWZ Entities in the amount of RM3,226,243.00 together with interest at the rate of 5% per annum from the date of loss till the date of full payment and costs in the amount of RM 100,000.00.  The Court disallowed the Plaintiff’s claim of RM2,938,676.58 and damages for punitive and aggravated damages. The Board of Directors and Management will study the grounds of the Court’s decision and will seek advice from DWZ’s solicitors before deciding if an appeal to the Court of Appeal is merited. Pending that, at the present time, the Board is unable to quantify the material/financial impact on the Group’s financials and operations. Further announcements will be made as and when there are material developments on the above matter. This announcement is dated 19th December 2018.
