(“KJS”) and wishes to announce that the details of the Notice are as follows:- 1.         Date the Notice was served The Notice was served at the registered office of MMSB in the evening of 20 October  2014. 2.         Basis of the Notice The Notice was served on MMSB to demand and require MMSB to pay a sum of RM317,169.60 (“Sum”) due and payable to KJS as at October 2014 in respect of security guard services provided to the company by KJS.    3.         Circumstances leading to serving of the Notice The Notice served on MMSB is to demand payment of the Sum within twenty one (21) days of receipt of the Notice, failing which MMSB shall be deemed to be insolvent and KJS shall have the right to proceed to wind-up MMSB in accordance with Section 218(1) (e) of the Companies Act, 1965. 4.         Whether MMSB is a major subsidiary of MEGB and the total cost of investment in MMSB MMSB is a major subsidiary of MEGB and the total cost of investment by the Company in MMSB is RM204,915,816.49. 5.         The financial and operation impact arising from the Notice The Notice is not envisaged to have any material financial or operational impact on MEGB group. 6.         The expected losses arising from the Notice The losses, if any, is not expected to be material. （吉隆坡28日讯）Masterskill教育（MEGB，5166，主板贸服股）与中国BBQGlobal Connection（简称BBQ）签署协议备忘录（MOA），在中国招生参与行政人员培训课程。

Masterskill教育通过文告指，子公司ASIAMET Executive教育中心今天已与BBQ签署备忘录。

BBQ主要业务为筹备国际会议和活动。

根据备忘录，双方将合作在中国招收学生参与行政人员培训课程，包括创业、电子商务、零售服务和特许经营课程。【南洋网财经】

MASTERSKILL明年欲達收支平衡

（吉隆坡1日訊）MASTERSKILL教育（MEGB,5166,主板貿服組）放眼將明年的學生人數從現有的2千人增至3千人左右，藉此於明年達到收支平衡。

MASTERSKILL教育執行董事兼大股東西瓦古瑪告訴《The Edge》，該集團已經通過關閉旗下部份校區成功降低成本。

“我們縮小了營運規模，校區從原有的6間減少至3間，成功減低固定成本。不過，最大的挑戰是要提高營業額。”

“目前，我們擁有2千名學生，若增加額外1千名或可助我們達到收支平衡。目前的容量為1萬名學生，希望可以提高學生人數。”

西瓦古瑪透露，該集團已經進行了一些方案，以向今年報考大馬教育文憑生的學生推廣該集團的課程。

該集團已經寫下連續11個季度的虧損，歸咎於低學生人數以及過剩的校區容量。該集團在2014財政上半年取得993萬令吉的淨虧損，較前期的3千零40萬令吉的虧損低。（星洲日報／財經‧The Edge專版）

（吉隆坡1日讯）市场传出，一批投资者，包括持有32.88%股权的大股东西华古玛，有意全购Masterskill教育（MEGB，5166，主板贸服股）。

《星报》引述消息，称新买家是具有经营教育方面的业务经验。

不过，西华古玛对此不愿置评。

依据公司周三（29日）的文告，西华古玛有意在今年第三季业绩公布前，于闭市期间交易手上股票。

Masterskill教育过去数周股价走升，本周上扬5仙或10%，昨天平盘交易，收报54仙，创半年以来最高水平。

Masterskill教育此前的事情发展，足以带出公司如今有可能被全购。

Crescent沽清股权

公司原第二大股东Crescent集团，于9月18日通过公开市场，脱售手上所有股票，造成股价一度跌至34仙。

如今，最大股东是担任公司执行主席的西华古玛，直接持有1亿2365万6700股。

他今年3月与香港商人侯宋刚（译音）签约，授予后者选择权，在半年内以每股1.10令吉，收购他所持29.76%股权。

然而，双方较后宣布终止协议。

淡马锡霸菱私募入股？

西华古玛早前接受媒体访问，称与潜在伙伴洽商，以把公司转亏为盈，其中包括淡马锡控股和霸菱私募基金（Barings Private Equity）。

迄今无法确定两个潜在伙伴，是否将与他达成协议。

虽然公司目前还无法转亏为盈，但财务仍稳健，净有形资产为59仙，稍微高于目前股价。

公司早前以3324万令吉，脱售香港Gayety控股所有股权。

这意味，公司如今拥有大约4750万令吉现金，高于债务4210万令吉，成为持有500万令吉的净现金公司。

（吉隆坡6日讯）Masterskill教育（MEGB，5166，主板贸服股）执行主席兼大股东西华古玛，将以7500万令吉收购公司旗下营运资产，再出租给公司。

Masterskill教育向马交所报备，旗下Masterskill私人公司，将把坐落在蕉赖、亚庇、古晋和巴西古当的学院，脱售给西华古玛。

接着，Masterskill将向西华古玛租赁有关产业10年，并可选择延长5年。

另外，公司也会脱售另一批非营运资产，即坐落在亚庇、八打灵再也和哥打巴鲁的4栋产业。不过，公司未在文告中提到买家。

CEO3个月就辞职

公司将从脱售学院资产的7500令吉，拨出4200万令吉偿还银行贷款；至于脱售4栋产业的其余所得，预计保留为营运资本或派发给股东。

目前，西华古玛持公司32.88%股权。

另外，Masterskill教育宣布，刚在今年8月上任为总执行长的香港商人侯宋刚（译音），因个人事情，已在周二辞去董事和执行长职。

同时，他的妻子叶玉川及刘国伟（皆译音），也辞去非执行董事职务。

（吉隆坡7日訊）MASTERSKILL教育（MEGB,5166,主板貿服組）一日數變，先有大股東回購資產，再有股權和人事異動，難道是山雨欲來的徵兆？

主席7500萬回購4資產該公司發文告指出，執行主席兼大股東西瓦古瑪獻議以7千500萬令吉回購公司4項資產，即MASTERSKILL（馬）私人有限公司旗下蕉賴、亞庇、古晉和巴西古當產業，隨後回租予後者，並將另4項非核心業務掛牌出售，以將負債比減為“零”。

MASTERSKILL將為上述計劃委任獨立估價師、主要與獨立顧問。

7.3%股權場外易手

同時，MASTERSKILL週四共有兩批為數3千萬股股票，相等於7.3%股權，以每股60仙在場外易手，引發市場對公司股權架構可能生變的疑慮。

據悉，該批股權是由MASTERSKILL原創人拿督斯里雅蒙桑達拉釋出。

更令人關注的是，MASTERSKILL同日竟有3位董事――首席執行員兼執行董事侯宋孔、非獨立與非執行董事廖國偉和葉玉釧（人名譯音）以“追求個人事務和其他興趣”為由掛冠求去，雖然3人都否認與董事部存在意見分歧，但事情未免過於巧合。

西瓦古瑪和侯宋孔是在今年3月簽署買賣權協議，前者將賦予侯宋孔一紙擁有6個月有效期的“買權”，讓後者能在未來6個月內，隨時可以每股1令吉10仙價格收購西瓦古瑪持有的MASTERSKILL股權，但後西瓦古瑪在9月宣佈終止相關協議。

數據顯示，MASTERSKILL股價自上月開始呈現漲勢，短短一個月內即從41仙走揚53.66%至最高的63仙。該股今日面對賣壓，全日下跌1仙至61仙。（星洲日報）

（吉隆坡10日訊）MASTERSKILL（MEGB，5166，主要板貿服）自上週在場外脫售30億股后，今日以有重大事項宣布為由申請停牌，料宣布公司新股東身分；無獨有爾，SMR科技控股（SMRT，0117，創業板科技）也申請停牌，讓人懷疑后者將躍身成為新股東。

MASTERSKILL今日以有重大事項宣布為由，向馬交所申請停牌獲准，于下午2點30分至傍晚5時暫停交易。較后，SMR科技控股也以有重大事項為由，向馬交所申請暫停交易。

MASTERSKILL約有30億或7.97%股權分別于上週三（5日）和週四（6日）在場外交易，每股交易價為60仙，總值1800萬令吉，這意味著公司將迎來新股東。

雖然新股東身份未明，但SMR科技控股在該公司宣布停牌后，也做出相同舉措，令市場揣測兩者有關。

根據《The Edge財經日報》日前報導，該公司執行董事西瓦古瑪在接受該報查詢時指出，他並沒有涉及這兩宗股價交易，自身所持有的股權並沒有任何變動，但他也表示，自己是開放讓新股東加入公司的。

儘管不知道這批股權的買賣方身份，但市場推測買方可能是公司前總執行長拿督斯里埃蒙山達拉，截至今年5月3日，他仍持有公司2560萬或6.25%股權。

另外，市場也推斷，這批股權的買方可能是SMR科技控股；但也有人認為，購買這批股權的可能是數人，而不是一人或一家公司。

MASTERSKILL最后交易價為61.5仙，起0.5仙；SMR科技控股起1仙至86仙。
