传土展创投入股新英棕油 外界不看好恐重演居林窘境

（吉隆坡17日讯）外界盛传，土展创投（FGV，5222，主板种植股）有意买入伦敦上市的新英棕油有限公司（NBPOL）大部分股权。

《星报》引述消息，指现金充足的土展创投，有意入股市值高达6.152亿英镑（约33.4亿令吉）的新英棕油。

他提到，巴布亚新几内亚政府和其他新兴经济体的“资源民族主义”（resource nationalism）日益高涨。

收购股权有难度

因此，土展创投要收购新英棕油大部分股权绝非易事，加上居林（KULIM，2003，主板种植股）的前例，更让外界都等着看好戏。

居林去年6月献议增持新英棕油，以1.65亿英镑（约8.123亿令吉）或每股5.50英镑，有条件增购新英棕油的3000万9621股，或相等于缴足资本的20%。

居林是柔佛机构（Johor Corporation）旗下种植投资臂膀，现握有新英棕油的48.97%股权。

然而，居林的献议引起极大反对声浪，包括新英棕油的独立顾问建议股东拒绝献议。

巴布亚新几内亚证券监督委员会更发出多个限制令，不许居林进一步收购新英棕油股票。

证监会形容，新英棕油是国家之光，也是许多国民的收入来源，担心国家和其他股东，可能在自己的国土遭外资公司边缘化。

地主管理模式成功

至于土展创投是否重蹈覆辙，分析员认为居林面对的窘境，未必重演在土展创投身上。

分析员指出，土展创投的优势，在于担任联邦土地发展局小地主的管理人数十年，经营模式非常成功。

因此，他不排除土展创投或以此作为卖点，特别是新英油棕目前有25%的鲜果串，是由当地逾1万5000名小园主供应。

新英油棕在巴布亚新几内亚和所罗门群岛，拥有7万7000公顷原棕油土地、12座原棕油厂和1座提炼厂，更是当地最大白糖和牛肉产商。【南洋网财经】

（吉隆坡19日讯）土展创投（FGV，5222，主板种植股）指出，正评估收购多家种植公司，包括伦敦上市的新英棕油有限公司（NBPOL），以达成2020年晋升为全球10大农产品企业的目标。

早前媒体引述消息，称土展创投有意入股新英棕油。

对此，土展创投今天向马交所报备，强调集团一直探讨潜在机会，以带动集团增长，迈向全球10大农产品企业的目标。

集团表示，近期正评估数家种植公司，目标不局限于新英棕油，但目前还确定最终收购目标。

去年，居林（KULIM，2003，主板种植股）有意增持新英油棕20%股权，但引起反对声浪，巴布亚新几内亚证券监督委员会更发出限制令。

居林现持有新英油棕的48.97%股权。

当地证监会曾表示，新英棕油是国家之光，也是许多国民的收入来源，担心国家和其他股东，可能在自己的国土遭外资公司边缘化。

入股新英油棕有困难

达证券分析员认为，土展创投若入股新英油棕，可能面对挑战，包括得改变当地监管和政府对外资的看法。

他质疑，土展创投收购新英油棕大部分股权，最终是否能成行。

新英油棕在巴布亚新几内亚和所罗门群岛，拥有7万7000公顷原棕油土地、12座原棕油厂和1座提炼厂，更是当地最大白糖和牛肉产商。

肯纳格投行分析员表示，虽然符合集团扩展棕油上游业务的大蓝图，但还是对收购行动抱持中立看法。

土展创投即将公布今年首季业绩。由于原棕油价格近期走高，分析员普遍看好集团可创佳绩。

聯土局多元 斗湖推介第4座沼氣發電廠

（吉隆坡20日訊）聯土局多元（FGV，5222，主要板種植）將在沙巴斗湖推介第4座沼氣發電廠，為當地Felda Umas 3000名住戶提供電力。

這座發電廠耗資1400萬令吉，由子公司Felda棕油工業私人有限公司在2012年起經營，每小時可生產1000立方米沼氣。

該公司發布文告稱，從棕油廠取得廢液，在用于發電前將轉換為沼氣。

能源、綠色科技及水務部部長拿督斯里麥西慕今日到場推介，而此前Felda Umas住戶是依賴化石燃料發電。

聯土局多元總裁兼總執行長莫哈末恩米爾說：“我們相信這項工程可為社會帶來顯著貢獻，降低住戶面對斷電問題。”

他認為公司作為全球農業生意業者，再生能源是聯土局多元對持續發展的承諾。

“長期來看，再生能源提供最佳電力替代來源，甚至是降低對化石燃料的依賴。”

此外，聯土局多元指設立發電廠，亦提供附近居民工作機會。

聯土全球首季淨賺1.4億

（吉隆坡23日訊）歸功於高原棕油價和棕果榨油率（OER）及相關公司貸款損失回撥，聯土全球（FGV,5222,主板種植組）截至2014年3月31日止第一季淨利從前期的1億3千671萬6千令吉增長5.06%至1億4千362萬8千令吉。

首季營業額為37億2千612萬2千令吉，比去年同期的26億8千220萬8千令吉上漲38.92%。

幹旱影響鮮果串產量

該公司發文告指出，受年初冗長幹旱氣候影響，集團鮮果串產量低於預期，但每公噸原棕油價從去年平均的2千333令吉走揚至2千584令吉，因此縱然鮮果串產量可能走低，整體原棕油價前景依然正面。

“在多數國家，經濟學家預期國內生產總值（GDP）增長上軌，原棕油等蔬菜油需求料穩定。＂此外，生物柴油計劃開跑及需求預期走揚和出口有望在齋戒月迎來高峰，可能拉低原棕油庫存，種植領域前景依舊穩定，相信種植業務將可達成全年目標。

聯土全球表示，在良好的經濟背景和持續需求支撐下，集團將延續積極和策略性併購策略，以取得營業額和盈利增長目標。

強化翻種研發

“內部方面，集團將透過營運重組、脫售非核心業務、提升園丘與其他生產資產的生產效率等措施來提升營運效率和有效性，榨油率和每公頃鮮果串產量也將從上述成本節省措施中受惠。同時，集團也將繼續強化翻種和研發工作，以取得營運可持續性和最大化長期盈利表現。＂該公司認為，排除任何不可預見因素，董事部相信集團截至2014年12月31日止財政年表現將與領域相符。（星洲日報／財經）

1. INTRODUCTION The Board of Directors of Felda Global Ventures Holdings Berhad (“FGV”) is pleased to announce that FGV Cambodia (L) Pte. Ltd (“FGVC”), a wholly owned subsidiary of FGV had on 23rd May 2014 entered into a joint venture agreement and a shareholders’ agreement (“JVA”) with Co-Op Village Co. Ltd (“CVCL”) to establish a joint venture company (“JVC”) in the Kingdom of Cambodia to carry out the business of production and export of CSR 10 Rubber Blocks or other classification of processed rubber as the JVC deems fit, and other activities incidental and ancillary thereto and modifications thereof as mutually agreed by the Parties (“Proposed Joint Venture”). 2. DETAILS OF THE PARTIES 2.1 Information on FGVC FGVC was incorporated in Labuan, on 16th May 2014 under the Labuan Companies Act, 1990 and has an issued and paid up share capital of USD1.00. FGVC is primarily involved in the business of investment holding and other activities incidental and ancillary thereto. 2.2 Information on CVCL CVCL was incorporated in the Kingdom of Cambodia, on 14 February 2012 under the provision of relevant laws and acts of the Kingdom of Cambodia, and has an issued and paid up share capital of Cambodian Riel 200,000,000.00. CVCL is primarily involved in the business of producing rubber blocks (CSR 10 Standards), at a rented factory located in Kampong Cham, Kingdom of Cambodia for the export to multiple buyers. 3. SALIENT TERMS OF THE JVA 3.1 Conditions Precedent The Proposed Joint Venture is subject to the fulfilment of the conditions precedent as set out in the JVA, which include among others the following (“Conditions Precedent”): i) Procurement by the Parties of all approvals required to enter into the Proposed Joint Venture and each Party shall have received from the other Party a certified copy of the said approvals; ii) Subject to procurement of the necessary approvals including the approval from the Central Bank of Malaysia, deposit by FGV a total of USD3,000,000.00 into an Escrow account being the contribution by FGV to the initial share capital of the JVC and purchase price of a rubber processing factory by the JVC; iii) Completion of the transfer of ownership of land where the rubber processing factory is located on, from a 3rd party seller to CVCL; iv) Execution of a sale and purchase agreement in relation to the purchase of a rubber processing factory by the JVC from a 3rd party seller; v) Execution of a land lease agreement in relation to the lease of land by the JVC from CVCL; 3.2 The JVC will be incorporated by the Parties under the name of FGV-CVC Co. Ltd subject to the approval from the relevant authority bodies of the Kingdom of Cambodia. Subject to the fulfilment of the Conditions Precedent and Closing of the JVA, the initial authorised and paid-up capital of the JVC shall be USD1,000,000.00 divided into 1,000,000.00 shares of USD1.00 each. 3.3 Business of the JVC Subject to the terms of the JVA, the business of the JVC shall be to engage in the production and export of CSR 10 Rubber Blocks or other classification of processed rubber as the JVC deems fit, and other activities incidental and ancillary thereto and modifications thereof as mutually agreed by the Parties. 3.4 Equity Participation FGVC and CVCL equity participation in the JVC shall be premised on the shareholding proportion of 75:25 respectively. 4. 購聯土控股效應發酵‧聯土全球產能有望復甦

（吉隆坡26日訊）聯土全球（FGV,5222,主板種植組）首季核心淨利低於預期，分析員認為鮮果串產能下滑將導致近期盈利成長放緩，不過預計全購聯土控股（FHB）協同運作效應將在下半年顯現，促使產能復甦。

產能下滑料衝擊盈利成長

達證券指出，該集團第一季淨利揚5.1%至1億4千360萬令吉，排除非核心項目後，核心淨利按年下滑18.1%至1億零370萬令吉。

“第一季盈利部份受干旱氣候影響，導致鮮果串收成及生產率下降，同時懷疑該集團蒙受貿易虧損，因今年第一季原棕油價已上漲，可是與聯土控股的原棕油採購協議還未重組，製造、物流及其他（MLO）業務也蒙虧。”

達證券保守預測，鮮果串成長將從2.6%下滑至0.6%，肥料業務比預期低，料導致製造、物流及其他業務營利減6%，令2014/16財年盈利預測調降9至10%。

“該集團2014財年鮮果串4至6%成長預測目標樂觀，因其棕油樹齡已非常高（平均16.8年），不認為接下來煉油廠及下游業務將轉虧為盈。”

MIDF研究認為首季盈利低於預期，鑒於下半年厄爾尼諾影響幾率較高，不認為聯土全球鮮果串產能將顯著改善，預計接下來6至12個月盈利成長將緩和，調低2014財年淨利預測27.4%及其評級。

安聯研究認為，短期種植盈利料受低平的鮮果串產能拖累（未成熟區佔18%），預計2014財年鮮果串產量按年下滑1.5%至497萬5千噸。

興業研究表示，核心淨利低於預期，主要是受低鮮果串產能成長及高生產成本影響，不過相信下半年表現更好，預計全購聯土控股的協同運作效應將顯現，產能料在高峰期復甦及成本將緩和。

納入低鮮果串產能目標、高單位價格及白糖業務盈利調整後，興業研究下調2014至2015財測8至10%。

收購效應顯現 聯土局多元看好前景

（吉隆坡3日訊）聯土局多元（FGV，5222，主要板種植）主席莫哈末依沙指出，收購笨珍聯合種植（Pontian United Plantations）及全權掌控聯邦土地發展局控股（Felda Holdings）的盈利貢獻，將在今年兌現。

他在年報內的致股東信函指出：“來年將可看見近期收購案成效。笨珍聯合種植已在去年末季開始貢獻淨利，旗下多數樹齡為13年，料未來10年所需翻種成本甚低。”

截至今年2月，笨珍聯合種植占聯土局多元20%種植業務。

莫哈末依沙指出，公司謹慎樂觀看待棕油價格漲勢，預計今年食用油平均售價將比去年高出200令吉。

另外，聯邦土地發展局控股已成為該公司獨資子公司，今年將反映全年盈利貢獻。

同時，聯土局多元首發股仍有13億3000萬令吉資金，及37億令吉現金儲備，具優勢進行併購活動。該公司現于緬甸、柬埔寨和巴布亞新幾內亞尋求油棕、橡膠和糖料種植。

（吉隆坡16日讯）虽然过去3个月的乾旱天气使FELDA环球投资（FGV，5222，主板种植股）的棕油產量下跌6%至7%。但该公司相信棕油价在產量降减下走高，並扶持其净利表现。       

FELDA环球投资首席执行员莫哈末依米尔表示，该公司今年订下的棕油產量目標保持不变，依然是330万公吨，即使过去数个月的棕油產量显著下降。

同时，依米尔进一步指出，「在过去3个月里，乾旱天气影响了鲜果串（FFB）收成，我们的棕油產量因而跌了6%至7%。」

依米尔是在出席FELDA环球投资的永续性发展报告推介礼后，向记者发表谈话。种植及原產业部长拿督斯里道格拉斯亦受邀出席推介礼。

与此同时，依米尔说，由於「厄尔尼诺」现象（El-Nino）即將到来，棕油產量料处於偏低水平，进而推高棕油价。目前的棕油价大约是每公吨2400令吉，长远来说料介於2600至2700令吉。FELDA环球投资將採取必要措施保住鲜果串收成。

当被询及FELDA环球投资的投资部署时，依米尔只强调管理层將探討和评估任何潜在的併购机会。假如敲定任何收购的话，该公司將在適当的时机作出相关宣佈。

2017符合永续指南

谈到今天推介的永续性发展报告，依米尔称，该报告將说明FELDA环球投资如何在未来数年里加强其价值系统，以及如何达到永续性发展的目標。此外，该公司预计可在2017年全面符合「永续性棕油圆桌会议」（RSPO）指南所订下的准则和条例。目前，它们已有超过58万公吨的棕油符合RSPO標准。

依米尔也说，大马棕油局（MPOB）將在今年內推出本身的「大马永续性棕油」新指南（MSPO），该指南將和RSPO有一些差別，相信在不久的將来所有国內种植公司均须遵守这一套新指南。【东方网财经】

艾爾尼諾或導致產量跌 棕油價料維持RM2450

（吉隆坡25日訊）儘管艾爾尼諾現象來襲導致棕油產量下跌，聯土局多元（FGV，5222，主要板種植）仍保守預測，今年每公噸棕油價格將維持在2450令吉。

聯土局多元總裁兼總執行長莫哈末恩米爾指出，艾爾尼諾的確會導致農作物產量降低，為減輕衝突並提高產量，公司自1月起已加強微觀管理包括水份管理、水資源保護等。

詢及目前原油價格是否能提振棕油價格時，他回應記者提問時說：“當然會，原油和棕油價格是有直接的關係。”

莫哈末恩米爾解釋，聯土局多元今年計劃分拆非核心業務，也就是分拆任何不涉及公司價值鏈的資產，這並不包括上游和下游業務。

“我們還在探討中，將在今年公佈有關消息。”

他今日出席聯土局多元股東大會后在記者會上發表談話，列席者為主席丹斯里莫哈末依沙、總財務長拿督莫哈達拉哈、聯土局多元種植私人有限公司總執行長阿都哈林。

有關聯土局多元有興趣收購居林集團（KULIM，2003，主要板種植）持有的新不列顛棕油有限公司（NBPOL）49%股權最新進展，莫哈末恩米爾說：“我們正與顧問評估該建議收購計劃，將在下月首週提交競標書。即將會與居林集團管理層會面。但暫時不能透露收購價格。”

有意收購居林

他指出，計劃進軍巴布亞新幾內亞市場是因當地原棕油產量高于我國和印尼，每公頃能生產26至27公噸油棕樹鮮果串。

“新不列顛棕油很久前已在該市場建立種植業務，若我們要從新進軍該市場，或會遇到很多問題。”

至于收購亞洲種植園有限公司（Asian Plantations Ltd）的進展，莫哈末恩米爾指出，目前還在評估中。若有消息，就會做出公佈。【中国报财经】

FGV冀通过转型　成全球10大农业公司

（吉隆坡14日讯）Felda环球投资（FGV，5222，主板种植股）今天宣佈订下目標，要通过转型计划在2020年取得1000亿令吉营业额，並成为全球10大农业公司之一。

在营运方面，Felda环球投资將旗下的各项核心业务將共同创下另一个里程碑，以一个精简且具规模的公司架构，以及稳建的企业治理来打拼未来的成长。

Felda环球投资总裁兼首席执行员莫哈末依米尔通过文告表示，「我们將专注於落实全球策略性蓝图里的2020年愿景，即取得超过1000亿令吉的营业额和成为全球10大农业公司之一。」

同时，依米尔补充，该公司擬订的转型大计可以让其营业额在6年里取得8倍的成长，並且加强本身的竞爭力。

Felda环球投资目前的企业架构重组涉及6大部门，包括油棕上游、油棕下游、白糖、橡胶、研究与发展，以及运输与物流。这些部门都已订下本身的成长目標。

以油棕上游部门为例，其目標是保住本身在全球种植业里的领头羊地位，以及成为原棕油產量和种植地段最多的种植公司。下游部门则专注於生產高赚幅和高成长的油棕產品。

在白糖部门方面，Felda环球投资已经通过马来亚糖厂（MSM，5202，主板消费股）成为全球最大的白糖生產商。该部门接下来將提高原糖產量，即订目標是在2020年以400万公吨的年產量成为全球最大的炼糖公司。

至於橡胶部门，目前正专注於橡胶加工业务的发展情况，以成为全球加工橡胶最畅销的第3大公司。这將由其上游、中游和下游部门来支撑。

而研发部门则要成为集结油棕、白糖和橡胶的全球主要研究机构；运输、物流和行销部门则將分成3个部门来营运，包括运输和物流、存储和行销。依米尔强调，「我们坚信转型计划將带领Felda环球投资取得成功，我们有信心可以完成目標。」

土展不应扣押垦殖民股息 MSWG： 股东同享权益

（吉隆坡26日讯）小股东权益监管机构（MSWG）指责土展创投（FGV，5222，主板种植股）扣押垦殖民股息之举，指后者与一般股东一样享有股息权益。

近来有报道指，那些向土展创投提出诉讼，以及非法将所分配到的土地卖给第三者的垦殖民，将不会获得股息和开斋节援助金。

一名土展创投的发言人也透露，未进行再种植活动，或没将种植品卖给土展创投的垦殖民，也只能获得一半的股息和开斋节援助金。

对此，小股东权益监管机构总执行长丽塔对此举表示惊讶，强调只要是合法注册的股东，都应该获得公平对待，包括享有股息的权利，不应该存在歧视的态度。

首相拿督斯里纳吉本月初宣布，土展创投将派发每人647.78令吉，给11万2635的垦殖民，总达7290万令吉；该公司也将拨出3050万令吉的开斋节援助金，每个家庭可获300令吉。

伊斯兰党的《哈拉卡日志》（Harakah daily）也报道，已有50位垦殖民因未获股息和援助金而报警，并透露还有逾1000人也未获此福利。

据了解，从2011年开始，陆续有垦殖民指控土展创投“欺骗”他们所卖出的棕油价格，且多数垦殖民来自彭亨州。

土展创投在首次公开募股（IPO）时承诺，只要公司有盈利，垦殖民都将获派发股息，每个人也会获上市的蓝表格，成为股东。

该公司设下目标，要在2020年之际，扩展原棕油产量高达870万吨，种植地库放眼达到92万5000公顷，晋升为全球10大综合与多元农业集团。

另外，土展创投总执行长莫哈末依米尔玛瓦尼曾经透露，土展创投正探讨有挂牌可能的业务。

他指出，土展创投旗下业务有数家具有潜能的公司，不排除分开上市马交所。

（吉隆坡30日讯）土展创投（FGV，5222，主板种植股）澄清，已将股息派发予持股20%的联邦土地发展局（FELDA），但无权干预后者是否将股息转派给垦殖民。

针对本报于7月27日刊登的新闻，土展创投今日发函澄清，该公司已经派息予包括联邦土地发展局在内的所有股东，尽了上市公司的责任。

早前有报道指，那些提出诉讼，以及非法将所分配到的土地卖给第三者的垦殖民，将不会获得股息和开斋节援助金。

土展创投也指出：“据我们了解，联邦土地发展局之前曾说过，这些股息将用在垦殖民身上。当土展创投派息予该局后，后者会自行决定如何处理这笔资金，包括是否派息。”

同时，土展创投强调，联邦土地发展局这个“转派”活动，是该公司无权干预的。

土展创投寻新方案 释放运输物流价值

（吉隆坡4日讯）全球最大棕油生产商土展创投（FGV，5222，主板种植股），正为旗下交通与物流业务，探讨多个可释放价值与套现的解决方案，而不限于单一收购目标。

自去年起，市场已盛传土展创投一直探讨在物流公司世纪通运（CENTURY，7117，主板贸服股）收购显著股权，因土展创投要把交通与物流业务注入该上市公司，以创造更多效率和规模。

《星报》引述知情人士报道，该交易已洽谈超过1年，很大可能土展创投也在评估着其他物流公司。

其他潜在上市公司包括综合通运（ILB，5614，主板贸服股），但这不是土展创投想找的唯一一家公司。

激励综合通运股价

自从传出上述传言后，放眼成为现金公司的综合通运，股价在过去两周上涨了14%。

该公司在上月向大马交易所报备，其间接持有70%股权的子公司综合物流（香港）有限公司，同意把ISH物流（深圳II）有限公司及综合物流河南（香港）有限公司的所有股权，卖给永发国际集团，总值9亿8800万人民币（约5亿1930万令吉）。

综合通运预计，可从中获利1亿7800万令吉。

至于世纪通运，即使没有与土展创投交易，也有自己的计划，即推行股息政策及通过并购，继续增长。

知情人士指出，物流领域是时候进行整合，作为供应链解决方案领导者，只要时机合适，世纪通运将会探讨一些并购活动，以壮大规模。【南洋网财经】
