Puncak wishes to announce that its wholly owned subsidiary, PNSB and its 70% owned subsidiary, SYABAS have, on even date, each received the Letter of Offer dated 13 February 2009 from the Selangor State Government in respect of the taking over of the water assets and operations of PNSB and SYABAS.
Offer to PNSB
The details of the offer to PNSB are as follows:-
The offer price is RM1,607,717,000 based on the valuation of the water assets of PNSB (using Capitalized Value) as at 31 December 2007:
Valuation Date : 31 December 2007
Asset Value : RM1,140,000,000
Equity Value : RM 543,047,000
RM 1,683,047,000
Less : Dividend : (RM 75,330,000)
Offer Price : RM1,607,717,000
The offer price to PNSB is based on Cash Value and payment to be made by taking over of all water assets and operations of PNSB without any liabilities to be assumed by the Selangor State Government.
Offer to SYABAS
The details of the offer to SYABAS are as follows:-
The offer price is RM1,512,004,000 based on the valuation of the water assets of SYABAS (using Capitalised Value) as at 31 December 2007:
Valuation Date : 31 December 2007
Asset Value : RM1,088,000,000
Equity Value : RM 424,004,000
RM1,512,004,000
Less : Dividend : (Nil)
Offer Price : RM1,512,004,000
The offer price to SYABAS is based on Cash Value and payment to be made by taking over of all water assets and operations of SYABAS without any liabilities to be assumed by the Selangor State Government.
Both PNSB and SYABAS are given till 20 February 2009 to revert to the Selangor State Government on the respective offers before negotiations commence towards a mutual agreement on the terms of the offer.
The Board and the Management of PNSB and SYABAS will review the offer from the Selangor State Government.
Puncak will update the Exchange on further developments on this matter in due course.
This announcement is dated 13 February 2009. |
