Letter of Award - Construction of a Cracking and Separation Plant under Civil Works Stage 2 at Gebeng Industrial Estate, Kuantan, Pahang (the Project) by a Local Subsidiary of a Multinational Company Focused in Developing Global Rare Earths (the Client) Further to the announcement made on 23 December 2008 and 16 February 2009, the Board of Directors of Hexagon Holdings Berhad (Hexagon) wishes to further disclose that the suspension of the Project by the Client was from a voluntary decision of the Clients, due to uncertainties that materialized in the Clients financing structure for the Project.  Resulting from the Clients voluntary suspension of the Project in whole, Hexagon had to correspondingly suspend its part of the works in respect of the Project. In a letter dated 17 February 2009, which Hexagon received from the Client, it was explained that there is presently a dispute between the Client and its bondholders on the release of an amount of US$95 million in bond monies from escrow which was raised in conjunction with a bank facility to fund the Project.  The Client has asserted that although the conditions precedent to release of the monies were satisfied, the bondholders do not appear likely to agree to release the escrowed funds in accordance with the original terms. The Client assured Hexagon that it is assessing all of its options (including its legal position) in relation to the bond facility. In concluding the aforesaid letter, the Client assured Hexagon further that it continues to be confident about the future of the Project and that it intends to restart the Project once an appropriate capital structure is in place. This announcement is dated 16 February 2009.

LETTER OF AWARD The Board of Directors of Hexagon Holdings Berhad (Hexagon) is pleased to announce that its wholly owned subsidiary Hexagon Engineering Construction Sdn Bhd has received a Letter of Award (Award) on 22 December 2008, from a local subsidiary of a multi-national company focused in developing global rare earths, to undertake works known as Civil Works Stage 2 for the construction of a Cracking and Separation Plant for the production of high purity lanthanide compounds, located at Gebeng Industrial Estate, Kuantan, Pahang. The Award consists of the following scopes of work: a.        Cracking; b.        Waste Gas Treatment; c.        Leaching (primary, secondary, tertiary); d.        Upstream Extraction; e.        Downstream Extraction; f.        Product Finishing; g.        Utilities; h.        Water Treatment and residue management; and i.        off-plot The aggregate value of the Award is RM52,924,549.34. The work is scheduled for completion on 8 August 2009. The Award is subject to, amongst others, the execution of final contract document between the parties. Further details on the abovementioned Project are being finalized and will be announced in due course. None of the Directors, substantial shareholders or persons connected to them has any direct or indirect interests in the said Award. The Award will not have any effect on the share capital and substantial shareholders shareholdings of Hexagon. The Award is expected to contribute positively to the earnings and net tangible assets of Hexagon for the financial year ending 31 March 2009 onwards. This announcement is dated 23 December 2008.

This contract is valid until 31st October 2011 with an estimated contract value of RM20 million per year.
None of the Directors, substantial shareholders of Hexagon or persons connected to them has direct or indirect interest in the contract.
The Award will not have any effect on the share capital and substantial shareholders’ shareholdings of Hexagon.
