CAPE EMS BERHAD INITIAL PUBLIC OFFERING (IPO) OF 259,700,000 ORDINARY SHARES IN CAPE EMS BERHAD (CAPE EMS) ('IPO SHARES') IN CONJUNCTION WITH THE LISTING OF AND QUOTATION FOR THE ENTIRE ENLARGED ISSUED ORDINARY SHARES IN CAPE EMS ('SHARES') ON THE MAIN MARKET OF BURSA MALAYSIA SECURITIES BERHAD COMPRISING A PUBLIC ISSUE OF 173,000,000 NEW SHARES AND AN OFFER FOR SALE OF 86,700,000 EXISTING SHARES

Tricor Investor & Issuing House Services Sdn Bhd (“TIIH”) wishes to announce that, with a total of 18,526 applications for 869,644,700 IPO Shares at a value of RM782,680,230 received from the Malaysian public, the 46,200,000 IPO Shares made available for application by the Malaysian public has an overall oversubscription rate of 17.82 times.

The institutional price has been fixed at RM0.90 per IPO Share. Accordingly, the final retail price for the IPO Shares under the Retail Offering has also been fixed at RM0.90 per IPO Share. As the final retail price equals to the retail price, there will be no refund to be made to the successful applicants under the Retail Offering.

The notices of allotment will be posted to all successful applicants on or before 8 March 2023.

On behalf of the Board of Directors of the Company, Hong Leong Investment Bank Berhad wishes to announce the following: (i) the Company had, on 18 September 2023, entered into a conditional stock purchase agreement with (a) Turker Hidirlar and Rabia Hidirlar, being the trustees of the Hidirlar Family Trust dated September 2, 2011; (b) Richard Muehling, being the trustee of the Rabia Hidirlar Investment Trust dated August 25, 2023; (c) Turker Hidirlar; and (d) Low Kim Teck Henry for the proposed acquisition by the Company of 50,072 common stock in iConn Inc. (“iConn”), representing all the issued capital stock in iConn, for a total cash consideration of USD16.5 million (equivalent to approximately RM76.6 million) (“SPA”), subject to the adjustments as set out in the SPA (“Proposed Acquisition”); and (ii) the Company proposes to undertake a private placement of up to 92,300,000 new ordinary shares in Cape EMS (“Cape EMS Shares”), representing up to 10.0% of the total number of existing issued Cape EMS Shares (excluding treasury shares) to independent third-party investor(s) to be identified and at such issue price(s) to be determined later (“Proposed Private Placement”), (collectively, the “Proposals”). We refer to the announcements dated 18 September 2023, 19 September 2023 and 20 September 2023 in relation to the Proposals (“Announcements”). Unless otherwise stated, words and phrases used in this announcement shall have the same meanings as defined in the Announcements. On 18 September 2023, on behalf of the Board, HLIB announced the following: (i) the Company had, on 18 September 2023, entered into a conditional stock purchase agreement with (a) Turker Hidirlar and Rabia Hidirlar, being the trustees of the TH Trust; (b) Richard Muehling, being the trustee of the RH Trust; (c) Turker Hidirlar; and (d) Low Kim Teck Henry for the proposed acquisition by the Company of 50,072 iConn Stock, representing all the issued capital stock in iConn, for a total cash consideration of USD16.5 million (equivalent to approximately RM76.6 million) (“SPA”), subject to the adjustments as set out in the SPA; and (ii) the Company proposes to undertake a private placement of up to 92,300,000 Cape EMS Shares, representing up to 10.0% of the total number of existing issued Cape EMS Shares (excluding treasury shares) to independent third-party investor(s) to be identified and at such issue price(s) to be determined later (“Previous Proposed Private Placement”).
