淡江土地線路調整 怡嘉收購計劃展延3個月

(吉隆坡3日訊)怡嘉控股(ECOFIRS,3557,主要板房產)基于土地線路的調整,因此以1億4500萬令吉收購鵝嘜淡江25公頃土地計劃將展延3個月。

該公司向馬證交所報備,已經和大馬蘇黎世保險達成協議展延收購土地期限。

“收購余額的全數還款需待進一步澄清,加上有關當局對通往第二中環公路(MRR2)的新街場-淡江(Sungai Besi-Ulu Klang)高架高速公路發展購地和調整進展有待公布。”

怡嘉控股指高架高速公路,將帶動淡江的部分土地。

“這項影響公司的發展建議,董事局和管理層將採取適當步伐和必要改變。”

怡嘉控股總執行長拿督張健飛稱,公司仍待有關當局的進一步詳情,以總結收購項目需支付全額款項。

Unless otherwise stated, abbreviations and definitions used throughout this announcement shall be the same as those previously defined in the circular to the shareholders of ECB dated 28 May 2014 in relation to among others, the Proposed Acquisition.

We refer to the announcements dated 31 December 2013, 15 April 2014, 31 December 2014 and 30 January 2015 and to the Circular dated 28 May 2014 in relation to the Proposed Acquisition.

On behalf of the Board, KAF Investment wishes to announce that both parties had via exchange of letters dated 31 July 2015 and 3 August 2015, agreed in-principle for an extension of three (3) months from 1 August 2015 until 31 October 2015 for CBSB to pay in full the Balance Purchase Consideration with late payment interest at the rate of 6% per annum on the Balance Purchase Consideration of RM130,500,000.00 on or before 31 October 2015. CBSB is to pay the interest for the month of May, June and July 2015 on or before 7 August 2015.

CBSB will provide to the Vendor monthly updates on the progress of the completion of the SPA from both CBSB and the financier.

For avoidance of doubt, the SPA is only completed when the Balance Purchase Consideration and all Late Payment Interest are paid.

In the event CBSB fail, default and/or neglect to complete the SPA of the Lands on or before 31 October 2015 for any reason whatsoever:-

(a) without prejudice to any other remedies available to the Vendor, the Vendor is entitled to terminate the SPA;

(b) the Late Payment Interest paid to the Vendor and the Deposit shall be forfeited by the Vendor as agreed liquidated damages; and

(c) the Late Payment Interest owing and unpaid shall be paid to the Vendor.

All other terms of the SPA shall continue to apply. The Parties shall formalise the above via a supplemental agreement soon.

怡保Upper East支撑 益可第一业绩看高一线

(吉隆坡4日讯)由怡保Upper East@Tiger Lane贡献支撑,益可第一(ECOFIRS,3557,主板产业股)预计,该公司截至2016年5月31日止财年,业绩表现将更好。

该公司总执行长拿督张建飞,昨日在该公司的股东特别大会后指出,Upper East高档公寓计划共有529个单位,至今认购率超过80%。

他还说,该项计划发展总值达3亿令吉。

另外,他补充:“希望今年底,推介淡江(Ulu Kelang)产业项目后,也可为公司带来部分营业额贡献。”

末季完购淡江地皮益可第一8月初与苏黎世保险(大马)(Zurich Insurance)达成协议,延长收购淡江购地计划3个月,因总值1.45亿令吉土地交易案,出现技术问题。

益可第一当时指出,该公司延后支付收购土地余额的原因,是要向相关单位,索取大道计划的资料和进一步澄清细节。

张建飞说:“购地计划有许多混淆之处,不过已解决。相信购地计划很快就会完成,预计是末季。”

他补充,该公司计划将淡江的土地,发展为商务产业和服务式公寓。

益可第一截至今年5月底财年内,净利下滑了79.64%,仅录得613万令吉,上财年同期为3011万令吉。【南洋网财经】

張建飛為怡嘉紮穩地基

怡嘉控股(ECOFIRS,3557,主板產業組)今年第四季將推展逾15億令吉發展值的淡江Ampang Height計劃,加上去年12月推出的怡保東瑞苑(Upper East@Tiger Lane)計劃,預計未來3年可獲逾1億8千萬令吉毛利,並且放眼成為10億令吉市值公司。

2發展計劃
放眼毛利1.8億

執行董事兼首席執行員拿督張建飛受訪時說,發展總值3億3千萬令吉的怡保東瑞苑,預估可從計劃獲8千200萬令吉毛利。

至於吉隆坡淡江的Ampang Height計劃,可獲1億至1億5千萬令吉毛利,視市場反應而定。兩項正進行的發展值計劃達20億令吉。

他表示,怡嘉有兩大計劃支撐和兩大商場貢獻循環收入,預計2016財政年可獲更佳業績;他也放眼在2至3年時間,可以派一些股息回饋股東。

他說,1Segamat每年獲1千100萬、SouthCity由當初每月營收40萬增至1千320萬令吉,兩座商場總共達2千400萬令吉,形成相當大的循環收入流。

●Upper East@Tiger Lane

Upper East每單位售價由46萬6千令吉至105萬令吉不等。該產業由怡嘉發展,並委任安達曼集團為產業行銷代理,實際上已全部出售,惟當中有20%不獲貸款,而需再度向市場發售。未出售的零售空間,將保留作循環收入。

‧預計2015財政年貢獻6千100萬令吉營業額‧2016財政年營業額預計達1億8千200萬令吉。

‧2017財政年營業額達5千900萬令吉。

●Ampang Height

2015年第四季將推展淡江的Ampang Height計劃,零售商產將保留作為固定收入用途。

該計劃前部份為商產,後部份則為住宅用途,整體規劃是82%住宅、18%商產,在8至10年分階段完成。

上述計劃是在62英畝土地上進行,較後也計劃向怡保花園(IGB,1597,主板產業組)購買鄰近的25英畝,總計87英畝土地供發展用途。

‧首期發展綜合住宅與商產,分建兩棟各為36層高和40樓高的1千632單位小型辦公室(Small Office Home Office,SOHO)和32間零售單位。

‧次期未來發展計劃,則建兩棟12層樓高檔180單位公寓。

‧第三期發展計劃則建獨立式洋房。

接掌怡嘉7年
創造價值

談到如何創造股東價值,張建飛說,自他加入怡嘉控股7年以來,一直努力為股東創造價值。2011財政年起公司轉虧為盈,股價由最低每股7仙,走高至最高40仙。過去一年,盤桓於28仙至40仙之間。

他說,怡嘉當初市值只有4千500萬令吉,目前約達2億令吉,願景是成為10億令吉市值公司。

該公司暫時不會東渡沙、砂州,仍會專注於半島的業務。

張建飛除了持有怡嘉17%股權,也在美佳利工業(MERCURY,8192,主板工業產品組)持股8%,持有美德集團(MEDAINC,5040,主板產業組)4.92%,同時在生產優質家具的公司藝麗控股(AHB,7315,主板貿服組)持11.69%股權。雖然3家公司具協作性,而他是3家公司大股東,不過無意合併,因為這是其個人投資。

也許,若有任何大競標,怡嘉和美德可以聯合出擊,而美佳利旗下建築公司則可承包怡嘉的發展計劃。

談到馬幣走疲,是否衝擊盈利時,張建飛說,國內的建築成本可能提高;然而基於大宗商品價格下跌,如建築發展所用的鋼材原料,這可抵銷成本上漲,同時怡嘉也善於控製成本。

怡嘉控股截至2015年5月31日第四季轉虧為盈468萬3千令吉,前期虧損389萬2千令吉;全年獲利613萬2千令吉,相比前期淨賺3千零10萬7千令吉。

柔佛打造生態主題區

張建飛披露,怡嘉在柔佛東南部迪沙魯有1千英畝土地,800英畝種植沉香樹、200英畝建生態度假屋,打造為結合生物科技和生態旅遊的地區。

大量種植沉香

他說,沉香不僅藥用價值高,也是製造香水的重要原素,沉香葉泡茶也有治失眠療效,該公司就此進行了很多研發工作。

“該地段坐落在柔佛生態谷內,大約幾年種滿沉香樹後,有意打造和發展生態旅遊,這是我的下一個生態主題(eco-play)。”

他相信,若設立生物科技組和銳意發展上相關業務,將可創造很大營收與淨利。

已和柔佛機構(Johor Corp)進行70:30聯營計劃,試驗性種植15英畝土地,每英畝大約種植700至800棵。目前,樹木生長狀態良好,預計7年內可種植64萬棵,將每年逐步栽種。

根據初略估計,7年後整片翠綠成林時,整個種植區的園區價值超越64億令吉。

他說,上述沉香樹適合在赤道生長,愈嚴峻環境生產更多樹脂,用以提煉香氛的含量也愈高。

他對該經濟作物的研發要比另一家公司早,只是當時沒有太多現金進行試種,他欣慰另一家上市公司COMPUGT控股(COMPUGT,5037,主板貿服組)為先行者,並已經成功簽約。

COMPUGT控股最近和Westwood市場有限公司簽署4千388萬4千令吉沉香木採收協議,一年內就只賣予Westwood市場有限公司。

“Westwood市場母公司Westwood投資集團,是因中國、台灣、日本與中東對沉香木與沉香油需求殷切,而對沉香木區塊深感興趣。”每年透過新加坡輸出的沉香木與沉香油約值12億美元。”

賞罰分明

張建飛重申,他喜歡職員一經囑咐即著手處理事情,有表現即會給予回報,最不喜歡職員拿病假。

他首次領導怡嘉時,就當面調侃不到100位的職員為“病夫”。

於是,他設下獎勵計劃,全年無病假者可獲得獎賞;一年過去了,只有他和秘書全年無病假而獲獎,他把有關獎項捐出。

翌年,全年無病假而獲獎者改善至10人,去年33人獲獎。獎項包括獎金、表揚狀、更高的加薪和花紅,這些獎項皆在常年晚宴上頒發。

病假多的職員
花紅減半

該名57歲、來自霹靂實兆遠、原籍福州古田的董事經理說,每年公司皆撥款派員海外旅遊,而那些病假多的職員,花紅將減半。

被柔佛蘇丹昵稱為“Budak Pemaju”(年輕發展商)的張建飛,每天以微笑面對一切,並且為人群與利益相關者謀求福利,這讓他感到稱心愜意;這種信念,是他從一名尊敬的長者的耳提面命獲得啟發。

該名耆老對他表示,做事要廉正而做對的事,不然每名股東向你吐一口唾沫,也足以把你淹沒。

張建飛說,父親常常教誨要為眾人謀福利和做對的事,可惜父親已辭世,不然看到他為很多股東創造價值,將感到無比自豪。

儘管工作壓力沉重,然而這名CEO總是定時運動,每週兩日下班後,總會撥出時間打羽球解壓。

他也酷愛普洱茶,家裡的典藏陳年普洱,是他洗煉身心的良方。

重組怡嘉
與銀行家周旋

回首來時路,張建飛起初表示羞於提起這家公司的背景,和他加入這家公司的過程;後來在娓娓道出時,語氣卻一概的平和,儘管當時面對的債務壓力一定很大。

2009年
怡嘉瀕臨破產

2009年1月2日,受前CEO所邀,正式成為怡嘉控股的集團CEO兼董事經理。

這家公司負債達7至8年,他起初嘗試把這項任務當作是一項挑戰。

早前,他也曾經協助重組美佳利工業(MERCURY,8192,主板工業產品組),並在半年內成功把它轉虧為盈。

怡嘉負債2億
一年利息1600萬

然而,後來他才驚覺,怡嘉控股負債累累,總負債達2億令吉。主要債務是陳年呆賬,以8%利息計,單單要償付利息,每年就需付1千600萬令吉!

那時,即使有3至4個營運資產,然而每個資產都面臨虧損。唯一貢獻的是South City大廈每月貢獻40萬令吉或全年480萬令吉,再加一些零星營收,每年約有500萬令吉現金流。

每年只能創造500萬令吉現金流,相比每年單單付利息就1千600萬令吉,技術而言這根本就是一家破產公司,而且令人憂慮的是,砸了一個無底的債務大洞,何年何日才能償清這些債務?

他追述,當時第一項艱巨的任務,便是為公司進行財務重組,重組分3個重點。

他說,公司其實積欠馬屋業(MBSB,1171,主板金融組)1億2千萬令吉,另欠興業資本(RHBCAP,1066,主板金融組)旗下興業銀行3千300萬令吉。

馬屋業在他接任首週,派了高級經理和他晤談,當時公司積欠了約100萬利息,一年無法支付利息。

銀行方面向該公司催賬,如果收不到100萬,50萬也可以。

當對方詢問可以付多少時,他答稱:零付款。

“他回到銀行時,抱怨我是非常不友善的CEO,後來他才發覺我告訴真相,是友善的CEO。”

South City建公寓
創造現金流

South City大廈為怡嘉首項計劃,2003年建竣,地點絕佳,惟卻無法吸引人潮,更曾一度陷入窘境。後來他協助把該大廈重組。

怡嘉在該大廈上面建兩棟公寓,日夜趕工在15個內完工,416單位在推展3個月內售罄;因此從中創造了3千500萬令吉的現金流。

該項叫Academia@South City Plaza公寓計劃分A座的285單位,空間面積達566至987平方英尺,B座131單位,面積達691至1千241平方英尺,當時每單位售價由17萬6千800至50萬令吉之間。

怡嘉給購買者的保證是回酬8%,後來怡嘉更與博特拉大學簽約,博大承租上述單位,並租予該大學2千名國際生。

他利用這筆現金流償還一些債務,銀行方面也給予1千600萬令吉一年利息的回扣。

該重組計劃分兩梯次,首梯次達10年,第二梯次分15年,利息分別為基貸率加2.5%和基貸款加零巴仙。怡嘉後來總算也成功重組該集團財務,在10至15年的重組計劃中,省下了1千500萬至2千萬令吉利息。

1Segamat廢置多年起死回生

另一筆呆賬是1Segamat積欠的3千300萬令吉,債權人是興業銀行。

當他初擔任怡嘉CEO時,該銀行“傳召”他,並讓他通過“後門”,必須敲防火門,才能見到負責的銀行高層。

該名銀行資深職員劈頭第一句話便以不很禮貌的語氣表示,這是他所見到的第三名首席執行員。

他反嗆道:“我是第三名首席執行員,往後不會有第四名首席執行員……。”

面對鄙視,他要對方道歉,並且他也表明不會通過“後門”晤談。同時要求給予充足時間,他會尋求方案加以解決。

2個月過去了,該名高層再致電給他,惟他仍無法尋獲解決方案。

儘管他的首個念頭,是把自1999年便廢置多年,只建了30%的1Segamat脫售,然而銀行方面表示3年多了還是無法脫售。

因此,他便決定實地走訪該廢置大廈。該公司在昔加末並沒有職員,毗鄰的巴士終站是由該公司所建。

抵步時,他甚至無法從底層察看整個大廈情況,只好攀上鄰近建築的二樓,拍了一些照片。

過後,他對銀行方表明已有解決方案,並要求註銷50%債務。

該大廈已停置多年,加上柔佛州政府是該產業地主,銀行方多年無計可施,也樂於給予逾50%註銷,而只需付1千500萬令吉。

嗣後,他便趕緊在怡保九洞Taipan附近購買了一塊9英畝土地,在一年內便把102間3至4層樓的店屋建成,從而快速的獲取4千萬令吉現金流。

獲得該筆現金流後,他投注3千500萬令吉現金流進入1Segamat,並在15個月內把停置多年的大廈建立起來,成為昔加末鎮的一道風景。

昔加末計劃也是怡嘉和他的轉捩點,1Segamat的續建工作並未獲得看好與支持。有次在當地進餐時聽到的閒言閒語是:“好像有吉隆坡的集團要來重建,我擔保這一定失敗告終。”

這讓他更專注與堅毅,縱使犧牲很大,但仍能在12個月內完工,大約98%完工時,他覺得有義務邀請興業銀行高層親自察看。一天下午,收到該銀行家短信,表明對其完成1Segamat印象深刻,贊他守信踐諾,並向他致敬。

柔佛蘇丹殿下苦盼多年,對該廢置計劃能夠完成而大為歡喜,殿下更樂於為該大廈主持開幕,並由縣長協助安排開幕儀式。

他說,該大廈大約於2011年12月完成,並於完成前4個月開始行銷,到了翌年4至5月間開幕時,已有80%租戶承租,到第六個月時已100%租滿。該新地標吸引人潮,他也引進Lotus Cineplex。自開幕迄今,每月都有利可圖。

員工缺乏熱誠
給機會整頓思維

至於營運上的重整,90名職員中有逾九成涉營運、財務與行銷,初來乍到他發現職員沒有辦事的熱誠與文化。這正與他的“發現問題,即刻著手解決”理念背道而馳。

他囑咐職員要與最佳標竿相比,這樣才能追求卓越。

“我也給予原有職員機會,並沒有引進新職員(除了秘書),同時通過人力資源部舉辦培訓和團隊舉辦活動,慢慢轉變他們的思維。”

2011年轉虧為盈

其後,他也領導公司展開企業活動,清償累積6億令吉的虧損,從2011財政年起,每個財政年都賺錢。

該企業活動是把面值50仙削減至10仙股票,其中的股價溢價,協助清理虧損。

益可第一 次季净利翻77倍

(吉隆坡21日讯)益可第一(ECOFIRS,3557,主板产业股)截至11月30日次季,净利暴涨77倍。

该季净利从去年同季的15万令吉,增加至1174万令吉,或每股盈利1.61仙。

营业额也从去年的535万1000令吉,提高至2362万9000令吉,涨幅达到342%。

另外,上半年净利也增加15.3倍至1408万1000令吉;而营业额扬至4696万3000令吉,增幅3.5倍。

上半年表现出色,归功于位于怡保的Upper East发展项目和公司旗下两个购物商场的经常性收入。

共有529单位的高档住宅公寓UpperEast,在上半年贡献630万令吉税前盈利。

另外,该公司在次季取回税务罚款和利息的拨备总额1040万令吉,并纳入盈利表现内。【南洋网财经】

怡嘉控股冀完成淡江购地计划 以维持增长

(吉隆坡28日讯)截至2月杪2016财政年第三季的净利增长逾一倍至151万令吉的产业发展商怡嘉控股(EcoFirst Consolidated Bhd),将专注于目前正在收购,位于雪兰莪淡江的87英亩黄金地段。

集团总执行长兼执行董事拿督张健飞指出,为该地制定的计划将让公司在未来10年忙碌和提供稳定收入。

他今日通过文告表示:“一旦完成收购,怡嘉控股将拥有巴生谷仅存几幅大规模永久土地之一,离吉隆坡市中心10分钟的路程,地理位置优越。这将有利于集团长期未来。”

怡嘉控股在2013年12月31日宣布,以1亿4500万令吉向大马苏黎世保险公司收购位于淡江,两幅合共61.58英亩的土地。

该地已设定为发展总值(GDV)超过10亿令吉的综合项目。

该集团去年4月20日还公布,计划以6290万令吉向 Tan & Tan Developments Bhd收购另一幅位于淡江的25.09英亩地。

然而,由于土地调整的技术问题,怡嘉控股向苏黎世保险收购的两幅地迄今已被推迟。

同时,张健飞说,位于霹雳怡保的豪华公寓项目 Upper East @ Tiger Lane将成为集团截至5月31日2016财政年年内的主要推动力。

“该项目大幅提前,并为收入贡献77%。”

Upper East @ Tiger Lane坐落于7.6英亩的永久土地,发展总值为3亿令吉。

2016财年第三季营业额增6.3%至3046万令吉,相较于上财年同期的2867万令吉,南城商业广场(South City Plaza)和1Segamat Mall这两座商场的经常收入为增幅作出贡献。

累计首9个月的净利从145万令吉,飙升超过9倍至1559万令吉,而营业额劲扬98%至7743万令吉,同期为3914万令吉。

賀達產託1.04億‧向怡嘉購“1Semangat”商場

(吉隆坡10日訊)賀達產業信托(HEKTAR,5121,主板產業投資信托組)宣佈以1億零400萬令吉,向怡嘉控股(ECOFIRS,3557,主板產業組)買下“1Semangat”購物中心。

配合上述收購,該公司也將透過發附加股募集7500萬令吉,惟單位發行比例待訂。

兩家公司透過文告說,1S e m a n g a t佔地17萬4534平方呎,是座3層樓零售廣場,設有412個停車位,租用率為96.35%。

賀達產業指出,以目標集資額和公司截至目前的4億零63萬股總單位,每持有1000單位的持有人,預計需用186令吉20仙認購新單位。

該公司還補充,1Semangat落點適中,是一家商品多樣化的購物中心,且租用率達96%;完成收購後,公司的零售廣場組合將擴大至6項。

怡嘉脫售虧1621萬

怡嘉控股則表示,脫售1Semangat預計導致公司蒙受1621萬3000令吉虧損,但卻為公司提供了重新部署財政資源的機會,同時釋放資產價值。

怡嘉將會把脫售所得資金用作償還銀行貸款、還稅、擴展產業發展業務和充當營運資本。(星洲日報/財經)

但全年而言,净利大涨172.8%,写1670万2000令吉;营业额走高49.2%,报1亿2117万6000令吉。

根据文告,公司主要的贡献者源自怡保霹雳的发展项目“Upper East @ Tiger Lane”,和旗下两个购物广场所带来的持续收入。

其中,Upper East项目贡献了80%的营业额,和2160万令吉的税前盈利。

益可第一称,上述项目将持续捎来贡献,而产业投资臂膀的租金收入,也将继续为公司提供收入流。
