漢堡王是燙手山芋

布拉欣(BRAHIMS,9474,主板貿服組)變不成“漢堡王”,股東終於放下心頭大石。

上週三(25日),出席特大的布拉欣股東,透過舉手表決,以高達90%反對票,終結布拉欣的快餐企業美夢。

根據小股東的說法,漢堡王持續虧損,多數分行也已關閉,這是他們投下反對票的原因。

布拉欣原本打算聯手Quantum Ange公司,以9千500萬令吉現金價向國家股份公司(Ekuinas)收購Rancak Selera公司,藉此取得大馬和新加坡漢堡王經營權。

初步計劃是,布拉欣和Quantum Ange設立特別用途工具公司(SPV),雙方分別持股80%和20%,隨後可能引進其他機構入股40%,屆時該公司的持股將降至40%。

在9千500萬令吉中,扣除布拉欣和Quantum Ange分擔的1千萬令吉,特別用途工具公司打算向銀行貸款8千500萬令吉。

2014財政年首9個月,Rancak Selera由盈轉虧,從前期2千980萬令吉盈利轉為5千零40萬令吉虧損,主要是新加坡漢堡王和Cosmo餐廳的未實現合理價值確認。

布拉欣在股東投票前就明言,他們預期可在兩年內讓轉虧為盈,這段期間該公司可能需要繼續挹注資金。

問題在於,如果漢堡王有能耐達到收支平衡,為何以推動土著經濟議程至上的國家股份公司願意放手?別忘了,國家股份公司曾經放話想當區域飲食業巨擘,怎麼可能甘心賣出漢堡王這顆皇冠的寶石?

而且,布拉欣以飛機餐起家,經營清真食品業有成,在穆斯林需求提昇下,為何不老老實實繼續耕耘這塊沃土,卻甘於滿足40%股權,為別人作嫁衣?

布拉欣2014財政年第四季由盈轉虧,淨虧損4千零32萬令吉,在盈利持續滑落下,股東怎麼可能願意撥錢收購短期內無法賺錢的資產?何況到最後布拉欣還可能伸手向股東要錢呢?

詭異的是,布拉欣在投票前預先向股東匯報漢堡王虧損狀況,也打算通過舉手表決方式投票,這是董事部對於這項計劃信心十足,還是明知山有虎,偏向虎山行?

重大宣布 布拉欣暂停交易

(吉隆坡6日讯)布拉欣(BRAHIMS,9474,主板贸服股)周五宣布,基于將公布重大消息,所以该公司股票从今天上午10时15分起暂停交易,直到3月9日(周一)。

该股今日以全天最低的0.825令吉开盘后,股价一度去到最高的0.865令吉,在暂停交易前,该股掛价0.86令吉,上涨4仙或4.88%,成交量为220万4400股。

由于负面消息不断,导致布拉欣股价节节败退,该股从上周五(2月27日)的1.31令吉,急挫45仙或34.35%,至暂停交易前掛价0.86令吉。

核心业务经营飞机餐的布拉欣,受马航重组计划拖累,股价自去年3月6日的2.70令吉高水平(马航MH370班机失联前),一路重挫,过去一年跌幅高达1.84令吉或68.15%。

除了马航重组计划,布拉欣在刚过去的2月25日,也有不利消息传出,即在当天的股东大会上,小股东推翻了该公司欲收购Rancak Selera私人有限公司的议案。

该项收购议案,將允许该公司涉足大马及新加坡汉堡王(Burger King)快餐店业务。

小股东推翻该项收购议案,主要是因为这家涉足快餐业务的公司,目前仍面对亏损。

另一方面,布拉欣也在上周五发文告指出,配合马航重组活动,其子公司--布拉欣航空食品私人有限公司(BAC)与马航私人有限公司达成和解协议(Settlement Agreement)。

隨著上述消息出炉后,该股股价便从27日起的1.31令吉,大幅下挫34.35%或45仙,至今日的0.86令吉。

该和解协议从去年10月1日开始生效,並会在今年3月31日之前签署新的提供餐饮协议,而在这段期间,BAC在每月的最终帐单將给予马航25%的折价。

在该协议下,双方也同意解决总额9430万令吉的款项,在扣除总计5608万令吉的结算款项后,马航会將余额3795万令吉分成两次(每次50%)偿还给BAC。

若在今年3月31日前还未达成新餐饮协议,而双方若没有达成共识延长该新协议签署的情况下,该和解协议的內容將失效。【东方网财经】

减少依赖航空餐饮业 传帕乐兴瞄准TCRS餐馆

(吉隆坡7日讯)消息透露,在周五宣布暂停交易的帕乐兴(BRAHIMS,9474,主板贸服股),将购入业务范畴包括TheChicken Rice Shop的TCRS餐馆,以减轻对航空餐饮业务依赖。

据悉,TCRS餐馆是The Chicken Rice Shop、Sweet Chat以及Dubu-Dubu的业主和营运商,也是Pancake House International的联合业主。

《The Edge》引述消息人士报道,指这项献购仍在粗略阶段,双方还未达成协议。

“帕乐兴有意购入TCRS餐馆,但却不是全面献购。”

帕乐兴股价在周五大起4仙或4.88%,最后作价为86仙。

暂停交易至周一

该公司在表示,配合重大宣布,在周五宣布暂停交易,直至3月9日(下周一)。

根据大马公司委员会(CCM)资料显示,TCRS餐馆在过去3年净利持续增长。

该公司总执行长黄家林(译音)持有公司25.13%股权,另一股东则为许成友(译音),持股率为74.87%;黄家林的母亲是公司创办人。

帕乐兴执行主席拿督依布拉欣,并未能对此消息作出回应。

帕乐兴收购汉堡王的计划在2周前告吹,饮食业业务仍然陷入亏损。

报道指出,这项献购来得及时,因该公司航空餐饮业务展望蒙尘,赚幅将因为与马航(MAS)就新合约洽谈而进一步恶化。

该公司与马航签下25年的独家飞机场供应合约,在2028年才会结束,但却因为马航要进行大砍成本的重组计划,必须重新洽合约并给予25%的折扣。【南洋网财经】

帕乐兴证实洽购餐馆

(吉隆坡9日讯)上周五暂停交易至今日的帕乐兴(BRAHIMS,9474,主板贸服股),证实正洽商收购一家本地餐饮公司。

早前,《The Edge》称,该公司欲收购The Chicken Rice Shop、Sweet Chat以及Dubu-Dubu的业主TCRS餐馆,后者也是Pancake House International的联合业主。

该公司今日在文告中,并没有披露收购目标,不过指收购洽谈活动是为了提高股东价值,目前双方还未同意条款,最终也不一定会落实收购。

帕乐兴萌起收购餐饮公司,相信是为减轻对航空餐饮业的依赖,因马航大砍成本,双方必须重新洽谈合约,帕乐兴更需给予25%的折扣。

报道指,帕乐兴只是有意入股TCRS餐馆,无意全面献购。

(吉隆坡11日讯)经营The Chicken Rice Shop的TCRS餐馆表示,对外界有兴趣收购公司股权一事,保持开放态度。

TCRS餐馆总执行长黄家莲表示,对外界看见公司的价值而感到荣幸,更表示这是一种赞赏。

她是在出席公司15周年庆祝会时,针对帕乐兴(BRAHIMS,9474,主板贸服股)有意收购TCRS餐馆股权一事,作出回应。

黄家莲说,任何可以帮助公司扩张和探索更多机会的洽谈活动,TCRS餐馆都会接受。

帕乐兴周一发文告证实,正洽商收购一家本地餐饮公司,但并没有透露收购目标。

之前有消息指,帕乐兴欲收购The Chicken Rice Shop、Sweet Chat以及Dubu-Dubu的业主TCRS餐馆,后者也是PancakeHouse International的联合业主。

目前,TCRS餐馆旗下共有76间The Chicken Rice Shop店面,计划再增设25间,主要放眼巴生谷以外的购物广场,包括吉兰丹、登嘉楼和吉打。

從機餐到雞飯

馬航飛機餐不再帶來豐厚油水,布拉欣(BRAHIMS,9474,主板貿服組)如今搞搞新意思,打算賣雞飯。

然而,此“雞〞非彼“機”,當年布拉欣憑藉特殊優勢簽下獨家供應馬航飛機餐的25年合約,令該股成為不少投資者的心頭好。但隨著馬航展開大重組,對不合理的飛機餐合約開刀,令布拉欣蒙受巨虧。該公司現在打算改賣雞飯,這卻是面向消費大眾的餐飲業務,市場競爭激烈,盈利前景不明,而收購代價預料也不會便宜。

這次的洽購,儘管仍言之過早,但也引來不少關注和爭議。

布拉欣是在3月6日(週五)以有重大消息要公佈為由,要求從當天10時12分起停牌至3月9日(週一)。

而在停牌前短短逾1個小時的交易時段內,該股彈升4仙或4.88%至86仙,成交量達220萬4千400股,結束股價四連跌格局,成交量也明顯增多,顯示有人已提早收到風聲。

而The Edge周刊在週末報道,該公司正洽購本地著名雞飯連鎖店“The Chicken Rice Shop”。

在上週一傍晚,該公司發文告針對有關報道回應,承認正在洽購飲食公司,但尚未達致協議。

該公司趕在有關報道出街之前就已停牌,之後並沒重大宣佈,反而是在回應有關報道,加上文告中並未直接點明是洽購“The Chicken Rice Shop”,顯得語焉不詳和故弄玄虛,炒作味道濃厚。

該股在上週二復牌之後,股價應聲大漲,擺脫近期低迷格局,顯示該股在收購消息帶動下,吸引了不少投機炒風。

不過,投資者必須留意是否太過樂觀和盲目跟風,畢竟這項收購行動八字都沒有一撇,收購代價和詳情仍未出爐,該公司也表示“有可能或不可能”落實。

這項收購能否得到股東批准,也是一大疑問。布拉欣最近以9千500萬令吉現金收購漢堡王,就被股東否決。

结算方式未达协议 传马航帕乐兴延长新合约谈判

(吉隆坡28日讯)消息传,马航(MAS)和帕乐兴(BRAHIMS,9474,主板贸服股)将延长洽谈远原定在3月31日签署新飞机餐合约的期限。

《The Edge》引述消息人士指,其中一个造成延长重新洽谈的因素是马航和国库控股(Khazanah)仍未同意飞机餐的结算方式。

新的飞机餐合约为期5年,到2028年届满,有别于帕乐兴原本取得的25年合约。

消息人士表示,双方计划把期限延长1个月,至4月杪。

“在延长期限下,双方应该可以达成一些协议。不过,马航与帕乐兴持有70%股权子公司帕乐兴航空餐饮私人有限公司(简称BAC)的洽谈不会取消,因马航持有该公司的剩余30%股权。”

此外,他补充,目前在洽谈着两项结算方式,分别是预算,和成本再加盈利赚幅。

在预算方式下,帕乐兴必须提供为特定飞机餐数量,提供一个固定的预算给马航。

至于成本再加盈利赚幅方式,帕乐兴基于成本,加上双方同意的盈利赚幅,提供飞机餐给马航,这也是目前使用的结算方式。

另一名消息人士透露,洽谈着的净利息赚幅介于5%至8%。【南洋网财经】

2. SALIENT TERMS OF THE EA
(a) Purpose of the EA

The Parties hereby agree that the New Agreement Cut Off Date under the SA shall be extended from 31 March 2015 to 30 April 2015.

3. RATIONALE
The EA is to give more time for the Parties to negotiate and conclude the NCA with a common goal to expedite the signing.

4. EFFECT OF THE EA
The EA is not expected to immediately have material effects on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of Brahim’s for the financial year ending 31 December 2015.

5. INTEREST OF MAJOR SHAREHOLDERS AND DIRECTORS
None of the directors and/or major shareholders of Brahim’s and/or persons connected to them have any interest, direct or indirect, in the EA.

6. DIRECTOR'S STATEMENTS
The Board of Directors of Brahim’s, having considered the rationale and terms of the EA is of the opinion that the execution of the EA is in the best interest of the Company.

布拉欣 马航洽谈延长至週日

(吉隆坡8日讯)布拉欣(BRAHIMS,9474,主板贸服股)周五傍晚发文告指出,布拉欣航空食品私人有限公司(BAC)与马航私人有限公司达成第二轮展延协议,以让法律顾问拥有更充裕的时间,敲定新餐饮协议(New Catering Agreement)的最终协议。

因此,签署新的餐饮协议的期限从4月30日,延迟至5月10日。

儘管早前与马航的商谈仍未完成,但布拉欣股票今天受追捧,股价呈涨。

布拉欣昨日发文告表示,虽然谈判期限已经在4月30日结束,但旗下持股70%的子公司Brahim's Airline Catering私人有限公司(简称BAC),与新马航的飞机餐合约商谈仍在进行中,並会继续发文告更新进展。

新飞机餐合约为马航总值60亿令吉重组计划的一部分,由国库控股(Khazanah)在去年8月份宣布。

布拉欣股价全天上涨2仙或2.13%,至0.96令吉,盘中一度扬升至0.975令吉。成交量234万零400股,高於昨日的169万股。

BAC公司与吉隆坡国际机场(KLIA)和檳城国际机场有一份25年期的饮食供应合约,直到2028年。

1. INTRODUCTION
Further to the Company’s announcement dated 7 May 2015, the Board of Directors of the Company wishes to announce that the Company’s 70%-owned subsidiary, Brahim’s Airline Catering Sdn Bhd (“BAC”) has entered into a second Extension Agreement (“2nd EA”) dated 8 May 2015 with Malaysian Airline System Berhad (“MAS”) (“the Parties”) to facilitate documentations of a New Catering Agreement (“NCA”) to be executed between Malaysia Airlines Berhad [MAB] and BAC.

The Parties have agreed to extend the NCA Cut-Off date from 30 April 2015 to 10 May 2015 (“2nd Extended Date” or “NCA Cut-Off date”).

The Parties agreed in good faith to use all reasonable best efforts to conclude and sign, on or before the 2nd Extended Date also referred as NCA Cut-Off date, an NCA that is benchmarked against international standards and is based on industry best practices between MAB and BAC.

2. SALIENT TERMS OF THE 2ND EA
(a) Purpose of the 2nd EA
The Parties had earlier entered into:-
1. A Settlement Agreement dated 26 February 2015 (“SA”) to provide for the settlement of certain disputes and the negotiations of a NCA; and
2. An Extension Agreement dated 31 March 2015 to extend the NCA Cut-Off date from 31 March 2015 to 30 April 2015.

The purpose of the 2nd EA is to give time to finalise the documentations of the NCA between the Parties’ legal counsels.

The Parties hereby agree that the NCA Cut-Off Date under the SA shall now be extended from 30 April 2015 to 10 May 2015.

(b) The salient term of the 2nd EA is as follows:
1. The Parties hereby agree that the NCA shall be entered into on or before the NCA Cut Off Date between MAB and BAC.
2. BAC acknoweledges and agrees that as of the date of this 2nd EA, the following terms of the NCA are acceptable to it and unless otherwise requested by MAB in writing, undertakes to cause them to be incorporated in the NCA and not to re-negotiate such terms in connection with the finalisation of the NCA ("Agreed Terms"):
    a) The scope of services;
    b) The pricing of the services to be rendered by BAC under the New Agreement and the pricing of the services to be rendered by BAC to MAS under the Catering Agreement                   during the Transitional Period;
    c) The flight numbers in respect of which the New Agreement relates (the Nominated Flights)
    d) The term of the New Agreement and the conditions of renewal of the term of the New Agreement;
    e) The service levels;
    f) The events triggering a termination of the New Agreement, and;
    g) The terms relating to the application, and form, of the performance bond from BAC to guarantee the performance of its obligations under the New Agreement.
3. Without prejudice to Clause 2 above, the Agreed Terms represent certain key commercial matters agreed between BAC and MAB in respect of the terms and conditions relating to    the provision of Services by BAC to MAB and are not intended to be exhaustive.

3. RATIONALE OF THE 2ND EA
The 2nd EA is to give more time for the Parties’ legal counsels to finalise and conclude the NCA with a common goal to expedite the signing. The negotiations conducted thus far has enabled the Parties to agree on the material terms and move closer towards an NCA that is benchmarked against international standards and based on industry best practices to be signed between MAB and BAC.

4. EFFECT OF THE 2ND EA
The 2nd EA is not expected to immediately have material effects on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of Brahim’s for the financial year ending 31 December 2015.

5. INTEREST OF MAJOR SHAREHOLDERS AND DIRECTORS
None of the directors and/or major shareholders of Brahim’s and/or persons connected to them have any interest, direct or indirect, in the 2nd EA.

6. DIRECTOR’S STATEMENT
The Board of Directors of Brahim’s, having considered the rationale and terms of the 2nd EA is of the opinion that the execution of the 2nd EA is in the best interest of the Company.

7. DOCUMENTS FOR INSPECTION
In view of the confidentiality clause on certain terms in the Agreement, the Agreement would not be made available for inspection.

降价20-25% 期限5+5年 新马航帕乐兴续约飞机餐

(吉隆坡11日讯)帕乐兴(BRAHIMS,9474,主板贸服股)终于与新马航落实飞机餐合约,为期5年另加5年延长选择期,并会根据具竞争力的计算方法定价,即比原本的价格低20至25%,同时还需符合特定关键绩效指标(KPI)。

帕乐兴和新马航今日双双发出文告,外界所关注却迟迟未落实的飞机餐合约,终于在今日出炉。

为了配合国际标准,帕乐兴持股70%的子公司帕乐兴航空餐点公司(BAC),与新马航针对宽机身和窄机身飞机,签署两份合约。

在这当中,原本帕乐兴持有的的25年期、直到2028年才截止的飞机餐合约,改成只有5年,但另有多5年的延长选择权。

双方也同意以具有竞争力的定价模式,来决定飞机餐和机舱处理的价格,可较之前的飞机餐省下20至25%的成本,达到节省成本和提高营运效率的目的。

同时,为确保服务和食品的品质,这项合约也附有特定的关键绩效指标需达到。

9月才全面生效

这项新合约已从昨日(10日)开始生效,但鉴于双方在2月底签署的调解合约,需要一个过渡期完成,因此新合约的所有条款,会等到9月1日,或者是双方都同意的日期,才会完全生效。

马航表示,整体而言,这项新合约较之前的25年期合约,标准更加严谨、价格更具竞争力,也非“独家”,且期限较短。

1. INTRODUCTION
The Board of Directors of the Company wishes to announce that the Company’s 70%-owned subsidiary, Brahim’s Airline Catering Sdn Bhd (“BAC”) has on 10 May 2015 entered into New Catering Agreements (NCAs) with Malaysia Airlines Berhad (“MAB”) as part of the MAS Recovery Plan announced by Khazanah Nasional Berhad on 29 August 2014. BAC is currently the exclusive in-flight caterer to Malaysian Airline System Berhad (“MAS”) under a 25-years catering agreement expiring in 2028 (“Catering Agreement”) in KLIA and Penang International Airport.
As announced on 29 August 2014, the Prime Minister of Malaysia called for a support of all parties to return the national carrier MAS to profitability under The MAS Recovery Plan. This involves a comprehensive and holistic restructuring plan for MAS. One of the twelve principal actions called for all supply contracts to be reviewed, reset and renegotiated based on market norms and benchmarks.
The MAS Recovery Plan calls for the formation of a new National Carrier, MAB, to replace the existing MAS come 1 September 2015. MAB is also mentioned in the Malaysian Airline System Berhad (Administration) Act 2015 (“MAS Act”). BAC to ensure continuity of in-flight catering and cabin handling businesses (‘the Services’) with the new National Carrier, therefore engages MAB to specifically enter into two new agreements with MAB. Under the new regime, BAC services are now categorised into Wide Body Aircraft Flights and Narrow Body Aircraft Flights in line with international benchmarks. Thus 2 sets of NCAs were signed between BAC and MAB, covering each category.
The NCAs are envisaged to promote a more collaborative working relationship between BAC and MAB, with a focus on service delivery and quality of output with specific measurable key performance indicators (“KPIs”), and includes a pricing methodology that will realise savings and operational efficiencies. These elements of the NCAs are part of the outcome of a joint-process review at both BAC and MAS, which has identified areas of improvements for both parties. In addition, the NCAs have a tenure of 5 years, with the option of renewal for another 5 years.
Overall, the NCAs are benchmarked against international standards and are based on industry best practices.

2. SALIENT TERMS OF THE NCAs
Purpose of the NCAs
In view of the restructuring exercise currently being undertaken by MAS, MAS and BAC had earlier wished to enter into a new catering agreement as announced to Bursa Malaysia Securities Berhad on 26 February 2015. In conjunction with MAS’ and BAC’s efforts to negotiate, finalise and execute a mutually acceptable new agreement to supersede the Catering Agreement by mutual consent, MAS and BAC (“Parties”) had also entered into a Settlement Agreement (SA) which sets out their mutually agreed rights, duties, liabilities and obligations vis-à-vis each other which were applicable during the Interim Period, including a settlement of all outstanding debts and disputed amounts between MAS and BAC, pending the signing of the NCAs.
(a) The salient terms of the NCAs which include amongst others, are as follows:
i) the NCAs are in 2 separate contracts covering ‘Wide Body Aircrafts’ flights and ‘Narrow Body Aircrafts’ flights and both shall commence on 1 September 2015 or such other date as agreed between MAB and BAC in writing; and shall remain in force for a period of 5 years with an additional 5 years renewal subject to no breach of any of the Key Events which will trigger a Termination of the NCA; meeting of Critical Performance KPIs over the initial 5 years, and upon mutually agreed pricing for the extended term of the next 5 years.
ii) Pricing of the NCAs is based on a competitive pricing methodology for meals and cabin handling, to realise savings and operational efficiencies for both MAB and BAC.
iii) BAC shall not in any way impact on its services to MAB as its major customer, in its participation in Non-Airline Food Related Business as a result of its new opportunity to undertake the services of Non-Airline Food Related Business provided in the NCAs.
iv) BAC undertakes to provide in-flight catering services and cabin handling services as well as inventory storage and management services to MAB and other services which are inherent to or necessary for the proper performance of the above services based on international standards and practices, taking into consideration it is a home-based caterer servicing a home-based airline, with appropriate KPIs and Service Level Agreement (“SLA”) in place to ensure alignment and consistency in quality of service.
v) The NCAs include clearly defined remedies and/or service credits for non-performance of the SLA, as well as incentives for fulfilment of agreed targets and outstanding performance based on KPIs. Additionally, the NCAs also outline specific events which will trigger a Termination of the NCA.
vi) MAB acknowledges that BAC will use the in-flight kitchen in KLIA and Penang International Airport for services to other airlines and BAC shall ensure that it can continue to provide such services to third parties upon the expiration or termination of the NCAs.
vii) Should MAB wish to buy frozen and/or fully prepared meals or other products which significantly alters the method of preparing meals at any location, the first right of refusal is given to BAC. In any event, BAC is entitled to charge a separate agreed handling fee for the handling of the frozen and/or fully prepared meals, if MAB decides to procure these meals from other vendors.
viii) BAC and MAB each agree and undertake to the other that in connection with the NCAs and the provision of Services contemplated by the NCAs, they will each respectively comply with the Anti-Corruption Laws.
ix) The NCAs are governed by, and will be construed in accordance with, the laws of Malaysia.

3. RATIONALE
Based on an earlier announcement by Brahim’s, it was stated that the objective of the SA was to bring MAS’ in-flight catering contract in line with market norms and benchmarks, as called for under the MAS Recovery Plan. BAC can be compelled under the new MAS Act to continue supplies to MAS despite MAS withholding payments and is prevented from filing legal action for unpaid receivables. This had also caused severe problems in cashflows to BAC operations and had affected its ability to upstream dividends to Brahim’s. Brahim’s as a holding company required cashflows from BAC to meet its debt obligation to avoid triggering loan defaults.
Under such circumstances and through no fault of BAC or Brahim’s, the signing of the SA was the only option then for BAC to maintain its role as an inflight meals caterer to MAS as well as staying relevant as a global halal flight kitchen servicing 36 other international airlines in KLIA. The signing of the SA was intended to ease the tight cashflows of BAC and that of Brahim’s caused by MAS actions of withholding payments. MAS and Khazanah had indicated in writing and during negotiations that they will not hesitate to look for new caterers to replace BAC for Malaysia Airlines Berhad (“MAB”) should BAC not enter into the interim SA pending negotiation of the NCA.
With the signing of the SA on 26 February 2015, BAC had received a portion of the cash withheld and this had enabled Brahim’s to meet its debt repayment due on 1 April 2015. The SA also served to show a commitment for both MAS/Khazanah and BAC to carry out negotiations to firm up the NCAs.
The parties had agreed that to avoid uncertainties in negotiations posed by the yet to be appointed Administrator over the existing Catering Agreement, or revisiting the terms of the NCAs agreed between BAC and MAS/Khazanah prior to the Administrator’s appointment, the NCAs shall be executed by MAB instead. The new airline entity MAB is independent of MAS and is outside the ambit of the MAS Act. Under such circumstances, BAC shall continue to serve MAS until MAB becomes operational at the instructions of MAB. Thus there is no longer a requirement of the NCAs to be novated by MAS to MAB. However in the absence of the NCA(s), it was reiterated to BAC that there is a possibility that MAS, MAB or Khazanah Nasional Berhad, its shareholder, will look for other parties to replace BAC.
Thus the existing Catering Agreement is at risk of not being novated by MAS to MAB as a result of the passing of the MAS Act.
The signing of the NCAs will now allow for a high degree of certainty in BACs business with MAS and later with MAB as its caterer in the nominated flights, whilst maintaining its position as KLIA principal halal in-flight caterer to the remaining 36 international airlines and other potential new airlines calling on KLIA and Penang.

4. EFFECT OF THE NCAs
(a) Issued and Paid-up Share Capital and Substantial Shareholders’ Shareholdings
The execution of the NCAs will not have any effect on the share capital and substantial shareholders’ shareholdings of Brahim’s.
(b)   Earnings and earnings per share (“EPS”)
The NCAs are expected to contribute positively to the earnings and EPS of Brahim’s Group for the financial year ending 31 December 2015.
(c)    Net Assets
Based on the audited financial statements of the Group as at 31 December 2014, the execution of the NCAs is expected to increase the net assets of the Group.

5. INTEREST OF MAJOR SHAREHOLDERS AND DIRECTORS
None of the directors and/or major shareholders of Brahim’s and/or persons connected to them have any interest, direct or indirect, in the NCAs.

6. DIRECTOR’S STATEMENT
The Board of Directors of Brahim’s, having considered the rationale and terms of the NCAs, is of the opinion that the execution of the NCAs are in the best interest of the Company.

7. DOCUMENTS FOR INSPECTION
In view of the confidentiality clause on certain terms in the Agreements, the Agreements would not be made available for inspection.

馬航餐飲合約減價25%‧布拉欣展望不一

(吉隆坡12日訊)布拉欣(BRAHIMS,9474,主板貿服組)持股70%的子公司——布拉欣航空餐飲私人有限公司(BAC),終於正式與馬航簽署新的餐飲供應協議。

新的餐飲協議將分為“寬體飛機”和“窄體飛機”兩類,將從今年9月1日起生效,合約期限為5年,另可在達到關鍵績效指標(KPI)後延長額外5年。

根據協議,新的餐飲協議價格將根據餐點和客艙處理量的競爭力定價法來制定,以為雙方取得節省和營運效率。

分析

儘管成功拿下新餐飲協議解除了不被續約的顧慮,惟分析員對布拉欣前景持看法綜合,因在新的餐飲協議下,BAC的平均售價可能被下砍20至25%。

無論如何,由於不被續約的憂慮一掃而空,布拉欣股價早盤仍一度漲7.5仙至1令吉零4仙,惟之後湧現套利讓股價漲幅持續縮小,布拉欣最終以98.5仙收盤,全天揚2仙。

馬航是在今年2月27日與布拉欣航空餐飲公司就原有的餐飲供應協議達成和解,並重新洽談新餐飲合約。

安聯星展研究指出,雖然新合約缺乏財政細節,但考慮到馬航在文告透露新的餐飲協議將讓餐飲成本取得20至25%的節約效益,間接暗示了布拉欣所攫獲的新協議,平均售價或被調低了20至25%。

“無論如何,實際盈利衝擊目前仍無法斷言,因我們無法知曉賺幅會否因食物素質需求改變或其他成本節約措施而獲捍衛,因此在與該公司管理層會面前,我們選擇保持財測不變。”

比較之下,豐隆研究的看法相對樂觀,認為儘管新餐飲協議賺幅或許不如從前,但相信布拉欣仍能取得讓人滿意的賺幅。

“而且,隨著新協議的簽定,我們相信BAC如今已可自由使用廚房,這有助該公司捕捉任何潛在餐飲機會。”

布拉欣(BRAHIMS,9474,主板貿服組)終成功從馬航(MAS)手中拿下新的餐飲供應協議,卻似乎無法為股東帶來笑容。

上週,布拉欣持股70%的子公司——布拉欣航空餐飲(BAC),正式與馬航簽署新的餐飲供應協議,合約期限為5年,另可在達到關鍵績效指標(KPI)後延長額外5年。

乍看之下,人們理應要對這項消息感到振奮才是,惟實際情況卻似乎相反,因布拉欣股價自消息公佈至今,反挫1.5仙。箇中原因,相信在於新合約的“價值”。

雖然布拉欣並沒有透露合約詳情,但馬航就表示,新協議將協助馬航省下20至25%的餐飲開銷,無形中泄了底。

實際上,在今年2月簽署的過渡協議中,布拉欣所提供的餐飲服務,賬單就遭馬航揮刀大砍了25%,新合約價值下滑早就有跡可尋。

布拉欣早前所掌握的餐飲協議,曾因長達25年而惹人詬病,馬航亦因此遭市場狠批,這是由於這類合約限期一般只有數年,以便供應方每隔一段時間即能根據承包商執行表現來決定是否續約,藉此允許市場競爭存在,而馬航一出手即把25年的供應時間頒給布拉欣,顯然有失妥當。

有鑑於此,國庫控股(Khazanah)著手重組馬航後,其餐飲賬單幾個月後即遭大砍25%,已讓原有賬單浮現價值偏高之嫌。

隨著新協議塵埃落定,市場如今關注的是,在餐飲供應業務賺幅料遠遜從前的情況下,布拉欣要如何捍衛業績表現?

自從餐飲供應協議遭重新檢討以來,有關布拉欣意圖收購新業務的消息就此起彼落;該公司曾建議收購漢堡王(Burger King)但遭股東否決,也曾傳出有意收購雞飯連鎖店“The Chicken Rice Shop”的消息,似乎急於填補潛在的盈利缺口。無論如何,目前為止,布拉欣仍未成功購得新業務。

實際上,比起收購新業務,筆者認為布拉欣不如從現有業務下手,如買斷BAC剩餘30%股權,藉以消除盈利缺口。

目前,BAC剩餘30%股權掌握在馬航手上,考慮到馬航正積極合理化旗下業務,加上持有BAC股權可能變相限制市場競爭,是否繼續持有BAC實在有待商討。

布拉欣财报依然疲弱

(吉隆坡7日讯)布拉欣控股有限公司(BRAHIMS,9474,贸易服务组)公布,在截至2015年3月31日止第1季度,所取得的税前利润按年从1159万令吉下降逾半至551万令吉。

该集团称,盈利下滑主要是来自2015年2月26日与马航有限公司签订和解协后所作出的让步而招致的结果。

它致函大马交易所说,至于营业额也由之前的9247万令吉下滑至8573万令吉。

布拉欣在5月11日的公布中,旗下70%子公司布拉欣航空食品私人有限公司与马航在5月10日签订了新的餐饮协议,作为马航复原计划的一部分。

该餐饮协议暂定在今年9月1日起生效,为宽体飞机和窄体飞机提供餐饮服务。

上述协议有效期是5年,若果没有违反任何重要事项和其他条件,那么在5年后将可获得额外5年的续约。

该集团表示,展望未来,尽管预期今年次季载客量将会增加,但是飞机餐饮业务仍具挑战性。

预计次季来自马航的飞机餐饮与客舱服务收入将与首季一样。

它称:“根据新协议实施的经修订价格,我们从这些业务所取得的利润率可能会受到影响。”

第1季度的餐饮业务表现仍然录得亏损,但是随着推行转盈措施后,预计未来几个季度的亏损将会逐步收窄。【光华日报财经】

布拉欣和日本運通簽合作備忘錄

該公司發文告指出,雙方於2015年6月15日簽署合作備忘錄,布拉欣計劃發展國際業務,將藉由NEM開拓的清真物流(MS2400-1:2010)服務運送清真產品,為其提供一站式的國際物流服務方案。

1. INTRODUCTION
The Board of Directors of the Company wishes to announce that the Company had on 15th June 2015 entered into a memorandum of understanding (“MOU”) with NEM for the purpose of entering into a collaboration of BRAHIM’S tapping into the international network of Nippon Express Group.

2. INFORMATION ON NEM
NEM is part of the Nippon Express Group, an international freight forwarding and global logistics service provider. NEM have taken steps to develop dedicated transportation services that complies with the requirements of the MS2400-1: 2010 (Halal Logistics).

3. SALIENT TERMS OF THE MOU
(a) Purpose of the MOU
NEM and BRAHIM’S are desirous to collaborate and conduct mutual co-operation with each other in ensuring the integrity and reliability of its supply chain benchmarking for world class Halal Logistics services.
The parties have entered into the MOU to set out the broad framework to facilitate negotiations to formalise ‘Definitive Agreements’.
(b) The salient terms of the MOU, which include amongst others, are as follows:
i) Nippon Express is a global logistics company operating all over the world and expanding rapidly including this South Asia and Oceania region.
ii) The Corporate Philosophy of the Nippon Express Group is to be a driving force for social development and its challenge is to create new ideas and value that expand the field of logistics.
iii) NEM have embraced this mission and have taken steps to develop dedicated transportation services that complies with the requirements of the MS2400-1: 2010 (Halal Logistics).
iv) BRAHIM’S being a highly reputable Halal food producer and retailer with plans to develop its businesses internationally would require the services of an international logistics service provider to ensure the integrity and reliability of its supply chain.
v) NEM would be able to manage these requirements and become a one stop logistics solutions provider to Brahim’s in this regard.
vi) BRAHIM’S would benefit from the international network of the Nippon Express Group in various areas such as cost efficiencies, reliability and integrity of its supply chain and other core competencies associated with a highly efficient logistics system.

4. RATIONALE
The objective of the MOU is to draw on the Parties core competencies to enable BRAHIM’S to benefit from NEM’s global supply chain for cost efficiencies, reliability and integrity of its supply chain.

5. EFFECT OF THE MOU
The MOU is not expected to immediately have material effects on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of BRAHIM’S for the financial year ending 31 December 2015.

6. INTEREST OF MAJOR SHAREHOLDERS AND DIRECTORS
None of the directors and/or major shareholders of BRAHIM’S and/or persons connected to them have any interest, direct or indirect, in the MOU.

布拉欣减少依赖飞机餐

(吉隆坡16日讯)布拉欣(BRAHIMS,9474,主板贸服股)计划减少对飞机餐业务的依赖,打算將目前佔营业额90%的飞机餐业务在3年內减少至50%。

布拉欣主席拿督依布拉欣表示,在与马航(MAS)签订新的飞机餐供应协议后,该公司会积极地推动非飞机餐业务。

「今次与马航的新协议,允许我们经营飞机餐以外的业务。这是之前所不允许的。」

他是在布拉欣股东大会后,向记者如是表示。

扩展非飞机餐业务他表示,目前该公司已获得两份非飞机餐业务的合约,分別在吉隆坡国际机场的阿联酋贵宾室和玛莎学院(Mahsa)提供餐点。

他披露,该公司正与其他公司洽谈,以扩展非飞机餐业务,其中包括收购连锁餐饮企业。

至于飞机餐业务方面,伊布拉欣表示,该公司近期为英国航空公司提供清真飞机餐,该合约为期5年。

此外,布拉欣也將在今年9月开始,为全日本航空(All Nippon Airways)提供飞机餐,为期3年,並有机会再延长3年。

伊布拉欣表示,该公司目前持有37家航空公司的飞机餐合约,而马航则是最大的顾客。

他预料,马航在布拉欣的营业额贡献將从每年平均的2亿6000万令吉,下滑至2亿令吉,主要是因为该公司在与马航的新协议中,给予25%的折扣。

儘管如此,伊布拉欣乐观认为,该公司將会在今年转亏为盈。

与日本通运签约 帕乐兴多元化至物流业

(吉隆坡16日讯)帕乐兴(BRAHIMS,9474,主板贸服股)与日本通运(大马)私人有限公司(简称NEM)签署了解备忘录,多元化业务至物流领域。

受利好消息推动,该股今天一度攀抵93.5仙的全天最高点,闭市收在92.5仙,全天扬1.5仙,或1.65%;成交量有39万7300股。

NEM隶属日本通运集团,后者是一家国际货物转运和服务业者,业务遍布南亚和大洋洲区域。

丰隆投行分析员对此不感惊讶,因公司早前就已透露,有兴趣将业务拓展至国际。

根据协议,双方将合作确保世界级清真物流服务的供应链基准测试,保持完整和可靠。

扩大立足点

另外,帕乐兴也能从日本通运的国际网络中受惠,如后者供应链的成本效益、完整及可靠性,以及高效的物流系统。

分析员正面看待此合作,因这能巩固及增强帕乐兴作为世界清真餐饮业者的形象。

同时,也能借助于日本通运的网络,扩大立足点。

另一方面,日本通运也能受惠于帕乐兴的清真证书。

“虽然没有公布投资额,但我们估计,投资金额料不显著,估计不会大幅拉高帕乐兴的负债率。”

分析员维持“买进”的投资评级,和1.12令吉的目标价格。

延展海外拓展‧布拉欣裁員20%降成本

(吉隆坡14日訊)布拉欣(BRAHIMS,9474,主板貿服組)業務展望謹慎,料裁員20%降成本、延展海外拓展計劃,靜待併購及資產注入良機提振業績。

自今年9月1日與馬航的兩項餐飲協議(NCA)開跑以來,豐隆研究與布拉欣管理層會面後取得進一步業務進展說明。

布拉欣表示,該集團表現大致與航空及航空相關業務公司第二季表現雷同,上半年取得394萬令吉淨利,主要源自於馬航在簽署NCA協議前,降低餐飲成本而給予的25%折扣,日期從2014年第四季起至今年9月1日。

馬航的NCA新價位低比舊合約低30%,機艙人員處理費也下調約17%。

布拉欣指出,今年1至7月每月平均餐點量為94萬4千份,顯著低於2013年(表現最佳年份)的每月平均95萬6千份。

不過豐隆研究更關注下半年點餐量,因這將反映馬航進還在行中的轉型計劃。

成本方面,接下來布拉欣計劃削減員工/固定成本約20%。另外,該公司已在過去6個月削減供應商的原料成本。

至於麥加及澳洲投資,還在進行中,不過布拉欣表示將先以本地市場為重,因此把海外拓展計劃延展至2016至2017財政年。

尋策略夥伴

另外,布拉欣表示在積極覓尋良機,並探討其他方法提振業務,包括尋求策略夥伴。

有鑑於此,豐隆研究不排除其私人公司將注入資產或進行潛在併購活動推動該公司轉虧為盈。考量NCA低價位,豐隆研究下調2015至2016財政年每股盈利預測39至62%,維持“買進”評級及下調目標價至77仙。(星洲日報/財經‧報道:郭曉芳)

布拉欣控股 終止與馬航新餐飲協議

(吉隆坡17日訊)布拉欣控股(BRAHIMS,9474,主要板貿服)宣布子公司布拉欣航空餐飲控股私人有限公司,終止在今年5月與馬航簽署新餐飲協議,並以全新條款的補助協議取代。

該公司向馬證交所報備,終止與馬航的現有股東協議,並在14日簽署三項補助協議,包括終止布拉欣控股和馬航現有餐飲協議、終止現有使用馬航提供的廚房和其他設施的租賃協議,以及雙方的場所租賃協議。

至于附帶新條款的補助協議,則在9月15日起生效。【中国报财经】

BRAHIM'S HOLDINGS BERHAD ("BHB" OR "THE COMPANY")- AGREEMENTS ENTERED BETWEEN  BRAHIM'S AIRLINE CATERING SDN. BHD. (A 70%-OWNED SUBSIDIARY OF BHB), BRAHIM'S AIRLINE CATERING HOLDINGS SDN. BHD. (A WHOLLY-OWNED SUBSIDIARY OF BHB), MALAYSIAN AIRLINE SYSTEMS BERHAD AND/OR MALAYSIAN AIRLINES BERHAD
1. Introduction
We refer to the announcement dated 11 May 2015 in relation to the execution of the New Catering Agreements (“NCAs”) between Brahim’s Airline Catering Sdn Bhd (“BAC”), an indirect 70%-owned subsidiary of BHB, and Malaysia Airlines Berhad (“MAB”).  
By an Extension Agreement dated 1 September 2015 entered into between BAC and MAB the New Terms Commencement Date for the NCAs was extended to 15 September 2015.
The Company wishes to announce that following the execution of the NCAs, Brahim’s Airline Catering Holdings Sdn Bhd (“BACH”), a wholly-owned subsidiary of BHB and the holding company of BAC, had on 14 September 2015 entered into the following agreements:
(a)        Termination agreement for the termination of the existing shareholders agreement (“ESA”) between Malaysian Airline System Berhad (“MAS”), BACH and BAC (“TESA”); and
(b)        Shareholders agreement between BAC, BACH and MAB (“SHA”) which regulates the relationship between BACH and MAB as shareholders of BAC.
The TESA and SHA are collectively referred to as the “BACH Ancillary Agreements”.
In addition to the BACH Ancillary Agreements, BAC has also on 14 September 2015 entered into the following agreements:
(a)        Termination agreement for the termination of the existing catering agreement between BAC and with MAS (“TECA”);
(b)        Termination agreement for the termination of the existing tenancy agreement (“ETA”) between BAC and MAS (“TETA”) for the use of the premises provided by MAS to BAC for BAC’s kitchen and other facilities (‘Premises”); and
(c)        Tenancy Agreement (“TA”) between BAC and MAB for the provision of the Premises for BAC‘s kitchen and other facilities.
The TECA, TETA and TA are collectively referred to as the “BAC Ancillary Agreements”
With the execution of the BACH Ancillary Agreements and BAC Ancillary Agreements BAC and MAB have agreed that the New Terms Commencement Date for the NCAs is 15 September 2015.   

2. Rationale
The execution of the TESA, TECA and TETA and SHA are incidental to the NCAs whereby the airline business previously undertaken by MAS is now being taken over by MAB in view of the MAS Restructuring Plan pursuant to the Malaysian Airline System (Administration) Act 2015 (“Act”).                                    
The TA is entered into following the transfer of the assets of MAS including the Premises to MAB pursuant to the Act.
The SHA has similar terms as the ESA, which inter alia provides for agreement between the parties on composition of the Board of Directors, reserved matters which require the approval of both parties, deadlock provisions and pre-emption clauses.  The TA is  principally on the same terms as the ETA.

3. Effect of the BACH Ancillary Agreements and BAC Ancillary Agreements
The execution of the BACH Ancillary Agreements and BAC Ancillary Agreements does not have any effect to the share capital, substantial shareholders’ shareholdings, earnings per share, net assets and gearing level of the Company.

4. Directors’ Statement
The Board of Directors of BHB, having considered the rationale and the terms of the BACH Ancillary Agreements and BAC Ancillary Agreements, is of the opinion that the execution of the BACH Ancillary Agreements and BAC Ancillary Agreements are in the best interest of the Company.

新翔献购布拉欣飞机餐业务

(吉隆坡22日讯)隨著新加坡公司--新翔投资私人有限公司(SATS Investments PteLtd)建议以2亿1800万令吉,向布拉欣(BRAHIMS,9474,主板贸服股)收购布拉欣航空餐饮控股公司(BRAHIM'S Airline Catering Holdings Sdn.Bhd.)的49%股权,刺激布拉欣股价在今天午盘恢復交易就涨停板。

布拉欣今早发文告指出,该公司董事局在昨天(10月21日)结束日常营运后,接获来自新翔投资私人有限公司的有条件约束献议。对方向布拉欣献议以2亿1800万令吉现金(或会调整),收购布拉欣航空餐饮控股公司的49万股普通股,或相等于49%股权。

新翔投资私人有限公司是新加坡上市公司新翔集团(SAT SLtd)的独资子公司。新翔集团在新加坡樟宜机场提供综合地勤与飞机餐服务。

2.1亿分2次支付

该文告称,以上2亿1800万令吉的收购价,將分成两次支付,即其中的1亿1000万令吉將在收购完成后立即支付,另外的1亿零800万令吉则胥视某些財务目標达致后才缴付。惟,该公司没有提供更多的详情。

该文告补充说,布拉欣董事局针对上述要约条款將委任相关顾问,同时董事局表示在採取任何决策之前,会深思熟虑。一旦董事局对该有条件约束献议有了决定之后,会即时向股东呈报。【东方网财经】

We wish to announce that the Board of Directors of BHB (“Board”) has after the close of business on 21st October 2015, received a conditional binding offer from SATS Investments Pte Ltd (a wholly-owned subsidiary of SATS Ltd), which sets out an offer to acquire from BHB, 490,000 ordinary shares of RM1.00 each representing 49% of the total issued and fully paid up ordinary shares in BACH for a proposed aggregate cash consideration of RM218.0 million (subject to adjustment) which is payable in the following manner:
(a)  RM110 million upon the completion of the transaction; and
(b)  The remaining RM108 million conditional upon certain financial targets being achieved.

The Board will appoint the relevant advisers in due course and deliberate on the terms of the said offer and decide on the next course of action. Further announcements will be made once the Board has made a decision on the conditional binding offer.
