维视机动愿接受收购邀约

（吉隆坡18日讯）去年与CSL公司收购献议告吹后的维视机动（VIS，0120，创业板）指出，仍愿意接受任何收购邀约，以建立永续盈利来源。

去年4月，印尼智能卡制造商PT. Cipta Srigati Lestari（简称CSL）倒置收购维视机动的献议，因无法在截止日期前达成协议，导致双方签署的暂定协议（HOA）正式取消。

根据《The Edge》报道，维视机动总执行长蔡义和说：“现金充裕和低本益比的企业，一直都是收购目标。”

他指出，公司不断收到来自国内外公司的收购议案，惟现仍未出现适合人选。

不过，若价格令人满意，且能引领公司至新水平，该公司将列入考虑。

他进一步透露，最近某家本地公司也有意收购维视机动，不过谈判还在初始阶段。

蔡义和是维视机动的最大股东，其持有27.58%的股权，相等于3053万股。

维视机动的主要业务，是半导体组装和测试，本身拥有一套科技。【e南洋】

VIS（维视机动，0120，创业板科技股），成立于2003年，并于2006年4月13日上市大马交易所主板。

VIS这家公司相信很多人对它都不是很了解，该公司的主要业务为从事半导体设备方案供应，其客户大都是来自半导体组装与半导体设施领域。

该公司自2016年第三季开始转亏为盈，净利达到197万令吉后，并在第四季再次创下佳绩，将净利再次推高至215万令吉：-

根据该公司的解释，这是由于近几个月来全球半导体销售回升，导致对设备的需求增加。而行内也预测未来的需求会走高，公司也寄望2017及2018年的销售会增加。

2016年算是该公司历来最好的业绩， 全年净利达到430万令吉， 对一家净资产只有2372万令吉的公司来说，这可说是非常出色。

在检讨VIS的季报时，我意外的发现这家公司在单季的现金持有竟然增加了686万令吉， 从上一季的371万令吉， 大幅增加至目前的1057万令吉。 而同时该公司的银行借贷也减少了100万令吉。 这一个大改变，也让该公司顿时成为一家净现金公司，持有774万令吉净现金，每股净现金达到7仙。

该公司的每股净资产为21仙，当中有三分一为现金。在现金充沛的情况下，不排除公司会在未来会重新派发股息以回馈股东（注：该公司自2011年后就不再派发股息）。

如果该公司在接下来每个季度依然可以取得超过1.5仙的每股净利，给予10倍本益比的估值，加上其每股净现金，那么该股的合理价应该处在RM0.67左右。

（吉隆坡2日讯）维视机动（VIS，0120，创业板）建议私下配售高达10%的股本，给获得国际贸易与工业部（MITI）批准土著投资者。

维视机动向交易所报备，该公司将私下配售高达1106万9530股新股，以符合土著持股率及筹集营运资本。

按照参阅价每股94仙，相信可筹得1040万5358令吉，以充作营运资本及支付私下配售开销。

维视机动表示，配售价不会比5天交易量加权均价（VWAP）折价超过10%。

根据目前股市的情况及土著投资者的购兴，预计私配活动将分批执行。

筹得的款项，当中的1025万5358令吉将充作营运资本，而剩余15万令吉则用来支付私下配售活动的开销。 【e南洋】

维视机动2送1红股．1送4凭单

（吉隆坡25日讯）维视机动（VIS,0120,创业板科技组）建议在完成私下配售活动后，展开包括以2配1比例派送红股，再以1配4比例派送凭单，成立占缴足资本10%的雇员认股计划（ESOS）。

该公司发文告表示，拟以2送1比例派送最多6088万2415股红股，将通过股票溢价户头进行支付，估计股票溢价户头盈余将从今年4月杪的641万8000令吉减至33万令吉。

在完成红股计划后，维视机动将以1送4比例派送最多4566万1811单位凭单，行使价将由董事部稍后决定。

最后，该公司建议成立占缴足资本10%的ESOS计划，供合格雇员、执行董事和非执行董事在5年期限内认购公司股票。

整个计划完成后，维视机动缴足资本将从1106万9530令吉扩大至8420万4531令吉，负债比将从0.12倍降至0.04倍。

不过，基于维视机动为达到最低30%土著持股要求，在今年6月宣布拟向待定土著投资者私下配售占缴足资本10%新股，因此未免引起市场混淆，该公司将在完成私下配售计划完成后才落实上述企业活动。

销售减．维视机动第三季少赚32%

（吉隆坡21日讯）基于销售减少，维视机动（VIS,0120,创业板科技组）截至2017年7月31日第三季净利从前期的197万4000令吉下挫32.22%至133万8000令吉，但9个月净利仍按年起95.81%至420万8000令吉。

第三季营业额按年下降7.15%至749万4000令吉，但9个月营业额因机械销售增长，年增41.83%至2230万5000令吉。

该公司发文告表示，半导体领域前景正面，加上现财政年9个月财报表现改善，董事部有信心现财政年财报将更为出色。
