(吉隆坡30日讯)总值59亿令吉的西海岸大道(WCE)工程,向政府和金融界融资47亿4000万令吉,余额将由股东优乐家集团(KEURO,3565,主板建筑股)和IJM(IJM,3336,主板建筑股)负责。

优乐家集团今日向马交所报备,西海岸大道公司获得政府支援贷款便利,总值22亿4000万令吉。

该公司同时也与兴业投行、兴业银行和马银行(MAYBANK,1155,主板金融股)签署合约,获得高达15亿令吉的过渡贷款便利。

此外,该公司也与大马发展银行(Bank Pembangunan Malaysia)和兴业回教银行签署担保Murabahah回教债券合约,以发行10亿令吉的回教中期票据,并由大马发展银行和国家金融担保机构(Danajamin)担保。

西海岸大道这兴建、经营和转移(BOT)工程,总共需要59亿令吉的资金,因此,余额将会由两大股东负责,双方已承诺确保此项目成功完成,并承担融资的责任。

IJM是通过Road Builder(马)控股,持有西海岸大道公司的20%股权,另80%则归优乐家集团所有。【南洋网财经】

KUMPULAN EUROPLUS BERHAD (“KEURO” OR “THE COMPANY”)
SIGNING OF THE DEBT FINANCING FACILITY AGREEMENTS FOR THE WEST COAST EXPRESSWAY PROJECT

Further to our announcements dated 2 January 2013, 10 January 2013, 23 December 2013 and our subsequent quarterly updates in our interim financial reports in relation to the West Coast Expressway Project, the Company wishes to announce that West Coast Expressway Sdn Bhd (“WCESB”), an 80% subsidiary of the Company, has entered into the following agreements in relation to the establishment of up to RM4.74 billion debt financing facilities for the West Coast Expressway Project on 30 June 2015:
(a)  Government Support Loan Facility Agreement between WCESB and the Government of Malaysia for a term loan facility of up to RM2.24 billion;
(b)  Facility Agreement between WCESB, RHB Investment Bank Berhad, RHB Bank Berhad and Malayan Banking Berhad for a syndicated term loan facility of up to RM1.5 billion;
(c)  Guaranteed Sukuk Murabahah Programme Agreement between WCESB, Bank Pembangunan Malaysia Berhad and RHB Investment Bank Berhad for an Islamic medium term notes programme of up to RM1.0 billion to be guaranteed by Bank Pembangunan Malaysia Berhad and Danajamin Nasional Berhad pursuant to a Kafalah facility; and
(d)  other related agreements.

These constitute part of the funding requirement for the construction of approximately RM5.9 billion Build-Operate-Transfer (BOT) West Coast Expressway Project that was awarded to WCESB ("Project").  The remaining balance will be funded via equity financing from its shareholders, namely KEURO and Road Builder (M) Holdings Berhad.  Both shareholders are committed to ensuring the successful completion of the Project, as evidenced by their respective undertaking in the Shareholders Agreement to subscribe for the required capital contribution in accordance with the funding terms of the project financing.  In line with general market practice of greenfield project finance, both shareholders also will take up each other’s required capital contribution in order to ensure there are no funding shortfall to complete the Project.

優樂家西海岸大道發債籌10億

2015-08-19 10:28      
(吉隆坡18日訊)優樂家集團(KEURO,3565)旗下的西海岸大道(West Coast Expressway)發售工程債券,籌措10億令吉資金;這批債券由國家資金擔保機構(Danajamin Nasional)和大馬發展銀行(Bank Pembangunan Malaysia)擔保。

優樂家集團和道路建築是大道發展和收費站經營者。

總額高達10億令吉伊斯蘭中期票據獲大馬評估機構(RAM)給予AAA的評價,歸功大馬發展銀行和國家債券機構的擔保。

興業投資銀行和大馬發展銀行是債券聯合經理人,這批不同時期發售的債券期限是12至21年不等。(星洲日報/財經)

(吉隆坡23日讯)优乐家集团有限公司(KEURO,3565,建筑组)宣布,经已将旗下的亚洲树脂毛毡有限公司(ARF)82.84%股权,以总值537万令吉出售予Geofelt私人有限公司。

该集团致函大马交易所说,所脱售的资产包括253万股每股面值1令吉的普通股,以及65万股年息5%的累积优先股。

它称:“一旦上述交易完成后,亚洲树脂毛毡就终止成为我们的子公司。”【东方网财经】

None of the directors and/or major shareholders of KEB or persons connected to the directors and/or major shareholders of KEB have any interest, direct or indirect in the said disposal.

The disposal is not subject to the approval of the shareholders of KEB.

Kindly be advised that the aforesaid Company has changed its name to WCE Holdings Berhad. As such, the Company’s shares will be traded and quoted under the new name with effect from 9.00 a.m., Thursday, 8 September 2016.

The Stock Short Name will be changed as follows:-

WCEHB(WCE控股,3565,主板建筑股),成立于1926年,并于1973年12月17日上市大马交易所主板。

WCEHB的前身为LARUT,于2000年9月15日易名EURPLUS。

2003年11月,EURPLUS进行重组并将上市地为转让给KEURO(优乐家集团)。

2007年,由于觊觎西海岸大道(West Coast Expressway,简称WCE)项目,IJM(怡保工程,3336,主板建筑股)参股KEURO,并崛起成为大股东,持有25.81%股权。 

2013年1月,在苦守了10多年后,KEURO和IJM所组成的财团终于获得了政府颁发WCE的特许经营权合约。

随着WCE的明朗化,KEURO也成功吸引了另两大股东,分别是丹斯里刘锦坤(MAGNUM和MPHBCAP的大股东),通过MWE(大马综合工业,3921,主板消费产品股)持有24.99%股权;而另一个则是拿督冯世州(MAMEE的董事经理),通过United Frontier控股有限公司持有9.32%。

另外,KEURO也涉足产业发展,该公司持有30%股权的联号公司Radiant Pillar私人有限公司(与IJMLAND联号),通过独资子公司Bandar Rimbayu私人有限公司,在莎阿南发展面积达1878英亩的大型城镇项目“Bandar Rimbayu”,发展总值高达110亿令吉。

2015年4月,拖延了17年的西海岸大道终于开始动工,并且预料将在2019年竣工。

2016年9月8日,KEURO再次易名WCEHB。

This announcement is dated 19 January 2017.

第三季转盈566万

截至2016年12月31日为止,该公司第三季净利为566万4000令吉(每股净利为0.56仙)、前期则净亏89万6000令吉(每股净亏0.09仙)。营业额则增加至1亿8119万4000令吉,前期则为1亿4987万6000令吉。

首9个月净利则为2302万9000令吉(每股净利为2.30仙),前期净利为2501万5000令吉(每股净利为2.49仙)。营业额为5亿8392万令吉,前期为3亿7400万1000令吉。

探探其最新的资产负债表,该公司总资产为29亿2316万2000令吉,流动资产主要包括-在有执照银行存款为12亿2768万7000令吉、其他投资为1亿5504万7000令吉、贸易及其他应收款项为7968万3000令吉、现金及银行余款为329万9000令吉。待沽的联号公司资产为4297万令吉。

大道收费料为主要盈利

谈到业务前景,该公司在宣布最新季度业绩时指出,该公司主要涉及的半岛的西海岸高速大道计划正在进行中。它全程长达233公里的收费高速大道,从雪州的万津开始至霹雳太平(包括较后才开始建筑40公里大道)。这是一项建筑/经营/转移方式进行的特许经营权计划,经营期为60年,总发展成本约为59亿令吉,预料某些部份的大道将从2018年杪开始收费。收费大道料为其未来盈利的其中主要来源。

高速大道计划是从2014年8月25日开始动工兴建,料将费时5年完成。目前建筑活动正在进行中。

该公司也通过联营公司——怡保工程建筑—WCE控股公司参与高速大道的建筑工作,即受委为高速大道工程计划的一揽子工程及采购承包商。

谈到旗下的产业发展业务,该公司认为,由于经济前景不确定、使消费者情绪低迷,银行房屋贷款条件依然严峻、以及新建好产业供应持续不断、使公司旗下的产业发展业务未来前景仍充满挑战。

惟在现财政年余下季度(尚有第四季),预料其联营及坐落在沙亚南的Rimbayu城镇发展计划(发展总值约110亿令吉)将取得合理表现,特别是获得一些未入账销售,以及最近销售推介取得令人满意反应支撑。

该公司认为,若是没有出现不可预见情况,预料现财政年的业绩表现还可令人满意。近年来,没有证券行进行剖析及提出目标价及建议。
