Reference is made to the Company’s announcement dated 28 July 2017 in relation to the contract known as  "Remaining Building Works and Related External Works for Proposed Commercial Development consists of 1 Tower Block with 26 Storey (Consists of 248 Units of SOHOs); 1 Tower Block with 15 Storey (Consists of 224 Units SOHOs) on 1 Storey Sub-Basement and Mechanical Room, 2 Storey of Shops (48 Units); 2 Storey of Offices (24 Units); 5 Storey of Elevated Parking Floors; Facility Floor with Swimming Pool, Gymnasium, Surau, Cafe, Multi-Purpose Hall, Meeting Room, Child Care, Games Room, Changing Room, Management Office and Laundry, with 1 Unit of TNB Sub-Station on Lot 27106 (PT 27735)(HS(D)117234) and Lot 27107 (PT 27736)(HS(D)117235), Mukim Semenyih, Daerah Ulu Langat, Selangor Darul Ehsan” accepted by Fajarbaru Builder Sdn Bhd (“FBSB”), a wholly owned subsidiary of the Company, from TYL Land & Development Sdn. Bhd. (“TYL”).

It was recently brought to the Board’s attention that on 3 January 2019, the High Court at Kuala Lumpur pursuant to a winding up petition filed against TYL ordered that TYL to be wound up.

As at 31 December 2018, the total certified sum for works done owing by TYL to FBSB was RM20.37 million, with a further estimated uncertified amount of RM8.15 million. FBSB is ascertaining any additional losses and damages claimable against TYL in relation to the Contract arising from the winding up.

The Board is currently seeking legal advise on options available.  

Further announcement on any material development will be made in due course.

THE CONTRACT FROM TYL LAND & DEVELOPMENT SDN. BHD.
Reference is made to the Company’s announcements dated 28 July 2017, 21 March 2019 and 25 March 2019.

The Company wishes to inform that its wholly-owned subsidiary company, Fajarbaru Builder Sdn. Bhd. (FBSB) has, through its firm of Advocates and Solicitors, Messrs Harold & Lam Partnership, filed a Claimant’s Statement of Case dated 13 December 2019 against Tan Wee Meng (“the Respondent”) for a sum of RM10,000,000.00 (“the Claim”).

The Claim was made pursuant to a Director’s Guarantee dated 8 August 2017 given by the Respondent in favour of FBSB, whereby the Respondent irrevocably and unconditionally undertook to immediately pay on demand to FBSB any amount due and owing by TYL Land & Development Sdn Bhd (“TYL Land”), up to the maximum guarantee amount of RM10,000,000.00, in respect of the whole of the obligations of TYL Land in relation to the Podium Block works carried out by FBSB.

The Company will announce in due course on any material development arising from the above proceedings.

The Board of Directors of the Company wishes to announce that its wholly-owned subsidiary Fajarbaru Trading Sdn Bhd (“FTSB”) has on 21 August 2020 obtained a Moneylender License issued under the Moneylenders Act 1951 and the Moneylenders (Control and Licensing) Regulations 2003 (“the License”) by the Ministry of Housing and Local Government (“the Ministry”).

The License shall be valid for a period of two (2) years effective from 13 August 2020 to 12 August 2022 and it is renewable upon the renewal application is made with the Ministry.

The License allows FTSB to undertake the business of money lending service.

Reference is made to the announcement made by the Company on 24 June 2019 in relation to the acceptance of the Letter of Award by Fajarbaru Builder Sdn. Bhd. (“FBSB”), a wholly owned subsidiary of FBG, for Main Building Works (Phase 1) dated 19 June 2019 issued by Ong & Ong 360 Consultancy Sdn. Bhd. on behalf of Malton Development Sdn. Bhd. (“MDSB”), a wholly owned subsidiary of Malton Berhad, in respect of the Proposed High-Rise Residential Development comprising of 3 Tower Blocks: Tower A (46-Storey), B (49-Storey) and C (30-Storey) encompassing 536, 572 and 268 units respectively on top of a 3-level of Basement Car Park and 10-level of Podium Car Park and Facilities on Lot 345 (PT 193) Section 48, Jalan Kolam Air, Off Jalan Kuching, Kuala Lumpur, Wilayah Persekutuan (“Duta Park Residences”).

The Board of Directors of FBG is pleased to announce that FBSB has on 24 August 2020 accepted a Letter of Award for Main Building Works (Phase 2) via Architect's Instruction (“Phase 2 Contract”) dated 21 August 2020 issued by Ong & Ong 360 Consultancy Sdn. Bhd. on behalf of MDSB.

The Phase 2 Contract sum is Ringgit Malaysia One Hundred and Eight Million Thirty One Thousand Two Hundred Fifty and Cents Seventy Only (RM108,031,250.70). The Phase 2 Contract is expected to be completed within Twenty Four (24) months period.

The Phase 2 Contract will have no material effect on the share capital and substantial shareholders’ shareholding of FBG.

The Phase 2 Contract is expected to contribute positively to the earnings and net assets of the Group from the financial year ending 30 June 2021 onwards.

None of the Directors and Substantial Shareholders, persons connected to the Directors or Substantial Shareholders of the Company and its subsidiaries or persons connected thereto have any interest, direct or indirect in the Phase 2 Contract.

The Directors of the Company are of the opinion that the Phase 2 Contract is in the best interest of the Group.

FAJARBARU BUILDER GROUP BHD ("FBG" OR THE "COMPANY") RIGHTS ISSUE WITH WARRANTS
The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Rights Issue with Warrants.

We refer to the earlier announcements dated 15 April 2021, 3 May 2021, 11 May 2021, 8 September 2021 and 9 September 2021 in relation to the Rights Issue with Warrants.

On behalf of the Board, UOBKH wishes to announce that as at the close of acceptance, excess application and payment for the Rights Issue with Warrants as at 5.00 p.m. on Friday, 8 October 2021, the total acceptances and excess applications for the Rights Issue with Warrants were 1,076,495,017 Rights Shares with Warrants, which represents an over-subscription of 190.31% over the total number of 370,806,692 Rights Shares with Warrants available for subscription under the Rights Issue with Warrants, the details of which are set out below:-

It is the intention of the Board to allot the Excess Rights Shares with Warrants on a fair and equitable manner and in the following priority:-

i. firstly, to minimise the incidence of odd lots;

ii. secondly, for allocation to Entitled Shareholders who have applied for the Excess Rights Shares with Warrants, on a pro-rata basis and in board lot, calculated based on their respective shareholdings in the Company as at the Entitlement Date;

iii. thirdly, for allocation to Entitled Shareholders who have applied for the Excess Rights Shares with Warrants, on a pro-rata basis and in board lot, calculated based on the quantum of their respective Excess Rights Shares with Warrants applied for; and

In the event there is any remaining balance of Excess Rights Shares with Warrants applied for by the Entitled Shareholders, their renouncees and/ or transferees (if applicable) who have applied for the Excess Rights Shares with Warrants after carrying out steps (i) to (iv) as set out above, steps (ii) to (iv) will be repeated again in the same sequence to allocate the remaining balance of the Excess Rights Shares with Warrants to the Entitled Shareholders, their renouncees and/ or transferees (if applicable) who have applied for the Excess Rights Shares with Warrants until such balance is fully allocated.

Nonetheless, the Board reserves the right to allot any Excess Rights Shares with Warrants applied for such manner as it deems fit, expedient and in the best interest of the Company, subject always to such allocation being made on a fair and equitable basis and that the intention of the Board as set out in steps (i)-(iv) above is achieved. The Board also reserves the rights, at its absolute discretion, to accept in full or in part any applications for the Excess Rights Shares with Warrants without assigning any reason thereof.

The Rights Shares and Warrants are expected to be listed on the Main Market of Bursa Securities on 25 October 2021.

The Board of Directors of Fajarbaru Builder Group Bhd (“FBG” or "the Company") is pleased to announce that Fajarbaru Builder Sdn Bhd, a wholly-owned subsidiary of FBG, has on 3 March 2023 accepted a Letter of Award dated 2 March 2023 from Kekal Kirana Sdn Bhd, an indirect subsidiary of WCT Holdings Berhad, in respect of the Main Building Works for the Proposed Residential Development of 3 Blocks of Condominium Towers comprising of 341 units on top of a 4 levels of Basement Car Park and 3 levels of Podium Facilities at Lot 67209, Jalan Changkat Duta Kiara, Mont Kiara, Mukim Batu, Bandar Kuala Lumpur, Wilayah Persekutuan Kuala Lumpur (“the Contract”).
