We refer to the announcements dated 11 May 2007 and 5 June 2007 on the Proposals.

On behalf of the Board of Directors of MGB, HWANGDBS Investment Bank Berhad (formerly known as Hwang-DBS Investment Bank Berhad) (formerly known as Hwang-DBS Securities Berhad) (“HWANGDBS”), is pleased to announce that the Securities Commission (“SC”) had, vide its letter dated 15 June 2007, granted its approval for the following:

(i) Proposed variation to the conditionality of the Proposals;
(ii) A waiver from having to comply with Paragraph 4 of Guidance Note 8C of the Policies and Guidelines on the Issue/Offer of Securities issued by the SC, in respect of requiring shareholders’ approval for the precise terms and conditions of the Proposed Private Placement;
(iii) Extension of time of up to 13 August 2007 to implement the Proposed Transfer; and
(iv) Listing of and quotation for 12,250,000 new ordinary shares of RM0.10 each in MGB (“MGB Shares”) to be issued pursuant to the Proposed Private Placement on the MESDAQ Market of Bursa Malaysia Securities Berhad.

The SC’s approval is subject to the condition that HWANGDBS / MGB submit to the SC an undertaking to complete the placement of the remaining 7,500,000 MGB Shares by 17 August 2007, as proposed.

This announcement is dated 18 June 2007.

Further to the announcement dated 10 August 2007 in respect of the Proposals, HWANGDBS Investment Bank Berhad (formerly known as Hwang-DBS Investment Bank Berhad) (formerly known as Hwang-DBS Securities Berhad) (“HWANGDBS”), on behalf of the Board of Directors of MGB, wishes to announce that the Securities Commission (“SC”) (Equity Compliance Unit) had, vide its letter dated 14 September 2007, informed MGB that it is not able to consider the Company’s application for a waiver from having to place out the balance of the 7,500,000 ordinary shares of RM0.10 each in MGB to bumiputera placees.

However, the SC has granted an extension of time of one (1) year until 17 August 2008 for MGB to comply with the bumiputera equity condition.

This announcement is dated 17 September 2007.
