Aspen 5.5亿倒置收购 谊来转型攻房产发展

（吉隆坡25日讯）槟城发展商Aspen集团，将倒置收购陶瓷和地砖制造商谊来（YILAI，5048，主板工业产品股），并把后者转型为产业发展公司。

谊来昨日向马交所报备，已经和AspenVision集团和Setia Batu Kawan集团签署暂定协议（HOA），以5亿5000万令吉，收购Aspen Vision All私人有限公司。

根据该公司文告，三方将在签约90天内，正式签约。

谊来指出，将发行4亿5000万令吉新股，每股发售价1令吉，其余1亿令吉现金，将以公司内部资金和银行贷款付款。

每股1令吉的发售价，等于谊来截至2月23日止，5天均价溢价22.3%。

发新股完成收购活动，将形成倒置收购，同时，谊来的业务方向也将大幅改变。

Aspen Vision All的主要业务，是管理服务和投资控股，旗下的子公司的主要业务则是产业发展，2年前成立，以发展槟城峇都加湾Aspen Vision City和Vervea发展计划。

谊来指出，收购Aspen Vision All可拓展到产业发展活动，为公司注入新的核心业务，且更有利可图。

而且，谊来认为，拓展到产业发展和现有下游陶瓷和地砖制造业务，有协同作用。【南洋网财经】
