JOHN MASTER INDUSTRIES BHD is acquiring the entire 100% equity interest in Be Top Group Ltd of China. Be Top is the holding company of Top Textile (Suzhou) Co Ltd, a fabric manufacturer based in China. JMI entered into a heads of agreement for the proposed acquisition on July 28. The acquisition of Be Top for RM328.1 million is to be satisfied via the proposed issuance of 780.28 million new consolidated shares of JMI to the vendors at an issue price of 20 sen per share. JMI will also issue RM172.1 million convertible instruments to the vendors, Pan Ding and Pan Dong, at a conversion price of 20 sen per share.

The vendors will provide a profit guarantee of no less than 100 million renminbi for Be Top's net profit for financial year ending 2009. JMI has also completed its open tender exercise with regards to the proposed sale of its entire business and undertakings including all its assets and liabilities. It said two bids were received for the open tender and its board had agreed in principle to accept the winning bid from Yoon Foong Garments Sdn Bhd for RM78.5 million. Following the completion of the proposed disposal, JMI will implement a capital repayment and reduction exercise that will return RM77.5 million cash, or 63 sen per JMI share to shareholders.
