Description	DIVIDEND POLICY
On behalf of the Board of Directors (“Board”) of Kumpulan Powernet Berhad (“KPower” or “the Company”), the Company is pleased to announce that the Company has adopted a dividend payout ratio of at least 20% of its consolidated profit after tax attributable to the owners of the Company for each financial year, excluding any unrealised income from adjustments due to accounting policies that are non-cash in nature (“Dividend Policy”). The Dividend Policy will be effective from the  financial year ending 30 June 2020. At this juncture, the Company is a holding company and therefore, our ability to pay dividends is dependent upon the dividends and other distributions we receive from the Company’s subsidiaries. The actual dividend that the Board of Directors of KPower may recommend or declare will be subject to a number of factors, including amongst others; i.              availability of adequate distributable reserves and level of cash; ii.             operating cash flow requirement and financial commitments; iii.            anticipated future operating conditions, future expansion and capital expenditure; iv.           any contractual restrictions and/or commitments; and v.            any material impact of tax laws and other regulatory requirements. The Dividend Policy describes the Company’s present intention and any future dividends are subject to modification at the Board’s absolute discretion. The announcement is dated 27 November 2019.
