（吉隆坡10日讯）收购Masterskill教育（MEGB，5166，主板贸服股）股权的SMRT控股（SMRT，0117，创业板），要求延长15天，以完成精密审核。

Masterskill教育发出文告，接受SMRT控股的要求，将精密审核的时间从原本的30天，延长多15天，直到本月24日。

SMRT控股早前伙同私募基金公司Creador，出价每股60仙，收购Masterskill教育大股东西华古玛的32.9%股权，并展开精密审核。

（吉隆坡16日讯）Masterskill教育（MEGB，5166，主板贸服股）宣布，终止脱售营运资产给执行主席兼大股东西华古玛。

Masterskill教育向马交所报备，独立估价师Cheston国际称，营运资产初步估算的市值为1亿1040万令吉。

集团指出，估价师公布的数字，大幅高于西华古玛所提出的收购价。

因此，双方无法就调整买卖价达成共识，所以集团决定终止脱售这批营运资产，并探讨其他减持资产与筹资的方案。

Masterskill教育11月初宣布，把坐落在蕉赖、亚庇、古晋和巴西古当的学院，脱售给西华古玛，过后再回租。

时隔不到一周，SMRT控股（SMRT，0117，创业板）宣布与私募基金Creador II联手，向西华古玛献购32.9%股权。

消息带动Masterskill教育交投，11月杪股价一度大涨21%，更遭到马交所发出不寻常市场交易（UMA）的质询。

正籌備退股MASTERSKILL教育（MEGB，5166，主板貿服組）的大股東西瓦古瑪再傳負面新聞，耗資7千500萬令吉收購MASTERSKILL教育（下稱MEGB）旗下4項產業和地皮的提案，上週意外腰斬。

原因是，獨立估價師給予上述4項資產的估值，高達1億1千零40萬令吉，或較西瓦古瑪出價高出近47%。

早前文告顯示，上述4項被用作日常業務運作的資產，是在MEGB的“資產精簡策略”下獲西瓦古瑪提出獻購，之後才重新回租給MEGB。

老實說，“售後回租”模式並不稀奇，因不少企業均曾採用過相同策略，藉此釋放資產價值和資金，順便替公司瘦身，重新向買家租下有關資產則可確保業務如常運作，不受資產易主的影響。

然而，讓許多人都百思不解的是，為何買家會是即將完全退股MEGB的西瓦古瑪？

如今僅等SMRT控股（SMRT，0117，創業板科技組）和夥伴作最後購股決定即可成功以每股60仙完全脫售約30%股權、完全退出MEGB的西瓦古瑪，是在上月6日獲董事部批准上述4項資產的收購和回租提案。

由於SMRT控股有意入股的消息當時尚未揭曉，這樣的安排並沒有引起人們太大的注意，因大股東本身參與有利於公司的策略性計劃，邏輯上倒還說得過去，畢竟事關股東（包括大股東）利益。

不過，當西瓦古瑪同意賣股給SMRT控股的消息公佈後，上述資產交易卻立刻顯得奇怪，因這意味著西瓦古瑪早已無心留在MEGB；既然如此，又何以甘心自掏腰包來成全公司的“資產精簡策略”？

這個疑問，一直到獨立估價師上週公佈相關資產的估值後，人們才終於恍然大悟！

原來，“精簡資產策略”，是這麼一回事啊。

幸好，由於價差太大，加上無法達成新共識，董事部和西瓦古瑪最終被迫終止有關資產交易計劃，讓那些長期備受股價低迷折磨的小股東，不致於傷上加傷。

這幾年來，由西瓦古瑪領軍的MEGB，各方面表現一直無法讓人滿意，數月前捨棄以每股1令吉10仙脫售股權給香港投資者、卻同意以每股60仙把股權賣給SMRT控股所引起的疑慮尚未消除，即再傳出意圖低價收購公司資產的負面消息，聲譽難免一落千丈。

SMRT控股在12月10日曾一度推延精密审核期限，要求将精密审查的时间从原本的30天，延长多15天。

（吉隆坡11日訊）MASTERSKILL（MEGB，5166，主要板貿服）以即將宣布重大消息為由，週一將全日暫停交易。

該股上週五4時50分臨閉市前宣佈停牌，最后報價為71仙，跌2.5仙，成交量有1575萬4100股。

該公司在馬證交所報備文件指出，由于公司即將作出重大宣佈，故配合馬股主要板上市條例，將從週一早上9時至下午5時暫停交易。

無獨有偶，另一家上市公司SMR科技（SMRT，0117，創業板科技）也以重大宣佈為由，週一也將暫停交易。

与私募基金Creador联手 SMRT每股60仙全购Masterskill

（吉隆坡12日讯）SMRT控股（SMRT，0117，创业板）与私募基金公司Creador II献议联合收购Masterskill教育（MEGB，5166，主板贸服股）50%股权后，并进一步展开强制全面收购。

SMRT控股子公司Strategic Ambience私人有限公司（简称SASB），以及CreadorII子公司Arenga Pinnata私人有限公司（简称APSB），以每股60仙向Masterskill教育执行董事西华古玛，收购30.75%股权或1亿1565万6700股。

一旦完成收购，SMRT控股和CreadorII将分别间接持有23%和27.02%股权，触及强制全购门槛，Masterskill教育的股东必须在三月之前，决定是否脱售股权予APSB。

SMRT控股主席兼总执行长拿督帕兰表示，收购50.02%股权的交易总值为1亿1186万令吉，公司拥有强稳的资金和健康的负债率，因此不会打击未来的业绩表现。

今日恢复交易

公司将在三月初召开特大，以寻求股东批准，料在四月前完成收购计划。

配合重大消息宣布，公司上周五宣布今日暂停交易，并于当日4点50分停止交易，当时价格为62.5仙，跌2.5仙，或3.85%。

SMRT控股和Masterskill教育，将从明天上午9时恢复交易。

系列改革转盈 易名Asiamet维持上市

帕兰和Creador私募基金经理布拉马瓦苏德万，看好Masterskill教育的发展潜力，冀通过一系列的改革，让公司转亏为盈。

Masterskill教育将易名为Asiamet Education集团（简称AMU），但仍会维持上市地位。

SMRT控股将为公司打造新的品牌形象，提供新的课程和优秀的教育品质，建立信誉和市场信心。

在加强人力资源和管理方针之外，也会秉持“轻资产营运”的理念，脱售重叠和累赘资产，减轻负担。

AMU会加强SMRT控股教育业务在我国各地的覆盖率，同时产生协同效应，为后者节省20%至30%的营销成本。

布拉馬爾能讓MASTERSKILL起死回生？

（吉隆坡17日訊）以往，私募基金Creador及首席執行員布拉馬爾入股任何上市公司，都會讓市場振奮不已，也能輕易成為新聞頭條。

不過，Creador最新買下MASTERSKILL教育（MEGB,5166,主板貿服組）大批股權，卻引發一個疑問：布拉馬爾能否協助這家公司轉虧為盈？

上週，Creador與SMRT控股（SMRT,0117,創業板科技組）說，打算在提高MASTERSKILL教育持股至50.02%，並強制全購其餘49.98%股權後，設法拯救這家公司。

平均來看，Creador參股後，即使一些公司缺少顯著的企業活動，股價仍上揚80%。可是，投資者正觀望MASTERSKILL教育會否出現同樣的效應。

隨着國家高等教育基金（PTPTN）貸款上限降低，入學資格提高，MASTERSKILL教育的學生劇減，造成該公司從2010年起面對財務壓力。

值得留意的是，布拉馬爾入股的8家公司如舊街場（OLDTOWN,5201,主板貿服組）等，當時都是賺錢的。

Masterskill 末季亏损扩大

（吉隆坡30日讯）Masterskill教育（MEGB，5166，主板贸服股）去年末季营收降低，加上资产和应收款项减值，导致净亏进一步扩大。

Masterskill教育末季净亏，从2796万令吉，扩大至3994万令吉。

相比2013年的1199万7000令吉，集团去年末季营业额，按年滑落近40%，至722万8000令吉。

集团指出，学生减少，加上蒙受920万令吉资产减值和1320万令吉应收款项减值，影响末季表现。

不过，集团全年净亏，从2013年的1亿6281万令吉，收窄至4331万令吉。

Masterskill 7970万卖地

（吉隆坡5日讯）Masterskill教育（MEGB，5166，主板贸服股）以7970万令吉，脱售三块土地资产给Brilland产业私人有限公司，并在完成交易后，回租其中一块包括建筑物在内的土地。

文告显示，Masterskill教育以4120万令吉脱售一块位于八打灵再也的土地、以1280万令吉脱售一块位于柔佛马赛（Masai）土地，并以2570万令吉脱售同样位于马赛的土地。

完成交易后，公司将向Brilland产业回租该建筑物，租约细节稍后公布。

Masterskill教育指，脱售资产所获资金的2670万令吉将用来偿还欠债，剩余的5300万令吉则充足未来一年的营运资本。

易名Asiamet教育

公司指，上述决定是配合了重整财务状况的计划，该公司因收生率下滑，业绩表现自两年前每况愈下，目前是亏损公司。

另外，Masterskill教育通过另一文告指，中止换名为MEGB Metropolitan Berhad的计划，并改为建议易名为Asiamet教育集团（Asiamet Education Group Berhad）。

早前，SMRT控股（SMRT，0117，创业板）与私募基金公司Creador II献议，联合收购Masterskill教育50%股权，冀以一系列改革转亏为盈。【南洋网财经】

On behalf of the Board of Directors of the Company, Mercury Securities Sdn Bhd wishes to announce that the Company proposes to undertake the following:- (i) proposed disposal by Masterskill (M) Sdn Bhd (“MMSB”) (a wholly-owned subsidiary of MEGB) of its property assets in Petaling Jaya, Selangor and Masai, Johor (“Properties”) to Brilland Property Sdn Bhd (“BPSB”) (a company controlled by Mr Siva Kumar a/l M Jeyapalan (“SK”)) for a total cash consideration of RM79.7 million (“Proposed Disposal”); and (ii) proposed leaseback of Masai Property 2 (as defined herein) to MMSB after completion of the Proposed Disposal subject to the terms and conditions of the Lease Agreement (“Proposed Leaseback”).
