如果用这次大调整前的价格作比较--目前也就AIRASIA和BJCORP坚守岗位--等一切稳定后--KLCI站上1300点时--这两支股票分别看涨一倍-RM2。000-RM3。000是乐观的说

Announcement Details :

1. INTRODUCTION


The Board of Directors of Berjaya Corporation Berhad (“BCorp”) wishes to announce that BerjayaCity Sdn Bhd (“BCity”), a 100% subsidiary of BCorp, has on 28 March 2008 entered into a conditional sale and purchase agreement (“SPA”) with Taman TAR Development Sdn Bhd (“TTD”), a 100% subsidiary of BLand, for the proposed disposal of a parcel of freehold land measuring approximately 16.2 million sq. ft. (or about 371.874 acres) under Geran 38104, Lot 35, Mukim of Sungai Tinggi, District of Ulu Selangor, Selangor Darul Ehsan (“Land”) for a total cash consideration of RM48.6 million (“Cash Consideration”) or at the average price of RM3.00 per sq. ft. (or about RM131,000 per acre) (“Proposed Transaction”).
The ensuing paragraphs set out the details of the Proposal Transaction.

2 THE PROPOSED TRANSACTION

2.1 Details of the Land

The Land is located at the north-eastern portion of the on-going BerjayaCity development in the Mukim of Sungai Tinggi, District of Hulu Selangor, Selangor Darul Ehsan. It is situated about 2km off the western side of the North-South Expressway and about 1km due North of Jalan Bukit Tagar. The Land is irregular in shape and generally the terrain varies from gentle undulating to hilly. Presently, the Land is mainly cultivated with oil palm and is located approximately 20km to the North-East and 40km West of Batang Berjuntai town and Rawang town respectively. The Land was approved by the Jabatan Perancang Bandar dan Desa Negeri Selangor in 1999 for commercial development. BCity has recently submitted an application to the relevant authorities to re-designate the Land to residential development.

2.2 Information on BCity

BCity was incorporated in Malaysia under the Companies Act, 1965 on 30 March 1995 as a private limited company under the name of Eminent Capital Sdn Bhd. The company changed to its present name on 21 June 2004. At present, the authorized share capital of BCity is RM100.0 million, of which RM60.0 million comprising 60.0 million ordinary shares of RM1.00 each have been issued and fully paid-up.

BCity is a wholly-owned subsidiary of Rangkaian Sejahtera Sdn Bhd which in turn is a wholly-owned subsidiary of BCorp via Berjaya Group Berhad. The company is principally involved in property investment and development and the cultivation and sale of palm oil, palm kernel and natural rubber. BCity has as its principal asset a parcel of freehold land (inclusive of the Land) measuring approximately 614.3 million sq. ft. (or about 14,102 acres) in the Mukim of Sungai Tinggi, District of Ulu Selangor, Selangor Darul Ehsan, which was acquired in 1995.

2.3 Information on TTD

TTD was incorporated in Malaysia under the Companies Act, 1965 on 1 December 1989 as a private limited company under the name of Equitilite Sdn Bhd. The company changed to its present name on 2 November 1990. At present, the authorized share capital of TTD is RM20.0 million, of which RM16,000,002 comprising 16,000,002 ordinary shares of RM1.00 each have been issued and fully paid-up.

TTD is principally a property development company and is wholly-owned by Berjaya Property Management Sdn Bhd which in turn is a wholly-owned subsidiary of BLand.

2.4 Salient Terms of the Proposed Transaction

Based on the SPA entered into between BCity and TTD, the Cash Consideration for the Proposed Transaction of RM48.6 million will be satisfied as follows:
(i) RM4.86 million representing 10% of the Cash Consideration is payable upon the execution of the SPA; and
(ii) RM43.74 million representing the balance 90% of the Cash Consideration (“Balance Consideration”) is payable within three (3) months from the date of the SPA becoming unconditional, failing which an extension of one (1) month will be granted subject to an interest charge of 8% per annum daily rest shall be imposed until full payment of the Balance Consideration.
The Land shall be disposed of free from all claims, charges, liens and other encumbrances but subject to any endorsement and/or all conditions of the title, whether expressed or implied and restrictions in interest as contained in the Land title.

2.5 Basis in arriving at the Cash Consideration for the Proposed Transaction

The Cash Consideration for the Proposed Transaction was arrived at after taking into account, inter-alia, the open market valuation of the Land based on the Comparison Method of RM48.6 million as appraised by the independent valuers, Messrs DTZ Nawawi Tie Leung Property Consultants Sdn Bhd on 13 March 2008.

2.6 Utilization of Proceeds from the Proposed Transaction

The cash proceeds from the Proposed Transaction of RM48.6 million will be utilized by BCity for its working capital purposes.

2.7 Rationale for the Proposed Transaction

The Proposed Transaction, which is in line with the principal activities of BCity, offers an opportunity for BCity to realise the capital appreciation on a small portion of the BerjayaCity property and to raise funds for its working capital purposes.

2.8 Expected completion date for the Proposed Transaction

Barring any unforeseen circumstances, it is anticipated that the Proposed Transaction will be completed by the second quarter of 2008.

3. CONDITIONS OF THE PROPOSED TRANSACTION

The Proposed Transaction is subject to the approvals of the following parties:-

(a) The Foreign Investment Committee; and

(b) Any other relevant authorities, where required.

The Proposed Transaction is not subject to approvals of the shareholders of BCorp and BLand.

4. FINANCIAL EFFECTS OF THE PROPOSED TRANSACTION

The Proposed Transaction is not expected to have any material effect on the net assets and earnings of BCorp Group for the current financial year.
The Proposed Transaction will result in an estimated gross gain on disposal of approximately RM41.5 million at BCity company level but will not have any effect at BCorp Group level.

5. DIRECTORS’ AND MAJOR SHAREHOLDER’S INTERESTS

5.1 Tan Sri Dato’ Seri Vincent Tan Chee Yioun (“TSVT”) is the Chairman/Chief Executive Officer of BCorp. He is a major shareholder of BCorp and a deemed major shareholder of BLand by virtue of his interest in BCorp. He is also a shareholder of BLand.

5.2 Tan Sri Dato’ Tan Chee Sing (“TSDT”), is the deputy Chairman of BCorp and BLand. He is the brother of TSVT and a shareholder of both BCorp and BLand.

5.3 Dato’ Robin Tan Yeong Ching (“DRTYC”) and Rayvin Tan Yeong Sheik (“RTYS”), who are issues of TSVT, are Executive Directors and shareholders of BCorp. DRTYC is also a Director of BCity and a shareholder of BLand. Accordingly, they are deemed persons connected with TSVT.

5.4 Datuk Robert Yong Kuen Loke (“DRYKL”) is the Non-Executive Director and shareholder of both BCorp and BLand. He is also a Director of BCity.

5.5 Hotel Resort Enterprise Sdn Bhd (“HRE”) is a major shareholder of BCorp and a deemed major shareholder of BLand by virtue of its interest in BCorp. HRE is also a shareholder of BLand.

5.6 As at 10 March 2008, BCorp Group holds approximately 58.4% interest in BLand.

5.7 Saved as disclosed above, none of the other Directors and/or major shareholders of BCorp and/or persons connected with them has any interest, direct or indirect, in the Proposed Transaction.

6. STATEMENT BY DIRECTORS

The Board of Directors of BCorp (saved for TSVT, TSDT, DRTYC, RTYS and DRYKL) is of the opinion that the Proposed Transaction is in the best interest of the BCorp Group.

7. COMPLIANCE WITH THE SECURITIES COMMISSION’S POLICIES AND GUIDELINES ON ISSUE/OFFER OF SECURITIES (“SC GUIDELINES”)
The Proposed Transaction does not fall within the ambit of the SC Guidelines.

8. DOCUMENT AVAILABLE FOR INSPECTION

The SPA is available for inspection at the Registered Office of BCorp at Lot 13-01A, Level 13 (East Wing), Berjaya Times Square, No. 1, Jalan Imbi, 55100 Kuala Lumpur, during normal office hours from Mondays to Fridays (except public holidays) for a period of three (3) month from the date of this Announcement.

2.6利用所得拟议中的交易

现金收益由拟议中的交易的rm48.6元,将利用bcity供其周转资金的目的。

2.7理拟议中的交易

拟议中的交易,这符合所有的主要活动bcity ,提供机会给bcity为实现资本增值,对一小部分的berjayacity财产,以筹措资金,其营运资金用途。

2.8预计完工日期为拟议中的交易

除非出现任何意外情况,可以预料,拟议中的交易将于何时完成,由2008年第二季。

3 。条件拟议中的交易

拟议中的交易是受批准的下列各缔约方: -

(一)该外国投资委员会;

(二)任何其他有关主管部门的地方,需要。

拟议中的交易是不受审批的股东bcorp和乏味。

4 。金融的影响,拟议中的交易

拟议中的交易,预期不会有任何重大影响的资产净值及每股盈余bcorp集团本财政年度内完成。
拟议中的交易将导致估计毛收益处置大约rm41.5万bcity公司水平,但不会有任何影响的bcorp组水平。

5 。董事和大股东的利益

5.1丹斯里拿督'郑海泉檀安慈yioun ( " tsvt " ) ,是该委员会的主席/首席行政主任bcorp 。他是一个大股东bcorp和一项当作大股东的平淡凭借他的兴趣在bcorp 。他也是一位股东乏味。

5.7节省了上文所披露外,没有任何其他董事及/或大股东bcorp和/或相关人士,与他们有任何兴趣,直接或间接的,在拟议中的交易。

6 。声明中,由董事

董事局bcorp (节省tsvt , tsdt , drtyc , rtys和drykl )是认为,拟议中的交易是在最佳利益为依归bcorp组。

请问有没有人知道到底为什么?

今天89.5仙,,成交量1百35万6千100股,,

最高91仙,,最低86仙,,

越南股市8天交易日,,已经起了7天,,,
