艾毕斯董事部变动引猜疑 传曾源成林秀琼争控制权

（吉隆坡26日讯）市场传言，艾毕斯（Apex，5088，主板金融股）近期的董事部变动和股价大起风波，源自家族失和所引发的股权斗争，主席曾源成和他兄嫂、也是已故丹斯里林梧桐之女林秀琼两派人马，正在争夺公司的控制权。

上周，艾毕斯举行常年股东大会，执行董事主席兼大股东曾源成和董事刘立祥，意外不获重新委任，进而宣布卸任退休。

曾源成重新入局
此时，市场盛传艾毕斯有意脱手，而作为关键人物的曾源成，被怀疑因为这项脱售行动而被挤出董事局。

昨天，艾毕斯股价大起21.05%至1.15令吉，盘中更一度冲上1.25令吉，遭大马交易所发出“不寻常市场活动”（UMA）质询。

该公司先以不知情的理由回应马交所，而后又再发布声明，重新委任曾源成为执行董事。

根据《The Edge》财经日报的不具名消息指出，林秀琼在上周的股东大会上，对曾源成和刘立祥重新委任议程投下反对票。

林秀琼是曾源成兄长——曾德发之妻，同时是美达有限公司（Metroplex Bhd）掌舵人。

根据艾毕斯最新年报，最大单一股东为持有15.71%的Fun Sheung发展有限公司，接下来是持有8.76%的曾源成，美达持股权则为6.63%。

“据说，曾源成家族和美达两个阵营连同相关人士，分别供持有超过30%的股权，双方的差距非常小。”

消息也指，股价的飙涨很可能是在争夺方的大股东，在公开市场提高持股权，以加强在艾毕斯的地位。

曾源成是本地证券界名人，在业界拥有32年经验，同时也是JF艾毕斯证券行董事经理。

随着曾源成重新受委入董事部，市场关注美达接下来的举动，有可能会通过股东特别大会罢免曾源成职位，或加入管理层行列中。

（吉隆坡28日訊）艾畢斯控股（APEX，5088，主板金融組）董事部將調查和研究一些股東在最近舉行的股東大會上，拒絕重新委任執行主席和獨立非執行董事的原因。

同時，該公司強調公司業務和營運如常，不受股東大會的結果影響。

艾畢斯控股今日發出文告表示，在6月21日舉行的股東大會上，並沒有人指控董事有任何行為不當之處。

“但是，我們目前正透過不同管道調查，以找出股東是否有任何不滿，若真有不滿，將加以解決。”

董事部認可曾源成專業操守
針對該公司召開緊急董事部會議重新委任曾源成為執行董事，董事部表示，這是由於曾源成一直以專業操守負責日常營運，多年來帶動公司盈利成長和取得穩健資產負債表，因此是領導該公司的最佳人選。

曾源成將從本月26日起負責執行董事部的決定和公司日常運作。同時保持在艾畢斯證券的董事經理職位。

對於公司未來業務前景，該公司表示，在近期出現的併購活動下，證券業將進一步開放和鞏固。

內部鬥爭疑未落幕‧艾畢斯6.32%‧折價31%易手

（吉隆坡10日訊）艾畢斯控股（APEX，5088，主板金融組）的內部爭鬥似乎未隨創辦人曾源成重返董事部而落幕，今天又有1千349萬股或約6.32%股權，“悄悄”以92仙在場外易手，巨幅折價31%。

這批股權藉數項交易完成，交易價為92仙，較週二收市的市價1令吉33仙，折價高達41仙或30.83%。即使以全日最低點1令吉26仙計，這批股權的交易價也同樣“大打折”。

該股今日一度走高8仙到1令吉34仙，過後以1令吉33仙收盤，全天起7仙，全日交易量達135萬6千700股。

艾畢斯控股自6月21日的股東大會，曾源成和另一董事劉立祥意外被踢出局後，市場一直關注該公司的主導權。該股也節節上升，目前股價已較當時身價80仙高50%。

該公司董事目前在調查和探討，曾源成不被特定股東受委為主席和非執行董事的原因。該公司早針對股東大會的結果作出解釋，強調這些衝突並未影響日常業務。

耐人尋味的是，該公司雖在6月25日召開董事部緊急會議，重新委任曾源成為執行董事，但卻未恢復其“執行主席”的身份。

當時該公司說：“這是由於曾源成一直以專業操守負責日常營運，多年來帶動公司盈利成長和取得穩健資產負債表，因此是領導該公司的最佳人選。”

傳家族鬧意見不合

（吉隆坡16日讯）艾毕斯（Apex，5088，主板金融股）近期股票交易活络，传出是因股东争夺战之故，但同样令人担心纠纷会演变成敌意收购。

艾毕斯股价过去3个月劲升，根据大马交易所的资料显示，该股3个月累积已涨70%。

该股价攀势惊人，更一度创下1.42令吉历史新高，相对过去5年一直低于85仙的价位。

艾毕斯今日交投也非常活络，一度扬升至1.37令吉的最高点，最后闭市报1.33令吉，跌1仙，或0.746%，成交量为26万300股。

艾毕斯近期的董事部变动和股价大起的旋风，据说是源自家族失和所引发的股权斗争。

之前有消息说，主席曾源成和他兄嫂、也是已故丹斯里林梧桐之女林秀琼两派人马，正在争夺公司的控制权。

根据资料，保险公司太平洋与东方（P&O，6009，主板金融股）在公开市场大量买入艾毕斯，目前还不清楚购股活动是以交易为主，还是帮助大股东巩固势力出击。

林秀琼最关键
根据资料，上周二（3日）艾毕斯大概有1350万股以92仙在场外交易，根据公司熟知内情的执行人员，这批股票的买家属于“亲林派”人马。

他说：“反曾派目前正在透过策略性动作，罢黜董事部。”

Fun Sheung Development目前是艾毕斯的最大股东，持有14.96%的股权。

至于曾源成则持有公司12.55%的股权。

其他大股东还包括拿督阿兹占阿都，持有3.86%的股权，他属于林秀琼的“阵营”。

艾毕斯的大股东架构和公司掌权是否产生大变化，林秀琼是最关键的人物。

曾源成主席位失而复得 传反曾派特大出手
6月21日艾毕斯的股东常年大会上，公司主席曾源成和独立非执行董事刘立祥，因不被股东重选而“退休”。

艾毕斯之后在6月26日召开的一项紧急董事部会议，委任曾源成担任公司的董事。

当时，董事部表示这是“目前对该公司最有好的安排，好让公司在现有紧张局势拥有强稳的领导”。

董事部的纠纷日趋紧张，相信“反曾派”会召开股东特别大会，以便罢黜整个董事部。

脱售澳洲产业 艾毕斯进账5484万

（吉隆坡19日讯）艾毕斯（Apex，5088，主板金融股）宣布，以1700万澳元（约5484万令吉）脱售澳洲产业投资于与发展公司——Finbar集团的17000万股票。

艾毕斯向马交所报备，由于全球经济不稳定、股票市场展望负面，加上澳元走强提供套利机会，公司因此决定脱售。

Finbar集团缴足资本为1亿3200万澳元（4亿3425万令吉），相等于2亿1417万股，在珀斯发展公寓、排屋、住宅和商业建筑物。

艾毕斯表示，脱售所得将优先作为营运资本，而剩余的分配予股东。[Nanyang]

曾源成重任艾畢斯執行主席‧累積持股至18%“鞏固江山”

（吉隆坡20日訊）在今年6月股東大會上意外遭股東排擠出董事部的艾畢斯控股（APEX,5088,主板金融組）創辦人兼大股東曾源成，繼早前受委以執行董事身份重回董事部後，今日再下一城，宣佈奪回執行主席職位。

此外，根據顯著股東股權變化文告，曾源成上月5日起至今，以每股1令吉18仙價格四度增購股權，合計買進920萬股或4.77%股權，令其直接和間接持股增加至18%，頗有“鞏固江山＂以避免類似事件重演的意味。

根據該公司今日文告，曾源成即日起重新出任公司執行主席兼董事一職，由於這項職位亦是他在今年股東大會上所丟失的職位，上述委任宣告曾源成已成功收復早前失地。

上述事件始於今年6月21日舉行的股東大會上，曾源成及另一董事劉立祥在重新受委投票環節中意外落馬，結果雙雙被擠出董事部，市場當時懷疑曾源成落馬可能暗示公司大股東之間發生糾紛，否則曾源成理應不會不獲委任。

無論如何，股東大會數日後，該公司宣佈讓曾源成重新以執行董事身份回到董事部，原因是考量其豐厚經驗和優良領導紀錄，加上公司每日運作主要由他負責，是有關職務的最佳人選。

艾毕斯败诉需还625万

（吉隆坡23日讯）艾毕斯（APEX，5088，主板金融股）子公司被高庭判决，需向起诉人退还625万令吉款项，外加利息和堂费。

艾毕斯表示，子公司———AEH资本私人有限公司，已针对此判决，指示律师向上诉庭提出上诉。

AEH资本是在2010年11月被Sanctuary Court私人有限起诉，追讨退还因债务买卖协议的上述款项。[南洋网财经]

Description	Disposal of 1 million shares in Finbar Group Ltd (Finbar) at AUD1.55 per share
The Board of Directors of Apex Equity Holdings Berhad (“the Company”) wishes to announce that the Company has on 6 November 2013, disposed 1 million Finbar shares at sale price of AUD1.55 per share for a total consideration of AUD1.55 million (equivalent to approximately RM4.5 million). The disposal will result in a gain of approximately RM2.5 million. The proceeds will be utilized for working capital. None of the Directors or substantial/major shareholders of the Company or any person connected to them have any direct or indirect interest in the above disposal. The transaction is less than 5% percentage ratio accordance to Bursa Listing requirement 10.02(g)
